172PRELIMINARY MATTERS
174Respondent electronically posted its final ranking of
181applicants seeking to provide project engineering services for
189six 2010 School Board heating ventilation and air-conditioning
197("HVAC") projects. Petitioner timely filed a Notice of Intent
208to File Protest, and on October 22, 2009, filed a Formal Written
220Protest for the 2010 HVAC Projects Engineers Final Ranking
229Decision Dated October 7, 2009 Pursuant to [Florida Statutes]
238120.57 ("Protest").
242Petitioner did not file a protest bond, and in its Protest,
253asserts that it was relieved of that obligation because
262Respondent's electronic posting of the final ranking did not
271include the notice prescribed in Subsection 120.57(3)(a),
278Florida Statutes. 2 That provision states, "[f]ailure to file a
288protest within the time prescribed in section 120.57(3), Florida
297Statutes, or failure to post the bond or other security required
308by law within the time allowed for filing a bond shall
319constitute a waiver of proceedings under chapter 120."
327The parties were unable to resolve the Protest by informal
337means. The case was filed with the Division of Administrative
347Hearings on November 5, 2009.
352On November 6, 2009, Petitioner supplemented its Protest by
361filing Petitioner's Notice of Filing Letters to Respondent
369Transmitting Cashier's Check (Bond) on November 3, 2009, for
378Case No. 09-6060BID[;] and July 17, 2008[,] for Previous Case
390No. 09-3584BID[,] Including the Respondent's DOAH Transmittal
398Letter Dated July 25, 2008 ("Notice of Filing"). Attached to
410the Notice of Filing were copies of correspondence between
419Petitioner and Respondent regarding posting of the bond,
427including correspondence showing that on November 3, 2009,
435Petitioner submitted to Respondent a cashier's check in the
444amount of $3,143.70 "as required by [Florida Statutes]
453287.042(2)(c) based on [one percent] of the largest proposed
462contract award amount of $314,370.00 for the Protest."
471Pursuant to notice issued November 17, 2009, the Protest
480was scheduled for final hearing on December 3, 2009.
489Respondent filed its Motion to Dismiss on November 18,
4982009, and Petitioner filed its Response in Opposition to Motion
508to Dismiss on November 30, 2009. In the Motion to Dismiss,
519Respondent urges several grounds for dismissal, which included
527that Petitioner had waived its right to protest the ranking
537because it had failed to file the bond or other security
548required by law. In the Response in Opposition to Motion to
559Dismiss, Petitioner contends that: (1) The subject procurement
567is governed by Section 287.055, Florida Statutes 3 ; (2) Based on
578the foregoing assertion, Respondent is a "local public agency or
588public body corporate," subject to procurement requirements in
596Part I, Chapter 287, Florida Statutes, and Florida
604Administrative Code Rule 28-110.005; and (3) In the past,
613Respondent has accepted bonds pursuant to the requirements in
622Subsection 287.042(2)(c), Florida Statutes.
626FINDINGS OF FACT
629The findings below are based on the undisputed facts set
639forth in Petitioner's Protest and supplements thereto,
646Respondent's Motion to Dismiss, Petitioner's Response in
653Opposition to Motion to Dismiss, and representations by the
662parties during the motion hearing.
6671. On October 7, 2009, Respondent electronically posted
675its final ranking of firms which had submitted proposals to
685provide mechanical engineering services for six HVAC projects
693for Respondent in 2010.
6972. Respondent's electronic posting of the final ranking of
706firms included the following language: "Failure to file a
715protest within the time prescribed in Section 120.57(3), shall
724constitute a waiver of proceeding under Chapter 120, Florida
733Statutes."
7343. On October 12, 2009, Petitioner filed a Notice of
744Intent to Protest the final rankings. On October 22, 2009,
754Petitioner filed its Protest.
7584. Although Petitioner's Protest was timely filed,
765Petitioner initially did not file a bond or other security. The
776Protest alleges that Petitioner was not required to file a bond,
787because Respondent did not include in its final ranking notice
797that a failure to post a bond would constitute a waiver of
809proceedings under Subsection 120.57(3)(a), Florida Statutes.
815Additionally, the Protest alleges that Respondent: (1) failed
823to provide Petitioner with notice of the estimated contract
832amounts within 72 hours, exclusive of Saturdays and Sundays and
842state holidays, of the filing of a notice of protest as required
854by Subsection 287.042(2)(c), Florida Statutes; and (2) because
862Respondent had not provided that notice, Petitioner was unable
871to calculate the amount of the bond required and was, therefore,
882relieved of the obligation to file a bond.
8905. On October 30, 2009, Respondent, through counsel, wrote
899to Petitioner. In this correspondence, Respondent informed
906Petitioner that Section 287.042, Florida Statutes, did not apply
915to Respondent because it was not an "agency" for purposes of
926that law. Respondent further informed Petitioner that Section
934255.0516, Florida Statutes, allowed Respondent to require a bond
943in the amount of two percent of the lowest accepted bid or
955$25,000. Respondent also notified Petitioner that because it
964was protesting all six project awards, all awards must be
974included in the calculation of the bond amount required.
983Finally, Petitioner was allowed ten days within which to post a
994bond.
9956. On November 3, 2009, Petitioner submitted to Respondent
1004a cashier's check in the amount of $3,143.70 and noted that the
1017check was intended to serve as security for the Protest "as
1028required by F.S. 287.042(2)(c)." In the letter which
1036accompanied the check, Petitioner also noted that: (1) the
1045amount of the check was determined by calculating one percent of
1056the largest proposed contract award amount of $314,370.00; and
1066(2) Petitioner was providing that amount "under duress," because
1075Respondent had "just published the contract award amounts."
10837. The relief requested by Petitioner in the Protest is
1093that: (1) it be awarded one of the six HVAC projects comprising
1105the final ranking; and/or (2) alternatively, all six awards be
1115rescinded and "start the entire process over."
11228. The final ranking which Petitioner protests included
1130six separate projects, each of which had a separate construction
1140budget. Those projects and their respective construction
1147budgets are as follows: Northwest--$1,144,000; Tampa
1155Palms--$2,649,081; Yates--$2,770,828; Ferrell--$2,550,758;
1164Stewart--$2,805,437; and Erwin--$4,191,603.
11719. The proposed fees for each project were as follows:
1181$97,240 (Northwest); $211,926 (Tampa Palms); $221,666 (Yates);
1191$204,061 (Ferrell); $224,435 (Stewart); and $314,370 (Erwin).
1201CONCLUSIONS OF LAW
120410. The Division of Administrative Hearings has
1211jurisdiction over the parties to and the subject matter of this
1222proceeding. See § 120.57, Fla. Stat.
122811. The subject Protest is governed by Subsection
1236120.57(3), Florida Statutes, which provides that an agency shall
1245provide notice of a decision or intended decision concerning a
1255solicitation or contract award by electronic notice. With
1263regard to the notice, that provision states:
1270The notice shall contain the following
1276statement:
"1277Failure to file a protest within the time
1285prescribed in section 120.57(3), Florida
1290Statutes, or failure to post the bond or
1298other security required by law within the
1305time allowed for filing a bond shall
1312constitute a waiver of proceedings under
1318chapter 120, Florida Statutes."
132212. It is undisputed that Respondent's notice of its
1331intended decision of the final ranking did not include language
1341required by Subsection 120.57(3), Florida Statutes, concerning
1348the requirement to post a bond. Pursuant to that provision, if
1359a party wishing to protest fails to timely file a protest or
1371fails to post the bond required by law, that party waives its
1383right to a proceeding under Chapter 120, Florida Statutes. The
1393language in Subsection 120.57(3), Florida Statutes, is
1400mandatory, not discretionary.
140313. About a week after Petitioner filed its Protest,
1412Respondent cured its omission of the language regarding the bond
1422requirement and notified Petitioner that a bond was required and
1432in what amount. Respondent's correspondence cited Section
1439255.0516, Florida Statutes, as the bond amount that it was
1449requiring and as its authority for doing so.
145714. Subsection 255.0516(1), Florida Statutes, provides in
1464relevant part:
1466With respect to state contracts and bids
1473pursuant to competitive bidding, whether
1478under chapter 1013, relating to educational
1484facilities, or under this chapter, related
1490to public buildings, if a school board . . .
1500uses procedures pursuant to chapter 120 for
1507bid protests, the board may require the
1514protestor to:
1516(1) Twenty-five thousand dollars or
15212 percent of the lowest accepted bid,
1528whichever is greater, for projects valued
1534over $500,000;
153715. Petitioner failed to post a bond in the amount
1547required by Section 255.0516, Florida Statutes.
155316. In the Protest, Petitioner cites Subsection
1560287.042(2)(c), Florida Statutes, as governing the bond
1567requirement for the bid that is the subject of this proceeding
1578That section provides in pertinent part:
1584Any person who files an action protesting a
1592decision or intended decision pertaining to
1598contracts administered by . . . an agency
1606pursuant to s. 120.57(3)(b) shall post with
1613the . . . agency at the time of filing the
1624formal written protest a bond payable to the
1632. . . agency in amount equal to 1 percent of
1643the estimated contract amount.
164717. Section 287.012, Florida Statutes, provides
1653definitions of various terms "as used in this part." Among the
1664terms for which definitions are provided is the term "agency."
1674Subsection 287.012(1), Florida Statutes, defines that term as
1682follows:
1683(1) Agency" means any of the various state
1691officers, departments, boards, commissions,
1695divisions, bureaus and councils and any
1701other unit of organization, however
1706designated, of the executive branch of state
1713government.
171418. Respondent is not a unit of the executive branch of
1725state government, and, thus, the provisions of Section 287.042,
1734Florida Statutes, do not apply to it. Dealer Tag Agency v.
1745First Hillsborough County Tag Agency, Inc. , 14 So. 3d 1238 (Fla.
17562d DCA 2009); and Dunbar Electric Supply, Inc. v. School Board
1767of Dade County , 690 So. 2d 1339 (Fla. 1st DCA 1997).
177819. If it is assumed that Subsection 287.042(2)(c),
1786Florida Statutes, applied to Petitioner's Protest, by the terms
1795of that provision, Petitioner would be required to post a bond
1806in an amount equal to one percent of the contract price. In
1818this case, Petitioner protests the rankings of applicants for
1827professional services for six projects. The total combined
1835contract amount of those projects is $1,273.698. Therefore, if
1845Subsection 287.042(2)(c), Florida Statutes, applied to the
1852subject Protest, Petitioner would be required to post a bond of
1863$12,736.98.
186520. Petitioner tendered a check in the amount of
1874$3,143.70, an amount representing one percent of the contract
1884price for one project, the Erwin project with a cost of
1895$314,370. The amount tendered by Petitioner is insufficient for
1905the Protest under Subsection 287.042(2)(c), Florida Statutes,
1912the provision which Petitioner contends applies.
191821. Respondent's omission of the bond requirement language
1926in Subsection 120.57(3), Florida Statutes, was cured by the
1935notice that it provided. The notice gave Petitioner ten days
1945from the date of that notice to post the bond.
195522. Petitioner did not post a bond that complied with the
1966terms of Section 255.0516, Florida Statutes, and does not claim
1976to have done so.
1980RECOMMENDATION
1981Based on the foregoing Findings of Fact and Conclusions of
1991Law, it is
1994RECOMMENDED that Respondent, Hillsborough County School
2000Board, issue a final order dismissing the Protest filed by
2010Petitioner, RHC and Associates, Inc.
2015DONE AND ENTERED this 20th day of January, 2010, in
