127STATEMENT OF THE ISSUE
131Whether the Petitioner's divestiture plan complies with
138the F inal Order entered by the Respondent on June 9, 2000.
150PRELIMINARY STATEMENT
152In November of 2001, the Respondent, Department of
160Banking and Finance (Department), rejected a divestiture plan
168submitted by Mickie A. Leonard. Such plan was purportedly
177submitted to comply with a Final Order that had been entered
188in June of 2000. On or about March 22, 2002, the Petitioners
200filed a request for an administrative hearing in order to
210challenge the denial of the plan. The matter was then
220forwarded to the Division of Administrative Hearings for
228formal proceedings.
230At the hearing, the Petitioners presented testimony from
238Mickie A. Leonard, Charles S. Meyer, and Alex Hager. The
248Respondent offered testimony from Alex Hager, Marvin Blitz,
256Tony Fernandez, Ingrid Aquino, and Linda Townsend. All
264exhibits marked and received into evidence (or proffered) are
273identified in the five - volume Transcript of the proceedings
283filed in this cause on September 26, 2002.
291On October 16, 2002, the Department filed its Proposed
300Recommend ed Order (PRO) that has been considered in the
310preparation of this Recommended Order. The Petitioners filed
318a Notice of Withdrawal of Petition for Formal Hearing after
328the Department's PRO had been filed. The Notice announced
337that the Petitioner, Mickie A. Leonard, had submitted a Second
347Amended Divestiture Plan. Further, such Notice maintained
354that submission of the amended plan rendered the instant
363action moot as the Petitioners were withdrawing their request
372for hearing.
374FINDINGS OF FACT
3771. On June 9, 2000, the Department entered a Final Order
388and Order for Divestiture Plan (the Final Order) as a result
399of proceedings filed and identified in this record as DOAH
409Case No. 99 - 1664.
4142. The Final Order resulted from a settlement reached
423among Mickie A. Leonard, James McLaughlin, Thomas Leonard,
431Raymond Hensler, and the Department. The understanding of
439settlement was memorialized in the transcript of DOAH Case No.
44999 - 1664.
4523. The underlying issue of the matter, and hence the
462divestiture dispute, stemm ed from the Petitioner, Mickie A.
471Leonard's, attempt to control Sunniland Bank (the bank).
479Ms. Leonard and other bank shareholders have long - standing
489disagreements as to the bank and its control, and operation.
4994. The Department erroneously thought those
505disagreements had been put to rest by virtue of the settlement
516of DOAH Case No. 99 - 1664.
5235. Indeed the terms of the Final Order required
532Mickie A. Leonard to abandon her efforts to exercise control
542over the bank. Moreover, the Final Order recognize d that
552Ms. Leonard was not to seek control of the bank in the future.
565She was to divest herself of the majority interest in the
576voting securities of the bank and in furtherance of that
586action was to:
5892. Within 15 days of the date of this
598Order, Ms. Leonard must submit her proposed
605divestiture plan in accordance with the
611stipulation contained in Exhibit A for
617incorporation in the agreed final discussed
623in the stipulation. This plan must provide
630for the accomplishment of divestiture
635within 90 days of th e date of this Order.
645The plan must provide assurances that
651Ms. Leonard will not be able to exercise
659ownership or control of 25% or more of the
668voting securities of Sunniland Bank. The
674plan must provide for divestiture of
680control either by outright sale of all
687shares owned or controlled by Leonard in
694excess of 24.9% of the bank's total issued
702shares or by the establishment of a trust
710to hold such shares, which trust will be
718controlled by an independent trustee
723acceptable to the Department under the
729ter ms of a trust agreement approved by the
738Department.
7396. Instead of complying with the terms of the Final
749Order, the Petitioner filed an appeal to the Fourth District
759Court of Appeal. During the time the matter was on appeal the
771Petitioner did not file a divestiture plan. The appellate
780court did not stay the Final Order.
7877. Eventually the Final Order was affirmed on appeal and
797a mandate was issued. Subsequently, the Department once again
806directed the Petitioner to file the divestiture plan no later
816than March 4, 2001.
8208. Once again, the Petitioner did not timely file the
830divestiture plan. In fact, the Petitioner ignored the
838Department's Final Order and direction to file the divestiture
847plan until April of 2001. Then, after the Department had
857notified her that it would seek civil monetary penalties if
867the plan were not filed, Ms. Leonard submitted a divestiture
877plan.
8789. The Department's rejection of that plan resulted in
887the instant case.
89010. The Petitioner has presented no credible explanation
898f or why the divestiture plan in accordance with the Final
909Order was not timely submitted.
91411. The Petitioner did not implement any divestiture
922plan that would have complied with the terms of the Final
933Order.
93412. The actions purportedly taken to attempt compliance
942with the Final Order failed to provide any reasonable
951assurance that the Petitioner intended to abandon ownership or
960control of the bank.
96413. As of August of 2001, the divestiture was
973incomplete. On August 6, 2001, the Petitioner's attorney
981advi sed the Department that Petitioner's shares would be sold
991to "the Kouzmine Group." That event never happened.
99914. To attempt compliance with the Final Order the
1008Petitioner next proposed that Mr. Meyer act as trustee of her
1019shares. The Department rejected the proposal.
102515. After employing the criteria in Sections 655.0385,
1033658.20, 658.21, 658.27, and 658.28, Florida Statutes, the
1041Department rejected Mr. Meyer as he did not have the
1051appropriate experience to serve as an independent trustee.
1059Moreover , it is determined that Mr. Meyer was not sufficiently
1069informed of the facts or sufficiently independent of the
1078Petitioner to qualify as an independent trustee.
108516. Additionally, Mr. Meyer refused or failed to submit
1094financial information regarding his experience and business
1101dealings from which the Department might judge his suitability
1110to serve as a trustee for the Petitioner. Even at hearing Mr.
1122Meyer was reluctant to discuss his business dealings or
1131financial circumstances. It may well be that Mr. Me yer
1141considers such information none of the Department's business.
1149It is precisely the Department's business.
115517. None of the proposals provided for the independent
1164voting of the Petitioner's shares for purposes of selling the
1174shares. Each proposal also allowed the Petitioner to revoke
1183it at will -- with or without Department approval.
119218. Mr. Meyer has never served as an independent
1201trustee. He has never worked for nor been on the board of
1213directors for a bank. Mr. Meyer has no training or business
1224ex perience to qualify him to serve as a fiduciary or trustee.
123619. As of the date of hearing, the Petitioner had not
1247provided any assurance that she would not be able to exercise
1258ownership or control of no more than 24.9% of the voting
1269securities of the bank.
127320. The Petitioner has demonstrated a pattern of conduct
1282suggesting gross indifference to the Department's Final Order
1290and authority.
1292CONCLUSIONS OF LAW
129521. The Division of Administrative Hearings has
1302jurisdiction over the parties to and the subjec t matter of
1313these proceedings. Section 120.57, Florida Statutes.
131922. The instant case was referred to the Division of
1329Administrative Hearings based upon the Petitioner's challenge
1336to the denial of the divestiture plan. Now, by reason of the
1348Notice of Withdrawal of Petition for Formal Hearing, the
1357Petitioner maintains the matter is moot as she has submitted a
1368Second Amended Divestiture Plan.
137223. The Petitioner did not seek leave to file such
1382amendment. Nothing in the record suggests the Department
1390con curred with or agreed to the filing of an amendment.
1401Curiously, the Department filed a Proposed Recommended Order
1409(and presumably spent time preparing same) for no apparent
1418reason if the Department has consented to an amendment. More
1428important, nothing in the record suggests the Petitioner is
1437entitled to file an amendment.
144224. As a matter of law, the Petitioner was required to
1453divest her shares so that she no longer owns or controls the
1465bank. She absolutely failed to do so in a timely manner.
1476Moreove r, by now filing a second amended plan for divestiture
1487the Petitioner must recognize that the prior submission was
1496flawed or she is once again seeking to obtain additional time
1507before divestiture may be compelled by a court of law. In
1518either case, the Petitioner's indifference to the authority of
1527the Department is beyond rational thought.
153325. The language of the Final Order was clear and
1543unambiguous. The Petitioner was to divest. She did not do
1553so. Mr. Meyer is not qualified by experience or training t o
1565serve as an independent trustee. His judgment and lack of
1575candid response to the Department also place his candidacy in
1585question. A trustee must be a person capable of independent
1595thought and action and Mr. Meyer is simply not qualified to
1606take Ms. Leonard on.
1610RECOMMENDATION
1611Based on the foregoing Findings of Fact and Conclusions
1620of Law, it is RECOMMENDED that the Department of Banking and
1631Finance enter a Final Order rejecting the divestiture plan.
