113STATEMENT OF THE ISSUE

117The issue is whether Petitioner is entitled to an award of

128attorney's fees and costs pursuant to Section 57.111, Florida

137Statute (2003); and, if so, what is the amount of attorney's

148fees and costs that are recoverable by Petitioner.

156PRELIMINARY STATEMENT

158On July 28, 2003, Petitioner, Global Health Information

166Information/Medical Research, Inc. ("Global Health"), filed a

175Petition for Aw ard of Attorney Fees and Costs ("Petition for

187Attorney's Fees") pursuant to Section 57.111, Florida Statutes

196(2003), and the Affidavit of James T. Kimball in Support of

207Global Health's Petition for Attorney Fees. The Petition for

216Attorney Fees requests at torney's fees and costs incurred by

226Global Health in litigating Department of Health v. Discovery

235Experimental, et al. , Case No. 93 - 6184 (DOAH April 18, 2003),

247which consolidated four cases, DOAH Case Nos. 93 - 6184, 95 - 2255,

26097 - 3836, and 98 - 4364. The Admin istrative Complaint filed by the

274Department of Health ("Department") in DOAH Case No. 97 - 3836

287("1997 Administrative Complaint" or "underlying proceeding")

295alleged that Global Health unlawfully promoted, advertised, and

303made medical claims for drug products which are not FDA

313approved, and are misbranded and adulterated. The undersigned

321issued a Recommended Order in the underlying proceeding on

330April 18, 2003.

333The Recommended Order recommended that the Department

340dismiss the Administrative Complaint against Global Health. The

348Department's Final Order executed May 23, 2003, approved,

356adopted, and incorporated by reference the Recommended Order in

365the underlying proceeding.

368The Department denied that Global Health was the prevailing

377party in the underlyi ng case and that Global Health is entitled

389to attorney's fees and costs. The Department asserted that it

399was substantially justified in filing the administrative action

407in the underlying proceeding.

411By Amended Notice of Hearing issued September 3, 200 3, the

422hearing in the matter was set for October 24, 2003. Prior to

434that date, the parties requested and were granted several

443continuances for good cause shown. Thereafter, the final

451hearing was rescheduled and held on August 19, 2004.

460On March 10, 2004, this case was consolidated with

469Discovery Tour Wholesalers, Inc. v. Department of Health , DOAH

478Case No. 03 - 2754, and Josephine Kimball v. Department of Health ,

490DOAH Case No. 03 - 2807, solely for the purpose of the final

503hearing because the three cases involved identical witnesses and

512documentary evidence. However, the parties and the undersigned

520agreed that a separate final order would be issued in each case.

532Prior to the evidentiary part of the hearing, the

541undersigned denied the Department's Mo tion in Limine and/or the

551Department's Motion for Partial Judgment as to the maximum

560amount of attorney's fees that can be awarded to Petitioner,

570Discovery Tour Wholesaler, Inc., and Petitioner, Global Health.

578At hearing, Petitioner presented the test imony of five

587witnesses: Josephine Kimball, Toni Kimball; Joy Young; Rolando

595Santiago, Esquire; and Jon Pellet, Esquire. The Department

603stipulated that Mr. Pellett was an expert witness with regard to

614this type of proceeding. Petitioner offered and had ten

623exhibits received into evidence. The Department presented the

631testimony of two witnesses: Jerry Hill, R.Ph., Bureau Chief of

641Statewide Pharmaceutical Services; and Deborah Orr, a former

649drug agent with the Department. The Department offered and had

65912 exhibits received into evidence. The parties had five joint

669exhibits received into evidence. 1/

674A Transcript of the proceeding was filed on September 3,

6842004. At the conclusion of the hearing, the time for filing

695proposed final orders was set for ten days from the filing of

707the Transcript. Prior to that date, upon motion filed by the

718Department, the time for filing proposed final orders was

727extended until September 23, 2004. On September 22, 2004, the

737parties filed an agreed motion to extend the time for filing

748proposed final orders. The agreed motion was granted and

757extended the time for filing proposed final orders until

766October 8, 2004. Petitioner requested an additional extension,

774which was granted.

777Both parties timely filed Proposed Recomme nded Orders under

786the extended time frames, which have been considered in

795preparation of this Final Order.

800FINDINGS OF FACT

803Based on the oral and documentary evidence presented at

812hearing and on the entire record of this proceeding, the

822following Findings of Fact are made.

8281. The Department, through its Bureau of Statewide

836Pharmaceutical Services (formerly the Bureau of Pharmacy

843Services), is and was at all times relevant to this proceeding,

854the state agency responsible for administering and enforcing the

863Florida Drug and Cosmetic Act, Chapter 499, Florida Statutes

872(1997), which includes the regulation of the manufacture,

880promotion, and distribution of prescription drugs.

8862. In late 1990, the Department began investigating the

895unlawful advertising, manufa cture, and distribution of

902prescription drugs that are not approved in commerce by the

912United States Department of Health and Human Services, Food and

922Drug Administration (FDA), of an establishment located at 29949

931State Road 54 West, Wesley Chapel, Florid a. The establishment

941was the primary business address of several closely held

950corporations owned and operated by James T. Kimball, and his

960wife, Josephine Kimball.

9633. The Department initiated an Administrative Complaint in

971August 1993 (1993 Administrati ve Complaint), while in the middle

981of its investigation and after participating in a federal and

991state force of agencies that executed a search and seizure of

1002the Kimballs' business establishment and their home located in

1011Wesley Chapel, as well as other lo cations. The search and

1022seizure took place on May 12, 1993, pursuant to federal

1032warrants. The Kimballs' business establishment was located at

104029949 State Road 54 West, in Wesley Chapel, Florida.

10494. The 1993 Administrative Complaint was issued to

1057Discove ry Experimental & Development, Inc. ("DEDI"), and related

1068to that company's alleged sale of drugs that were not approved

1079by the FDA. DEDI was located at 29949 State Road 54 West,

1091Wesley Chapel, Florida. After the 1993 Administrative Complaint

1099was filed, the Department continued to investigate the

1107activities of DEDI.

11105. Deborah Orr (Agent Orr) began working for the

1119Department as a drug agent in or about 1993 and was assigned to

1132investigate the underlying case until the case culminated.

11406. During the i nvestigation, Agent Orr and others in the

1151Department reviewed documents and other evidence seized during

1159the search of the business establishment and the home of the

1170Kimballs that tied both Mr. Kimball and Mrs. Kimball to several

1181corporations that appeared to be connected to the manufacture

1190and sale of certain unapproved drugs. Among the documents

1199seized, pursuant to the 1993 warrant, was Global Health's

1208letterhead.

12097. During the investigation and prior to 1997, Agent Orr

1219visited the Global Health office . Global Health had one of the

1231smaller offices, about 8x8 or 9x9, at "HQ," 15310 Amberly Drive,

1242Suite 250, Tampa Palms in Tampa, Florida. In the Global Health

1253offices were pamphlets put out by Global Health called "Silver

1263Solutions" that promoted the col loidal silver products of DEDI,

1273and later ASTAK, Inc. (ASTAK), and made medicinal claims despite

1283the Department's previous warnings to Mr. Kimball and

1291Mrs. Kimball that this was unlawful. It appeared that Global

1301Health distributed these pamphlets.

13058. Amo ng the documents found and seized from the Kimballs'

1316home, pursuant to the 1993 warrant and reviewed by Agent Orr,

1327was the financial statement of "James and Josephine Kimball,"

1336dated April 14, 1992. According to that document, "James and

1346Josephine Kimball " were 90 - percent owners of DEDI, which

"1356develops pharmaceuticals and chemicals for manufacturing" and

1363had an assessed value of $1,000,000; "James and Josephine

1374Kimball" were 90 - percent owners of ASTAK, a company that

"1385manufactures custom order vitamins"; James Kimball was a 100 -

1395percent owner of Discovery Experimental and Development, Mexico

1403N.A. (DEDI of Mexico), a company that "manufacture[s]

1411pharmaceuticals" and ships to 12 countries; and "James and

1420Josephine Kimball" were 83 - percent owners of Discovery Tour

1430Wholesalers' Inc. (Tours), which owned the real property located

1439at 29949 State Road 54 West, Wesley Chapel, Florida.

14489. The Department's investigation indicated that several

1455companies controlled by the Kimballs had separate and distinct

1464functions re lated to the unlawful drug enterprise. For example,

1474it appeared that one company manufactured the unlawful drugs,

1483another took and filled orders from customers for the unlawful

1493drugs, and another put out promotional information and

1501literature about the un lawful drugs.

150710. During the investigation, the Department determined

1514that many of the companies controlled by Mr. and Mrs. Kimball

1525and involved in unlawful drug distribution were located in the

1535building owned by Tours and located at 29949 State Road 54 We st,

1548Wesley Chapel, Florida.

155111. Prior to issuance of the 1997 Administrative Complaint

1560in the underlying proceeding, Agent Orr wrote a report of her

1571findings based on her multi - year investigation and sent them to

1583her supervisor, who forwarded the report to Jerry Hill, R.Ph.,

1593Bureau Chief, Statewide Pharmaceutical Services of the

1600Department. Mr. Hill reviewed the report that was prepared by

1610Agent Orr and information and evidence obtained during the

1619investigation. He also talked to some of the Department ag ents

1630and/or investigators who participated in the investigation at

1638various times during the years the investigation was on - going.

164912. Based on his review of Agent Orr's report and related

1660information and evidence, Mr. Hill believed there were several

1669compa nies involved in promoting and/or advertising,

1676manufacturing, and distributing prescription drugs that were not

1684approved by the FDA. The specific unapproved drugs were

1693selegiline citrate (deprenyl) and some silvicidal products, some

1701of which had been foun d during inspections of the premises at

171329949 State Road 54 West, Wesley Chapel, Florida. Although

1722Mr. Hill believed that some of the companies were more involved

1733in the operation than others, he believed that all of the

1744principals had some involvement in the illegal activity.

175213. Based on the information Mr. Hill obtained prior to

1762issuing the 1997 Administrative Complaint, he believed that

1770Global Health had falsely advertised and made false claims about

1780drugs containing silver that were manufactured by R espondents

1789DEDI and ASTAK, non - prevailing parties in the underlying

1799proceeding. In addition, Department drug agents had obtained

1807samples of the unlawful silver drugs that appeared related to

1817DEDI and ASTAK that made false claims on their labels, similar

1828t o the false and misleading advertisement of these drugs by

1839Global Health. Mr. Hill believed that because of the common

1849ownership of DEDI and ASTAK, the companies that he believed

1859manufactured, labeled, and sold the unlawful silver drugs, and

1868Global Health , the apparent advertising arm of DEDI and ASTAK,

1878the advertisements of Global Health constituted "labeling" and,

1886thus, false or misleading advertisement of prescription drugs in

1895violation of Chapter 499, Florida Statutes (1997), specifically

1903Section 499.0 054, Florida Statutes (1997) .

191014. Based on the information and evidence Mr. Hill had

1920received, he believed that the corporations that were engaging

1929in these activities involved two principal natural persons,

1937Mr. and Mrs. Kimball.

194115. Mr. Hill believed that he had sufficient evidence to

1951tie DEDI, DEDI of Mexico, ASTAK, TOURS, and Global Health

1961together. For example, the information Mr. Hill reviewed

1969indicated that, except for Global, these entities were at the

1979same address, 29949 State Road 54 West, in Wesley Chapel,

1989Florida, and also had common ownership. Mr. Hill was concerned

1999that if the Department did not tie the companies together and

2010prosecute all the entities that were involved in the operation,

2020the illegal activity would continue through some ot her company,

2030and the unapproved drugs would get into commerce.

203816. Mr. Hill believed that the situation described in

2047paragraph 15 could happen based on another situation that

2056occurred in or about 1991, when the Department initiated and

2066settled an enforceme nt action against Discovery Distributing,

2074Inc. (Discovery Distributing), located at 29949 State Road 54

2083West, in Wesley Chapel, Florida, and its president, Mr. Kimball.

2093The enforcement action related to Discovery Distributing's

2100promotion of an unlawful pro duct called Kimballac. Pursuant to

2110the settlement in that aforementioned action, Mr. Kimball agreed

2119not to manufacture or sell drugs that had not been approved by

2131FDA. Yet, Mr. Hill learned that soon after the settlement was

2142signed, the unlawful activiti es resumed with the same type of

2153products being sold to the citizens of Florida.

216117. After careful consideration of all the information and

2170evidence provided to him by Department investigators, agents,

2178and other Department officials familiar with and in volved in the

2189investigation, Mr. Hill concluded that Global Health had

2197violated provisions of Chapter 499, Florida Statutes (1997), by

2206making false and misleading advertisements about drugs that were

2215not approved by FDA. Having made that determination on or about

2226June 24, 1997, Mr. Hill issued the 1997 Administrative Complaint

2236in the underlying proceeding, which was later assigned DOAH Case

2246No. 97 - 3836.

225018. Pursuant to a Delegation of Authority dated

2258February 19, 1997, Mr. Hill was authorized to initiate a nd

2269pursue to conclusion any legal or administrative action

2277authorized by Chapter 499, Florida Statutes (1997).

228419. In the underlying administrative proceeding, after

2291taking and considering testimony and documentary evidence, the

2299Administrative Law Judge is sued a Recommended Order finding that

2309the Department failed to establish by clear and convincing

2318evidence that Global Health violated the provisions of Chapter

2327499, Florida Statutes (1997), as alleged by the Department.

2336That Recommended Order was adopted in the Department's Final

2345Order.

234620. At all times relevant to this proceeding, Global

2355Health was a Florida corporation with its primary office in

2365Florida and had less than 25 employees and a net worth of less

2378than $2,000,000.

238221. Global Health was r epresented by Elliot Dunn, Esquire,

2392in the pre - hearing phase of the underlying proceeding and the

2404first day of the 23 - day final hearing. Mr. Dunn withdrew from

2417the case after Mr. Kimball "fired" him during the proceeding.

242722. Mr. Dunn, Esquire, did not t estify at this proceeding

2438and at no time records related to his representation of Global

2449Health or any of the other Petitioners in the underlying

2459proceeding were available for review, inspection, or

2466consideration.

246723. Global Health never paid Mr. Dunn for the legal

2477services that he provided. Moreover, there was never a contract

2487between Global Health and Mr. Dunn that defined the terms and

2498conditions of Mr. Dunn's legal representation on behalf of

2507Global Health.

250924. Petitioner's expert witness opined that a reasonable

2517hourly rate for attorneys representing each of the Petitioners,

2526including Global Health, was $175 to $350. The expert did not

2537form an opinion as to the total number of hours reasonably spent

2549by Mr. Dunn representing Global Health in the unde rlying

2559proceeding. Rather, the expert testified that he utilized Rules

2568Regulating Florida Bar 4 - 1.5, which deals with the

2578reasonableness of fees and concluded that based on the factors

2588in that rule, reasonable attorney's fees incurred by Global

2597Health in the defense of the underlying case is $12,000 to

2609$17,000, assuming the lower rate of $175.

261725. In light of the findings and conclusions reached in

2627this Final Order, no findings are made or necessary regarding

2637issues related to the reasonableness of the att orney's fees, the

2648quality of the evidence presented on that issue, or any other

2659issues related to attorney's fees.

2664CONCLUSIONS OF LAW

266726. The Division of Administrative Hearings has

2674jurisdiction over the subject matter and parties to this

2683proceeding. §§ 57.111 and 120.57, Fla. Stat. (2004).

269127. In proceedings to establish entitlement to an award of

2701attorney's fees and costs pursuant to Section 57.111, Florida

2710Statutes (2003), the initial burden of proof is on the party

2721requesting the award to establish b y a preponderance of the

2732evidence that it prevailed in the underlying action and that it

2743was a small business party at the time the action was initiated.

275528. Petitioner proved that it is a small business party

2765within the meaning of Subsection 57.111(3)(d )1.b., Florida

2773Statutes (2003). Furthermore, Petitioner established that the

2780underlying action was initiated by the Agency. Therefore,

2788Petitioner has met its burden of establishing that it is a

2799prevailing small business party.

280329. Because Petitioner met its burden, the burden shifts

2812to the Department to demonstrate that its actions were

2821substantially justified or that special circumstances exist,

2828which would make an award of attorney's fees and costs unjust.

2839Subsection 57.111(4)(a), Florida Statutes (200 3), provides that

2847unless the actions of the Respondent were substantially

2855justified or there are special circumstances that would make an

2865award unjust, an award of fees and costs shall be made to

2877Petitioner.

287830. In this case, the Department was substantial ly

2887justified in initiating the underlying administrative action

2894against Global Health. The evidence established that at the

2903time the Department initiated the underlying administrative

2910action against Global Health, the Department had a reasonable

2919basis in law and fact to believe that Global Health violated

2930provisions of Chapter 499, Florida Statutes (1997).

293731. The purpose of Section 57.111, Florida Statutes

2945(2003), is to diminish the deterrent effect of defending against

2955unreasonable government action bec ause of the expense of civil

2965actions and administrative proceedings. The Department

2971satisfied its burden of showing that the governmental action

2980against Global Health was not unreasonable at the time the

2990Department initiated the action.

299432. The fact that Respondent failed to prove the

3003allegations in the Administrative Complaint by clear and

3011convincing evidence does not raise a presumption that the

3020Department was not substantially justified in initiating the

3028administrative action against Global Health.

3033ORD ER

3035Based upon the foregoing Findings of Fact and Conclusions

3044of Law, it is

3048ORDERED that Petitioner, Global Health Information/Medical

3054Research Institute, Inc.'s, Petition for Attorney's Fees be

3062DISMISSED .

3064DONE AND ORDERED this 3rd day of January, 20 05, in
