164Is Respondent TPE Structures of Bay County, Inc. (TPE Bay
174County) an employer as defined in Section 760.02(7), Florida
183Statutes (2003), conferring jurisdiction on the Florida
190Commission on Human Relations (the Commission) to consider the
199complaint filed by Petitioner William D. Hunt (Petitioner Hunt)
208and Petitioner Charles C. White (Petitioner White) against TPE

219PRELIMINARY STATEMENT
221On December 10, 2003, Petitioner Hunt filed an Amended
230Employment Charge of Discrimination naming "The Painting Experts
238of Bay County, Inc." as the offending employer. On that same
249date Petitioner White filed a separate Amended Employment Charge
258of Discrimination naming "The Painting Experts (TPE) of Bay
267County" as the offending employer. In context the employers
276named in the Amended Employment Charges of Discrimination are
285found to refer to TPE Bay County. The amended charges were
296processed by the Commission following assignment of case numbers.
305The case number for Petitioner Hunt was FCHR Case No. 2004-20649.
316The case number for Petitioner White was FCHR Case No. 2004-
32720650.
328Following investigation, the Commission entered a
334Determination: No Jurisdiction in each case filed on June 8,
3442004. Those determinations were provided the respective
351Petitioners. The basis for the determinations was that the
360Commission lacked jurisdiction over the individual complaints,
367given the opinion that TPE Bay County was not an "employer" in
379accordance with Section 760.02(7), Florida Statutes, in that
387Respondent did not employ "15 or more employees for each working
398day in each of 20 or more calendar weeks in the current or
411proceeding calendar year and any agent of such person." In turn
422the Commission declared that it did not have jurisdiction over
432the complaints of discrimination.
436On June 8, 2004, the Commission gave written notice to the
447Petitioners of its Determination: No Jurisdiction in documents
455separate from the legal discussion concerning the determination
463itself.
464On July 14, 2004, the Division of Administrative Hearings
473(DOAH) received separate transmittals of the Petitions for Relief
482from an Unlawful Employment Practice filed by the Petitioners
491calling for consideration of the matters pursuant to Section
500120.57, Florida Statutes. This transmittal of the Petitions
508carried with it other attachments, including the Amended Charges
517of Discrimination, the respective Determinations: No
523Jurisdiction and Notices of Determination: No Jurisdiction.
530DOAH provided case numbers for the individual cases as
539reflected in the style. The cases were assigned to
548Administrative Law Judge Suzanne F. Hood to conduct the
557proceedings. Being uncertain of the purpose of those proceedings
566before DOAH, and given the history of the cases at the
577Commission, Orders to Show Cause were entered inviting the
586parties to comment on whether the cases should be dismissed
596before DOAH for lack of subject matter jurisdiction. The show
606cause orders were dated July 26, 2004. All parties availed
616themselves of the opportunity to respond to the Orders to Show
627Cause.
628On August 13, 2004, the cases were consolidated for hearing
638purposes. Having considered the proof at hearing the cases
647remain consolidated for purposes of entering a single Recommended
656Order.
657The prior judge had also entered an order reserving ruling
667on the DOAH jurisdiction in the cases, pending proof at hearing
678concerning TPE Bay County's status as a "employer" within the
688meaning of Section 760.02(7), Florida Statutes (2003). That
696order reserving ruling was entered on August 13, 2004. It was
707determined at hearing that the cases should proceed to consider
717the jurisdiction of the Commission to investigate the underlying
726amended charges of discrimination in relation to TPE Bay County's
736status under terms set forth at Section 760.02(7), Florida
745Statutes (2003). In particular the hearing resolved the factual
754dispute between the parties concerning whether TPE Bay County met
764the definition of "employer" set forth in Section 760.02(7),
773Florida Statutes (2003).
776TPE Bay County's counsel filed an agreed motion for leave to
787withdraw which was granted in an order entered September 8, 2004.
798Orders were entered responding to issues concerning
805discovery as reflected in the dockets for the cases.
814The cases proceeded to hearing on the date previously
823described after one continuance.
827The style in the cases was corrected to reflect the present
838style.
839Immediately prior to the hearing date the cases were
848reassigned to the undersigned to conduct the final hearing and
858enter a Recommended Order.
862Consistent with a prior order entered by Administrative Law
871Judge Hood, the parties filed a joint prehearing statement which
881was discussed with the parties at the final hearing and utilized
892in developing the hearing presentation.
897Petitioners testified in their own behalf. They also
905presented the testimony of Edward Harrison. TPE Bay County
914president Kenneth L. Karr was called as a witness for
924Petitioners. He was not a witness for TPE Bay County.
934Petitioners' Exhibits numbered 1 through 3 and 6 through 19 were
945admitted. TPE Bay County called Gary Williams as its witness.
955TPE Bay County's Exhibits numbered 1, 3, and 5 were admitted,
966with the exception that the cover letter to TPE Bay County's
977Exhibit numbered 1 was denied admission. TPE Bay County's
986Exhibit numbered 2 was denied admission. TPE Bay County's
995Exhibit numbered 4 was withdrawn.
1000No transcript was prepared at the conclusion of the final
1010hearing. The parties elected to submit proposed findings of fact
1020and orders pursuant to Section 120.57(1)(b), Florida Statutes
1028(2004), and they have been considered in preparing the
1037Recommended Order.
1039FINDINGS OF FACT
10421. Petitioner Hunt worked for TPE Bay County from
1051August 13, 2003, through October 4, 2003. Petitioner White
1060worked for TPE Bay County from August 11, 2003, through
1070September 6, 2003. These are the relevant time periods in this
1081inquiry. Both Petitioners were terminated from employment.
1088According to the Amended Employment Charges of Discrimination,
1096the Petitioners accuse their supervisor/manager Gary Williams of
1104sexual harassment while employed with TPE Bay County.
11122. On August 21, 2000, TPE Bay County filed the necessary
1123documents for incorporation with the Florida Department of State.
1132It was incorporated as a Florida for profit corporation. As of
1143April 11, 2002, the mailing address for the corporation was Post
1154Office Box 18155, Panama City Beach, Florida 32417. Kenneth L.
1164Karr is the registered agent for the corporation. He is the
1175president and only director. Mr. Karr is the only shareholder in
1186the corporation holding 400 shares. Mr. Karr's address is 7109
1196Lagoon Drive, Panama City Beach, Florida 32408. This information
1205concerning TPE Bay County and Mr. Karr pertained during the
1215relevant time contemplated by the Amended Charges of
1223Discrimination referred to before, with the exception that
1231Mr. Karr had a prior address in Panama City Beach, Florida.
1242Mr. Karr filed with the Florida Secretary of State a year 2004
1254for profit corporation annual report. That report was filed
1263April 26, 2004. It is one in a series of reports filed with that
1277agency since the inception of the corporation.
12843. Earlier a corporation identified as TPE Structures, Inc.
1293(TPE) had been formed. On March 26, 1999, the necessary
1303documents were filed with the Florida Department of State to
1313incorporate TPE. At times relevant, the principal address for
1322TPE was 5970 Peninsula Avenue, No. 3, Key West, Florida 33040.
1333The mailing address was Post Office Box 2066, Key West, Florida
134433045. Mr. Karr serves as resident agent for TPE. His address
1355is 7109 Lagoon Drive, Panama City Beach, Florida 32408 for those
1366purposes. The 2004 TPE for profit corporation annual report was
1376filed with the Florida Department of State on April 4, 2004.
1387Before April 14, 2004, other for profit corporation business
1396reports were filed with that agency. Mr. Karr was the president
1407and only director for TPE from the inception and continues in
1418those roles at present. He holds 500 shares in TPE that
1429represents all shares.
14324. At times relevant Mr. Karr received a salary from TPE
1443Bay County and from TPE.
14485. The Florida General Contracting license pertaining to
1456TPE Bay County and TPE is No. CBC059131.
14646. At times relevant TPE Bay County and TPE maintained
1474separate employee telephone numbers or contact lists. Those
1482lists set forth the names and addresses for the employees.
1492Persons whose names and addresses are related in the TPE Bay
1503County list and the TPE list do not overlap.
15127. TPE Bay County is engaged in the business of concrete
1523spalling, stucco repair, termite and water damage, waterproofing,
1531caulking, texture coatings and painting. TPE is engaged in the
1541business of concrete spalling, stucco repair, termite and water
1550damage, waterproofing, caulking, texture coatings and painting.
1557TPE Bay County in its breakout of work performed is involved 60
1569percent in waterproofing, 25 percent in stucco and wood repair
1579and 15 percent in painting and texture coatings. By contrast TPE
1590is involved with 80 percent concrete spalling, and 20 percent
1600painting. TPE Bay County does work in Bay County, Florida. TPE
1611does work in the lower Florida keys in Monroe County, Florida.
1622The work is done through separate company employees assigned to
1632those jobs from the business locations where the jobs are found.
1643The work is not done by exchanging employees who work for TPE Bay
1656County and TPE respectively.
16608. TPE Bay County and TPE have separate managers whose job
1671it is to estimate, promote, market, bid, solicit, and obtain
1681contracts. Those managers do not communicate or deal with each
1691other in the regular course of business.
16989. Mr. Karr's job duties in relation to his companies is to
1710deal with corporate functions, set goals for profit, set goals
1720for sales, deal with the respective managers of the two
1730companies, deal with cash-flow, oversee accounting, sign checks,
1738and visit job sites routinely. Mr. Karr hired the managers for
1749the two locations and would be responsible for firing those
1759managers. He has a similar role in dealing with a single
1770accounting staff that serves both companies.
177610. Gary Williams serves as the manager for TPE Bay County.
1787Stace Valensuelela manages TPE. Those managers are responsible
1795for labor relations and safety activities.
180111. The managers are responsible for approving time cards
1810for payroll purposes and establishment of hourly wages for
1819employees, for billing customers and approving invoices for
1827payment.
182812. The bookkeeping for the companies is done by Georgianne
1838Davis who is overseen by Mr. Karr's wife.
184613. The business records for TPE Bay County Respondent are
1856maintained at 7915 North Lagoon Drive, Panama City Beach, Florida
186632408. The mailing address for that company is Post Office Box
187718155, Panama City Beach, Florida 32417. The telephone number
1886for TPE Bay County is (850) 235-4811. The fax number for TPE Bay
1899County is (850) 230-3617. The e-mail address is
1907ken@tpestructures.com.
190814. The business records for TPE had been maintained at
19185970 Peninsula Avenue, No. 3, Key West, Florida 33040. The
1928mailing address for TPE was Post Office Box 2066, Key West,
1939Florida 33045. The telephone number for TPE was (305) 292-4111.
1949The fax number for TPE was (305) 292-4615. The e-mail address
1960for TPE is ken@tpestructures.com. After September 29, 2004, the
1969Key West office closed and the records of TPE were sent to the
1982Panama City Beach address related to TPE Bay County for storage
1993purposes.
199415. TPE Bay County has assigned an FEIN number 59-3666286.
2004TPE has assigned an FEIN number 65-0929637.
201116. TPE Bay County does business with Peoples Bank in
2021Panama City Beach, Florida. TPE has transacted banking business
2030with First State Bank in Key West, Florida.
203817. An occupational license was issued by Panama City Beach
2048for TPE Bay County's operations in Bay County, whereas TPE's
2058operations in Key West for Monroe County was issued a separate
2069occupational license by that local government.
207518. According to employee information for TPE Bay County
2084and TPE, at times relevant nine persons were employed by TPE Bay
2096County and 20-plus persons were employed by TPE.
210419. At times relevant none of the persons employed by TPE
2115Bay County worked on projects around south Florida. Similarly,
2124none of the TPE employees worked on projects in the Florida
2135panhandle.
213620. No funds related to TPE Bay County were used to pay the
2149debts for TPE. No funds for TPE were used to pay debts of TPE
2163Bay County.
216521. On advice of counsel Mr. Karr formed TPE Bay County as
2177a separate corporation from TPE to limit debt liability. These
2187arrangements were not intended in their design to avoid
2196employment discrimination claims by employees.
220122. A business card presented as evidence bearing
2209Mr. Karr's name sets forth TPE as the company. It provides the
2221post office address for TPE Bay County and TPE in their
2232respective locations at Panama City Beach and Key West. It gives
2243the telephone numbers for TPE Bay County and TPE. It gives the
2255fax number for TPE. It has a website listed which is
2266www.tpestructures.com.
226723. A letterhead refers to TPE with a post office address
2278for both the TPE Key West company and the TPE Bay County Panama
2291City Beach company.
229424. Advertising in several telephone book listing services
2302refers to "TPE Structures, Inc." and "TPE" while containing the
2312TPE Bay County's 7914 North Lagoon Drive, Panama City Beach,
2322Florida address and telephone number at 235-4811. Those listings
2331bore the website address www.tpestructures.com with the
2338contractors license number CBCO59131. Two separate telephone
2345listings bore the name "TPE Structures, Inc.," with the initials
"2355TPE" the 5970 Peninsula Avenue address for TPE and the telephone
2366number for TPE as (305) 292-4111. A website address in those
2377listings was given as www.tpestructures.com.
238225. A contact form soliciting information from outsiders
2390refers to TPE, not TPE Bay County, at the location 7914 North
2402Lagoon Drive, Panama City Beach, Florida 32408, with a telephone
2412number of (850) 235-4811 and the fax number (850) 230-3617. That
2423same form refers to TPE at telephone number (305) 292-4111 and
2434fax number (305) 292-4615. It carries an e-mail addresses for
2444general information as info@tpestructures.com and under the
2451president as ken@tpestructures.com.
245426. An information sheet referring to the "TPE" office
2463staff shows photos of Mr. Karr as founder and president, Suzanne
2474Karr, Gary Williams as manager of Panama City Beach, and
2484Georgianne Davis, secretary and accounting at Panama City Beach,
2493Florida. On that same page with photos unavailable is a
2503reference to Stace Valensuelela as manager of Key West and an
2514unnamed secretary at Key West, Florida.
252027. A brief employment application form refers to joining
2529the "TPE" team and sending the information to "TPE Structures,
2539Inc." at 7914 North Lagoon Drive, Panama City Beach, Florida
254932408. It provides the fax number (850) 230-3617 related to
2559Panama City Beach.
256228. At times relevant TPE Bay County had filed with the
2573Florida Department of Revenue its employers quarterly report.
2581TPE Bay County has filed a Form 940-EZ with the Internal Revenue
2593Service related to the Employers' Federal Unemployment (FUTA) tax
2602return for calendar year 2003. TPE Bay County had filed a Form
2614941 Employers' Quarterly Federal Tax Return for the quarter
2623ending September 30, 2003, with the Internal Revenue Service.
263229. In a document prepared that refers to the "TPE
2642history", it is stated that in addition to the Key West office,
2654TPE is proud to announce the opening of the Panama City Beach,
2666Florida office at 7914 North Lagoon Drive on February 1, 2001.
2677The phone numbers are (850) 235-4800 and fax (850) 230-3617 or
2688toll free at 877-660-4811.
269230. A truck used in the business related to TPE Bay County
2704had signs displayed referring to "TPE." One sign on the truck
2715indicated the telephone number for TPE Bay County's business,
2724which is (850) 235-4811.
272831. At times relevant employees working for TPE Bay County
2738wore painter whites referring to "TPE Structures" that displayed
2747the telephone numbers for Key West and Panama City Beach with a
2759common 1-800 number.
276232. When Petitioner White was hired, Mr. Karr told him that
2773he has trying to keep Key West going and was having monetary
2785trouble in that location. From the hearing record nothing
2794additional was said to Petitioner White on the subject.
280333. Mr. Karr told Petitioner Hunt that there was a Key West
2815branch of his business. Notwithstanding this remark, Petitioner
2823Hunt did not become personally familiar with the Key West
2833operation.
2834CONCLUSIONS OF LAW
283734. For purposes of this proceeding DOAH has jurisdiction
2846over the parties and the limited subject matter pursuant to
2856Sections 120.569 and 120.57(1), Florida Statutes (2004), and
2864Section 760.02(7), Florida Statutes (2003).
286935. This case concerns the question of whether jurisdiction
2878resides with the Commission to investigate Petitioners' Amended
2886Employment Charges of Discrimination. In particular, is the
2894named Respondent and "employer" subject to the "Florida Civil
2903Rights Act of 1992" (the Florida Act)? Section 760.02(7),
2912Florida Statutes (2003) defines the meaning of "employer" where
2921it states:
2923Employer means any person employing 15 or
2930more employees for each working week in each
2938of 20 or more calendar weeks in the current
2947or preceding calendar year, and any agent of
2955such a person.
295836. In resolving factual disputes related to the
2966jurisdictional threshold, the determination is made upon a
2974preponderance of the evidence. § 120.57(1)(j), Fla. Stat.
2982(2004).
298337. The Florida Act on job discrimination is patterned
2992after Title VII of the Civil Rights Act 1964, 42 U.S.C.
3003§ 2000e-2. For that reason federal cases related to Title VII
3014are available to determine the outcome in this case. See School
3025Board of Leon County v. Hargis and the Florida Commission on
3036Human Relations , 400 So. 2d 103 (Fla. 1st. DCA 1981).
304638. The parties recognized, and the proof at hearing
3055confirmed, that Petitioners cannot achieve the jurisdictional
3062threshold required by Section 760.02(7), Florida Statutes (2003),
3070without counting employees working for TPE as well as TPE Bay
3081County during the relevant time period. That time period as
3091described is August 11, 2003 through September 6, 2003, for
3101Petitioner White, and August 13, 2003 through October 4, 2003,
3111for Petitioner Hunt.
311439. The parties concur, and the proof confirms, that when
3124the TPE employees and Respondent's employees within the relevant
3133time period are added together, this would meet the definition of
"3144employer" set out in Section 760.02(7), Florida Statutes (2003),
3153as to numbers.
315640. For Petitioners to be able to include the TPE employees
3167in the count to establish the jurisdictional requirement by
3176complying with the definition of "employer" at Section 760.02(8),
3185Florida Statutes (2003), they must by extension of Title VII case
3196law meet the "single employer" or "integrated enterprise" test.
3205This test is one established in relation to Title VII actions.
3216In that setting it is recognized by the courts as being part of a
3230liberal construction pertaining to the term "employer" set forth
3239in Title VII. See Lyes v. the City of Rivera Beach, Florida , 166
3252F.3d 1332, 1341 (11th Cir. 1999). The court in Lyes explained at
32641341:
3265In keeping with this liberal construction,
3271we sometimes look beyond the nominal
3277independence of an entity and ask whether two
3285or more ostensibly separate entities should
3291be treated as a single, integrated enterprise
3298when determining whether a plaintiff's
"3303employer" comes within the coverage of Title
3310VII.
3311We have identified three circumstances in
3317which it is appropriate to aggregate multiple
3324entities for the purposes of counting
3330employees. First, where two ostensibly
3335separate entities are 'highly integrated with
3341respect to ownership and operations,' we may
3349count them together under Title VII.
3355McKenzie , 834 F.2d at 933 (quoting Fike v.
3363Gold Kist, Inc. , 514 F.Supp. 722, 726
3370(N.D.Ala.), aff'd, 664 F.2d 295 (11th Cir.
33771981)). This is the "single employer" or
"3384integrated enterprise" test. . . . .
3391In determining whether two non-governmental
3396entities should be consolidated and counted
3402as a single employer, we have applied the
3410standard promulgated in NLRA cases by the
3417National Labor Relations Board. See , e.g. ,
3423McKenzie , 834 F.2d at 933. This standard
3430sets out four criteria for determining
3436whether nominally separate entities should be
3442treated as an integrated enterprise. Under
3448the so-called "NLRB test," we look for "(1)
3456interrelation of operations, (2) centralized
3461control of labor relations, (3) common
3467management, and (4) common ownership or
3473financial control." . . .
347841. Petitioners bear the burden to establish their
3486jurisdictional claim consistent with the criteria above. See
3494McDonnell Douglas Corp. v. Green , 411 U.S. 792 (1973); Texas
3504Dept. of Community Affairs v. Burdine , 450 U.S. 248 (1981).
351442. Concerning the interrelation of operations for TPE
3522Bay County and TPE, Kenneth L. Karr was the president for both
3534companies. He hired and could fire managers for the companies as
3545well as the accounting staff. The bookkeeping was done in the
3556Panama City Beach Office for both companies. On the other hand,
3567the principal operations for those companies were separate
3575concerning the day-to-day activities and the immediate
3582management. They had separate profit centers concerning cash-
3590flow, notwithstanding Mr. Karr's establishment of goals for the
3599two businesses and the necessity for his managers within those
3609concerns to report back to him and his routine visits to the two
3622operations. In this connection Mr. Karr received salaries from
3631both companies. Mr. Karr helped with the bidding, soliciting,
3640and the obtaining and approving of contracts with both companies,
3650whereas the managers for both companies in the separate locations
3660estimated, promoted, marketed, bid, solicited, and obtained
3667contracts in their rolls for the separate markets and conduct of
3678business in discrete geographic locations. The respective
3685managers for the two companies were responsible for billing
3694customers, and approving invoices for payment.
370043. On the subject of centralized control of labor
3709relations, Mr. Karr made his managers for the two companies
3719responsible for labor relations and safety activities. Those
3727individuals were responsible for approving time cards related to
3736payroll and hourly wages.
374044. The management at the top for TPE Bay County and TPE
3752was Kenneth L. Karr, the president and sole director. The day-
3763to-day management for TPE Bay County and TPE was separate through
3774the managers that had been hired. In the related standard,
3784Mr. Karr was the common owner and exerted financial control over
3795both entities.
379745. On balance, having applied the criteria, TPE Bay
3806County and TPE are not nominally independent entities,
3814appropriately treated as a single integrated enterprise. The
3822companies are meaningfully separate entities. They are not
3830ostensibly separate entities. For that reason, in determining
3838jurisdiction in this case, the additional employees working for
3847TPE at the time should not be counted. Without them there were
3859insufficient numbers of employees working for TPE Bay County to
3869establish jurisdiction. Therefore, the Commission is without
3876jurisdiction to proceed with the processing of the respective
3885Amended Employment Charges of Discrimination.
3890RECOMMENDATION
3891Upon the consideration of the facts found and conclusions of
3901law reached, it is
3905RECOMMENDED:
3906That a final order be entered by the Commission finding that
3917it is without jurisdiction to proceed in these cases based upon
3928Petitioners' failure to show that the Respondent is "an employer"
3938as defined in Section 760.02(7), Florida Statutes (2003).
