144STATEMENT OF THE ISSUE
148The ultimate issue in this case is whether an application
158to organ ize Petitioner, BBU Bank, should be approved by
168Respondent, the Office of Financial Regulation, Division of
176Financial Institutions.
178PRELIMINARY STATEMENT
180On March 12, 2004, Respondent received an Application for
189Authority to Organize a Bank, a Savings Bank or Association
199Pursuant to Chapters 658 and 665, Florida Statutes, seeking
208authority to organize a new bank in Florida. Pursuant to the
219Application, the new bank was to be known as BBU Bank. The
231Application also disclosed that two foreign nationals, Jua n
240Carlos Escotet and Luis Xavier Lujan, are to own in excess of
252ten percent of the proposed new bank.
259Due to the proposed ownership interest by Mr. Escotet and
269Mr. Lujan, BBU Bank was required by Section 120.80(3)(a)4.,
278Florida Statutes, to participate in a public hearing conducted
287pursuant to Sections 120.569 and 120.57, Florida Statutes.
295Accordingly, on August 5, 2004, the Office of Financial
304Regulation issued an Order Granting Office's Petition for Public
313Hearing, ordering the conduct of the public hear ing.
322By letter dated August 9, 2004, the Office of Financial
332Regulation referred the matter to the Division of Administrative
341Hearings, requesting the assignment of an administrative law
349judge to conduct the public hearing. It was represented that
359the hea ring would last between two and two and one - half hours
373and that it should be held in Tallahassee, Florida. A copy of
385the Order Granting Office's Petition for Public Hearing was
394filed with the August 9, 2004, letter. The request was
404designated DOAH Case N o. 04 - 2801 and was assigned to the
417undersigned.
418After consultation with the parties, a Notice of Hearing
427was entered on August 19, 2004, scheduling the hearing to
437commence at 1:00 p.m. on September 21, 2004. Notice of the
448hearing was caused to be publishe d by Petitioner in The Miami
460Herald , on August 31, 2004. That Notice, as evidenced by an
471Affidavit of Publication filed by Petitioner, indicated the
479time, date, and location of the public hearing in compliance
489with Florida Administrative Code Rule 3C - 105. 105(1).
498On September 14, 2004, an Order Granting Motion for
507Official Recognition was entered. Pursuant to this Order,
515official recognition, requested by Respondent, was taken of
523Florida Administrative Code Rules 3C - 105.001 through 3C - 105.210,
534was taken.
536O n September 17, 2004, the parties filed a Joint Pre -
548Hearing Stipulation.
550At the commencement of the public hearing, it was
559determined that no members of the public were present who wished
570to be heard from. Petitioner then presented the testimony of
580Mr. Es cotet, Mr. Lujan, Ambassador V. Manual Rocha, and Manuel
591Lasaga, Ph.D. Petitioner also offered two exhibits, which were
600marked as Petitioner's Exhibits 1A and 1B, and 2. Respondent
610offered five exhibits, which were marked as Respondent's
618Exhibits 1 throu gh 5. All exhibits were admitted without
628objection. Respondent's Exhibits 1 and 2 consist of
636confidential documents which have remained in the possession of
645the undersigned and have been reviewed only by the undersigned.
655Those documents are being return ed to Respondent with this
665Report.
666At the conclusion of the public hearing the parties were
676advised by the undersigned of their right to file proposed
686public hearing reports. With the agreement of the parties, a
696filing date of 15 days after the filing of the transcript of the
709public hearing was established for the filing of proposed
718reports. By Notice of Filing Transcript, the parties were
727informed that the Transcript had been filed on October 5, 2004,
738and, therefore, their proposed reports were to be fil ed on or
750before October 20, 2004. On October 20, 2004, Respondent filed
760a Joint Proposed Report of Public Hearing. The Joint Proposed
770Report has been fully considered in completing this Report.
779FINDINGS OF FACT
7821. On March 12, 2004, the Office of Finan cial Regulation
793(hereinafter referred to as the "Office") received an
802Application for Authority to Organize a Bank, a Savings Bank or
813Association Pursuant to Chapters 658 and 665, Florida Statutes
822(hereinafter referred to as the "Application").
8292. The new bank is to be known as BBU Bank and is to be
844located at 150 Alhambra Circle, Coral Gables, Miami - Dade County,
855Florida.
8563. The Application listed three individuals who would own
865an interest in BBU Bank who were nationals of a country other
877than the United States: Juan Carlos Escotet, Luis Xavier Lujan,
887and Jorge Carraballo Rodriguez. Mr. Escotet and Mr. Jujan, but
897not Mr. Rodriguez, were determined to be proposed "major
906shareholders" of BBU Bank. A major shareholder is defined in
916Florida Administrative Code Rule 3C - 105.001(7) as "any person
926subscribing to 10 percent or more of the voting stock or
937nonvoting stock which is convertible into voting stock of the
947proposed state financial institution." Mr. Rodriguez will not
955own ten percent of the stock of BBU Bank nor will he be a
969director or executive officer of BBU Bank.
9764. The Office caused notice of its receipt of the
986Application to be published in the March 26, 2004, edition of
997the Florida Administrative Weekly. That notice was made
1005consistent with the requirements of Section 120.80(3)(a)1.a.,
1012Florida Statutes, and Florida Administrative Code Rule 3C -
1021105.103(1).
10225. By letter dated March 22, 2004, the Office acknowledged
1032receipt of the Application and deposit of the filing fee,
1042reported that notice of re ceipt of the Application had been
1053published in the Florida Administrative Weekly, and requested
1061additional information, including documentation of BBU Bank's
1068source of cash and/or a copy of a loan commitment to fund the
1081purchase of bank stock by each of th e proposed directors, the
1093qualifications of the proposed directors, and information
1100concerning whether an application had been filed with the
1109Federal Deposit Insurance Corporation (hereinafter referred to
1116as the "FDIC").
11206. By letter dated July 2, 2004, t he Office notified the
1132applicants that documents addressing the information requested
1139in previous correspondence had been received and reviewed. The
1148Office, therefore, informed the applicants that it had "now
1157[found] your application substantially complet e." The Office
1165also notified the applicants that a public hearing was required,
1175due to the proposed role of Mr. Escotet and Mr. Lujan in BBU
1188Bank.
11897. On August 5, 2004, Don Saxon, Commissioner of the
1199Office, issued an Order Granting Office's Petition for Public
1208Hearing, ordering the public hearing on the Application required
1217by Section 120.80(3)(a)4, Florida Statutes.
12228. The Order was filed with the Division of Administrative
1232Hearings on August 10, 2004, with a letter requesting the
1242assignment of an admi nistrative law judge to conduct the public
1253hearing.
12549. The public hearing was scheduled to commence at 1:00
1264p.m., on September 21, 2004. Notice of the hearing was caused
1275to be published in The Miami Herald on August 31, 2004, in
1287compliance with Florida A dministrative Code Rule 3C - 105.105(1).
129710. The public hearing was conducted as scheduled. No
1306member of the public appeared at the hearing. No opposition to
1317the Application was expressed by anyone appearing at the
1326hearing.
132711. Mr. Escotet, a proposed di rector and holder of
133762 percent of the common stock of BBU Bank, appeared and
1348testified at the public hearing. Based upon that testimony, it
1358is found that Mr. Escotet:
1363a. Is a citizen of Venezuela;
1369b. Is currently President of Banesco Banco Universal,
1377C aracas, Venezuela;
1380c. Has extensive banking experience and serves on the
1389board for several other banks in Venezuela; and
1397d. Possess sufficient financial institution experience,
1403ability, standing, and reputation to enable him to perform his
1413duties as a di rector for BBU Bank in a manner that can
1426reasonably be expected to result in the successful operation of
1436the bank.
143812. Mr. Lujan, a proposed director and holder of
144731 percent of the common stock of BBU Bank, appeared and
1458testified at the public hearing. Based upon that testimony, it
1468is found that Mr. Escotet:
1473a. Is a citizen of Venezuela;
1479b. Is currently the Executive President of Banesco Bank
1488Universal, Caracas, Venezuela;
1491c. Has more than 20 years of educational, managerial, and
1501executive experience in the banking business; and
1508d. Possess sufficient financial institution experience,
1514ability, standing, and reputation to enable him to perform his
1524duties as a director for BBU Bank in a manner that can
1536reasonably be expected to result in the successful o peration of
1547the bank.
154913. The other proposed directors, Jose R. Gutierrez,
1557Martha S. Pantin, Raul Robau, Santiago D. Morales, and Raul J.
1568Valdes - Fauli, are all citizens of the United States. They have
1580sufficient business institution experience, ability, standing,
1586and reputation to enable them to perform their duties as a
1597director for BBU Bank in a manner that can reasonably be
1608expected to result in the successful operation of the bank.
161814. Mr. Gutierrez is the proposed President and Chief
1627Executive Offic e for BBU Bank. Mr. Gutierrez is currently a
1638director for, and chairman of the Audit Committee of, Eastern
1648National Bank, Miami, Florida. Mr. Gutierrez has 24 years of
1658banking experience, including serving as president of three
1666banks, in Miami - Dade Count y. Mr. Gutierrez has sufficient
1677financial institution experience, ability, standing, and
1683reputation to enable him to perform his duties as BBU Bank's
1694President and Chief Executive Officer in a manner that can
1704reasonably be expected to result in the succes sful operation of
1715the bank.
171715. Neither Mr. Escotet or Mr. Lujan has been convicted
1727of, or pled guilty or nolo contendere to, any violation of
1738Section 655.50, Florida Statutes, any offense described in
1746Chapter 896, Florida Statutes, or any other crime. T he other
1757proposed officers and directors of BBU Bank reported to the
1767Office that they had not been convicted of, or pled guilty or
1779nolo contendere to, any violation of Section 655.50, Florida
1788Statutes, any offense described in Chapter 896, Florida
1796Statutes , or any other crime and no evidence to the contrary was
1808presented at the public hearing.
181316. The Office conducted a background investigation of all
1822of the directors and executive officers of BBU and reported no
1833information to preclude them from serving i n their proposed
1843capacities for the bank. Respondent's Exhibit 2 at 337 - 371.
185417. Consistent with Section 658.21(4), Florida Statutes,
1861three of the proposed directors, Mr. Escotet, Mr. Lujan, and
1871Mr. Valdes - Fauli, have direct financial institution experie nce
1881within three years of the date of the Application.
189018. The business plan for BBU Bank represents that the
1900bank will offer full - service banking to individuals and
1910businesses located primarily in Miami - Dade County. BBU Bank
1920will seek international busi nesses originating from Venezuela
1928and other countries in Latin America, relying upon the contacts
1938and experience of its directors and executive officers.
194619. BBU Bank will issue 2,000,000 shares of common stock
1958at a price of $7.50 per share. Stock sales will produce
1969$15,000,000.00 in capital. After payment of $350,000.00 of
1980organization expenses, BBU Bank will allocate the remaining
1988$14,650,000.00 capital funds as follows:
1995Paid - in Capital (2,000,000 shares of
2004$5.00 par value): $10,000,000.00
2010Paid - i n Surplus (at least 20% of
2019Paid - in Common Stock): 4,650,000.00
2027Total Capital Account $14,650,000.00
2033The initial capitalization of BBU Bank is adequate for its
2043proposed business activities.
204620. BBU Bank will have quarters suitable to carry out i ts
2058business. Conditions in Miami - Dade County indicate reasonable
2067prospects for the successful operation of BBU Bank. The bank's
2077financial plan is reasonable and attainable.
2083CONCLUSIONS OF LAW
208621. The Division of Administrative Hearings has
2093jurisdiction to conduct a public hearing pursuant to Sections
2102120.569 and 120.57(1), Florida Statutes, and to issue a report
2112thereon. § 120.80(3)(a)4., Fla. Stat.
211722. Section 120.80(3)(a)4., Florida Statutes, provides, in
2124pertinent part, the following:
2128In the case of every application for
2135license to establish a new bank, trust
2142company, or capital stock savings
2147association in which a foreign national
2153proposes to own or control 10 percent or
2161more of any class of voting securities, and
2169in the case of every application by a
2177foreign national for approval to acquire
2183control of a bank, trust company, or capital
2191stock savings association, the Office of
2197Financial Regulation shall request that a
2203public hearing be conducted pursuant to ss.
2210120.569 and 120.57. Notice of such he aring
2218shall be published by the applicant as
2225provided in subparagraph 2. The failure of
2232any such foreign national to appear
2238personally at the hearing shall be grounds
2245for denial of the application.
2250Notwithstanding the provisions of s.
2255120.60 (1) and subpa ragraph 3., every
2262application involving a foreign national
2267shall be approved or denied within 1 year
2275after receipt of the original application or
2282any timely requested additional information
2287or the correction of any errors or
2294omissions, or within 30 days af ter the
2302conclusion of the public hearing on the
2309application, whichever is later.
231323. Two individuals, Mr. Escotet and Mr. Lujan, are
2322foreign nationals who propose to own or control ten percent or
2333more of any class of voting securities of BBU Bank.
234324. T herefore, after publishing notice consistent with
2351Florida Administrative Code Rule 3C - 105.105, a public hearing
2361was conducted on the Application on September 21, 2004.
237025. This Report is being issued consistent with the
2379requirements of Section 120.80(3)(b ), Florida Statutes.
