227PRELIMINARY STATEMENT
229On November 12, 2004 , in Volume 30, Number 46, of the
240Florida Admini strative Weekly, the Office of Insurance
248Regulation (OIR) through the Department of Financial Services
256(Department), published two Notices of proposed rulemaking for
264proposed Rules 69O - 175.003, 69O - 170.005 - 007, 69O - 170.013, 69O -
279170.0135. 69O - 170.014, 69O - 1 70.0141, 69O - 170.0142, and 69O -
293170.0155. The proposed Rules variously deal with filing
301procedures for a variety of insurance rates. Thereafter,
309Petitioner, The Florida Insurance Council (FIC), Inc., filed a
318Petition challenging the proposed Rules as an i nvalid exercise
328of delegated legislative authority.
332On January 14, 2005, in Volume 31, Number 2, of the Florida
344Administrative Weekly, OIR through the Department published two
352Notices of Change to proposed Rules 69O - 175.003, 69O - 170.005 -
365007, 69O - 170.013, 6 9O - 170.0135. 69O - 170.014, 69O - 170.0141, 69O -
381170.0142, and 69O - 170.0155. Thereafter, on March 2, 2005,
391Petitioner filed an amended Petition challenging the validity of
400the proposed Rules.
403Finally, o n April 15, 2005, in Volume 31, Number 15, of the
416Florida Administrative Weekly, OIR through the Department
423published two Notices of Change to proposed Rules 69O - 175.003,
43469O - 170.005 - 007, 69O - 170.013, 69O - 170.0135. 69O - 170.014, 69O -
450170.0141, 69O - 170.0142, and 69O - 170.0155.
458Both parties have engaged in extensive d iscovery and have
468filed relevant responses to discovery and depositions.
475Additionally, both parties have offered oral arguments in
483support of their Motions f or Summary Final Order.
492FINDINGS OF FACT
4951. Section 20.05, Florida Stat ute s, addresses the
504stru cture and powers of the Department. Section 20.05 provides
514as follows, in pertinent part:
51920.05 Heads of departments; powers and
525duties. --
527(1) Each head of a department, except
534as otherwise provided by law, must:
540* * *
543(b) Have autho rity, . . ., to execute
552any of the powers, duties, and functions
559vested in the department or in any
566administrative unit thereof through
570administrative units . . . designated by
577the head of the department, . . . unless the
587head of the department is explici tly
594required by law to perform the same without
602delegation.
603* * *
606(e) Subject to the requirements of
612chapter 120, exercise existing authority to
618adopt rules pursuant and limited to the
625powers, duties, and functions transferred to
631the department.
6332. The Financial Services Commission (Commission) was
640created within the Department pursuant to Section 20.121,
648Fl orida Stat ute s. However, the Commission is not subject to
660control, supervision or direction by the Department of Financial
669Services in a ny manner. § 20.121(3) , Fla. Stat . The
680Commission is composed of the Governor and Cabinet , who
689collectively serve as the agency head of the Commission. Action
699by the Commission can only be taken by majority vote consisting
710of at least three affirmativ e votes. Id.
7183 . OIR is a structural unit of the Financial Services
729Commission. Section 20.121(3) states in relevant part, as
737follows:
738( a) Structure. The major structural unit of
747the commission is the office. Each office
754shall be headed by a director . The
762following offices are established:
7661 . The Office of Insurance Regulation, which
774shall be responsible for all activities
780concerning insurers and other risk - bearing
787entities . . .
791* * * *
795(b) Organization. -- The commission shall
801establish by rule any additional
806organizational structure of the offices. It
812is the intent of the legislature to provide
820the commission with the flexibility to
826organize the offices in any manner they
833determine appropriate to promote both
838efficiency and accountability .
842(c) Powers. Commission members shall serve
849as the agency head for purposes of
856rulemaking . . . by the commission and all
865subunits of the commission. . . .
872(emphasis supplied)
8744. Clearly, under the Departments, the Commissions and
882the OIRs org anizational structure s , only the Commission may
892promulgate rules for both itself and OIR. The Department does
902not have rulemaking authority over areas that have been given to
913the Commission. On the other hand, nothing in the statute
923prohibits OIR, as dir ected by the Commission, to perform steps ,
934preliminary to proposing a rule , that often occur in the rule
945development process prior to the actual Notice of proposed
954rulemaking. See also § 120.54, Fla. Stat. To that end, the
965Commission, b y non - rule policy, has delegated authority to OIR
977to engage in rulemaking activities on behalf of the Commission.
987However, this delegation is not limited to rule development
996activities that occur prior to the Notice of proposed Rules, but
1007authorizes publication of the Noti ce prior to approval by the
1018Commission of any proposed language or policy statement.
10265. As indicated, the Notices for the proposed Rules were
1036published in the Florida Law Weekly in November 2004, with
1046various changes made thereafter. The p roposed R u les were
1057published as OIR rules. Disturbingly and misleadingly, all the
1066Notices for the proposed Rules state that the agency head
1076approved the R ule that is the subject of the Notice on
1088September 3, 2004 or November 2, 2004. However, none of the
1099p roposed R ules were approved by the Commission, the agency head,
1111prior to their publication as a proposed rule in the Florida
1122Administrative Weekly.
11246. The specific agency authority listed in the Notices for
1134promulgating the proposed Rules was Section 624.308(1), Fl orida
1143Stat ute s. Section 624.308(1) grants the Department of Financial
1153Services (Department) and the Financial Services Commission
1160(Commission) the general authori ty to adopt rules, pursuant to
1170Sections 120.536(1) and 120.54 in order to implement laws th at
1181confer duties upon them. The statute does not confer the
1191authority on the Office of Insurance Regulation (OIR) to adopt
1201rules. See § 624.05, Fla. Stat. The statutes that confer a
1212specific grant of rulemaking authority over the areas of the
1222laws imple mented in the proposed R ules are Sections 627.0651 and
1234627.331, Fl orida Stat ute s. These two statutes confer specific
1245rulemaking authority over certain areas of insurance ratemaking
1253only to the Commission ; s pecific rulemaking authority is not
1263granted to th e Department or to OIR. Other than rulemaking
1274authority, the various duties assigned in the laws implemented
1283by proposed R ules are given to OIR.
1291CONCLUSIONS OF LAW
12947. The Division of Administrative Hearings has
1301jurisdiction over the subject matter of and the parties to this
1312proceeding. § 120.57(1), Fla. Stat.
13178. The Administrative Procedures Act specifically requires
1324the agency head to approve all proposed rules prior to
1334publication in the Florida Administrative Weekly. Section
1341120.54, Flori da Statutes, provides, in material part:
1349(3) Adoption procedures.
1352(a) Notices.
13551. Prior to the adoption, amendment, or
1362repeal of any rule other than an
1369emergency rule, an agency, upon
1374approval of the agency head , shall give
1381notice of its intended action, setting
1387for th a short, plain explanation of the
1395purpose and effect of the proposed
1401action; the full text of the proposed
1408rule or amendment and a summary
1414thereof; a reference to the section or
1421subsection of the Florida Statutes or
1427the Laws of Florida being implemented ,
1433interpreted, or made specific.
1437(Emphasis supplied)
14399. Section 120.54(3)(a)(1) specifically uses the term
1446agency head and requires approval of the agency head to
1456notice the intended action in the Florida Administrative Weekly.
1465Subsection (3) is de nominated Notices and refers to the
1475procedural requirements for noticing rules, including what the
1483notice should contain and when and where it must be published.
1494This is the notice which must be given in order that affected
1506persons may request a hearing to challenge the proposed official
1516policy of the agency.
152010. Other subsections of S ection 120.54 pertain to the
1530conduct of the hearing. See § 120.54(3)(c) , Fla. Stat . None of
1542these other sections use the term agency head , but rather
1553refer to the age ncy . For example, the agency shall schedule
1566a public hearing and give affected persons an opportunity to
1576present evidence and argument. § 120.54(3)(c)(1) , Fla. Stat .
1585Such evidence and argument shall be considered by "the agency."
1595Id. The "agency" s hall file the rule with the Secretary of
1607State. § 120.54(3)(e). The only reference to "agency head , " as
1617well as the only requirement for rulemaking that must be
1627performed by the agency head , is the approval of the proposed
1638rule prior to notice in the Flo rida Administrative Weekly.
164811. The legislative use of different terms in different
1657portions of the same statute is evidence that different meanings
1667were intended. State v. Bradford , 787 So. 2d 811 (Fla. 2001);
1678See also Russello v. United States , 464 U. S. 16, 104 S. Ct. 296
1692(1983)("[w]here Congress includes particular language in one
1700section of a statute but omits it in another section of the same
1713Act, it is generally presumed that Congress acts intentionally
1722and purposely in the disparate inclusion or e xclusion"); and
1733Dept. of Revenue v. Central Dade Malpractice Trust Fund , 673 So.
17442d 899 (Fla. 1st DCA 1996)("the legislative intent may be
1755discerned from the Legislature's election to use different words
1764to convey different meanings within a statute"). Th e use of the
1777term agency head in Section 120.54 clearly demonstrates that
1786approval of the language or policy of the proposed rule or rules
1798is required since the Notice must contain the rules proposed
1808language.
180912. Reading Sections 20.05(1)(b), 20.05(1) (e),
181520.121(3)(c), 120.54(3), 624.308(1), 627.0651 and 627.331 ,
1821Fl orida Stat utes , together makes clear that only the Commission
1832is the agency head for purposes of rulemaking under Sections
1842120.536(1) and 120.54, Fl orida Stat ute s, of the Administrative
1853Proc edures Act , when implementing Sections 624.308, 627.0651 and
1862627.331, Fl orida Stat utes , and the other various s ections of the
1875insurance code involved in these rules. Therefore, OIR does not
1885have the authority to promulgate rules under Chapter 120,
1894Fl orida Stat ute s. One purpose of the process of rulemaking
1906under Chapter 120 is to afford an affected person the
1916opportunity to challenge a proposed rule, approved by an agency
1926head, in a disinterested forum before the after - notice time
1937period expires and the ru le becomes law. Because the Commission
1948is the agency head for purposes of rulemaking, the Commission,
1958at a minimum, must approve the language of any proposed rule,
1969prior to its being noticed as a proposed rule as set forth in
1982Section 120.54(3)(a), Fl orid a Stat ute s. Without such approval,
1993the proposed rule does not represent any official statement of
2003potential agency policy.
200613. In this case, the process used by OIR does not obtain
2018the approval of the Commission, its agency head, until after the
2029Notic e has been published. Without such approval, there is no
2040official statement of potential policy from the agency. In
2049short, the process used currently by the Commission and OIR
2059forecloses the opportunity for an affected person to challenge a
2069proposed offi cial policy of an agency prior to such policy
2080having the effect of law , because the agency head does not
2091approve the language of the proposed rule until after the Notice
2102is published. This process also forces an affected person to
2112litigate language which has not been approved by the agency head
2123and, as occurred in this case, face potential motions to dismiss
2134or motions for summary disposition for lack of ripeness based on
2145the fact the Commission has not approved the language of the
2156proposed rules.
215814. As indicated, the above - referenced statutes do not
2168prevent the Commission from giving Respondent instructions to
2176assist in the development of a rule, but the Commission must
2187review and approve the content of a proposed rule before
2197providing notice of its adop tion. A general delegation of
2207authority to OIR, through an agenda item, to independently
2216develop and give notice of adoption of proposed rules is
2226insufficient since it is each statement of potential policy that
2236must be approved. See § 120.54(3) , Fla. Sta t . Of necessity,
2248such approval is specific to each policy, or the agency head
2259will not know what its lower divisions are doing or what its
2271statements of potential policy are.
227615. The Legislature expressly made a decision to require
2285the Commission to cons ider and approve proposed rules before a
2296notice of intended agency action is published. It is not
2306placing form over substance to require the Commission, as agency
2316head, to comply with these non - delegable rulemaking procedures.
2326Therefore, the agency has m aterially failed to follow the
2336applicable rulemaking procedures set forth in Chapter 120 , in
2345violation of Section 120.52(8)(a), Fl orida Stat ute s, and the
2356proposed R ule is invalid because the proposed R ules were noticed
2368for adoption without being approved b y the Commission. See also
2379AIU, et al. v. Dept. of Financial Services, et al . Case No. 04 -
23941540RP (The Commission must review and approve the content of a
2405proposed rule prior to the Notice being published in the Florida
2416Administrative Weekly).
