285This matter is submitted for decision on the State of
295Florida, Department of Elder Affairs' ("Department") Motion to

444The issue presented by the Department in its motion is whether
455the Division of Administrative Hearings has subject matter
463jurisdiction to hear a bid protest submitted by the AAA Palm
474Beach/Treasure Coast.
476Simply stated, the instant case involves a challenge by Mae
486Volen to the AAA Palm Beach/Treasure Coast's notice of intent to
497award to Ruth Rales a contract for designation as Lead Agency
508and Case Management /Case Aide pursuant to a Request for
518Proposals ("RFP") issued on February 17, 2006, by the AAA Palm
531Beach/Treasure Coast. Mae Volen, which had submitted a proposa l
541in response to the RFP, filed a Petition for Administrative
551Hearing with the AAA Palm Beach/Treasure Coast "pursuant to
560sections 120.569, 120.57(1) and (3), Florida Statutes, and rules
56928 - 106.201(2) and 28 - 110.004, Florida Administrative Code." The
580AAA Palm Beach/Treasure Coast transmitted the petition to the
589Division of Administrative Hearings with a request that an
598administrative law judge be assigned "to conduct the proceeding
607in accordance with Sections 120.57(1) and 120.57(3), Florida
615Statutes. Bot h Mae Volen and AAA Palm Beach/Treasure Coast
625acted based on the following provision found in Attachment 12 of
636the RFP, which provided in pertinent part:
643If the protest is not resolved by mutual
651agreement within seven days . . . of receipt
660of the formal wr itten protest, and if there
669is a disputed issue of material fact, the
677formal written protest shall be referred to
684the Division of Administrative Hearings for
690further proceedings.
692Upon receipt by the Division of Administrative Hearings,
700the matter was assi gned to the undersigned, who conducted a
711telephone conference with counsel for Mae Volen and the AAA Palm
722Beach/Treasure Coast to arrange a date for the hearing. Counsel
732for the Department joined the telephone conference and stated
741that the Department int ended to file a motion to dismiss this
753administrative proceeding on the grounds that the Division of
762Administrative Hearings lacked subject matter jurisdiction to
769adjudicate the bid protest. The Department's Unopposed Petition
777to Intervene, filed for the limited purpose of challenging the
787subject matter jurisdiction of the Division of Administrative
795Hearings, was granted in an order entered July 19, 2006. Oral
806argument was heard from all parties during the telephone hearing
816on July 13, 2006.
820Having consid ered all of the written pleadings submitted
829with respect to the subject matter jurisdiction of the Division
839of Administrative Hearings to conduct an administrative hearing
847in this case and the arguments of counsel during the hearing,
858the Department's Motio n to Dismiss for Lack of Subject Matter
869Jurisdiction is granted because AAA Palm Beach/Treasure Coast is
878not an "agency" for purposes of the Administrative Procedures
887Act, Chapter 120, Florida Statutes. The jurisdiction of
895administrative law judges employ ed by the Division of
904Administrative Hearings is limited to conducting "hearings
911required by this chapter or other law" and conducting hearings
"921on a contract basis to any governmental entity . . . not
933covered by this section." § 120.65(4) and (7), Fla. S tat. 1
945The AAA Palm Beach/Treasure Coast is a private entity that
955is designated by, and is under contract with, the Department to
966provide services to the elderly pursuant to Section 20.41,
975Florida Statutes, which provides in pertinent part:
982(5) The departm ent shall be the state unit
991on aging as defined in the federal Older
999Americans Act of 1965, as amended, and shall
1007exercise all responsibilities pursuant to
1012that act.
1014(6) In accordance with the federal Older
1021Americans Act of 1965, as amended, the
1028departmen t shall designate and contract with
1035area agencies on aging in each of the
1043department's planning and service areas.
1048Area agencies on aging shall ensure a
1055coordinated and integrated provision of
1060long - term care services to the elderly and
1069shall ensure the pr ovision of prevention and
1077early intervention services. The department
1082shall have overall responsibility for
1087information system planning. The department
1092shall ensure, through the development of
1098equipment, software, data, and connectivity
1103standards, the ab ility to share and
1110integrate information collected and reported
1115by the area agencies in support of their
1123contracted obligations to the state.
1128(7) The department shall contract with the
1135governing body, hereafter referred to as the
"1142board," of an area agen cy on aging to
1151fulfill programmatic and funding
1155requirements. The board shall be
1160responsible for the overall direction of the
1167agency's programs and services and shall
1173ensure that the agency is administered in
1180accordance with the terms of its contract
1187with the department, legal requirements,
1192established agency policy, and effective
1197management principles. The board shall also
1203ensure the accountability of the agency to
1210the local communities included in the
1216planning and service area of the agency.
1223(8) The a rea agency on aging board shall,
1232in consultation with the secretary, appoint
1238a chief executive officer, hereafter
1243referred to as the "executive director," to
1250whom shall be delegated responsibility for
1256agency management and for implementation of
1262board polic y, and who shall be accountabl e
1271for the agency's performance.
1275(9) Area agencies on aging are subject to
1283chapter 119, relating to public records,
1289and, when considering any contracts
1294requiring the expenditure of funds, are
1300subject to ss. 286.011 - 286.01 2, r elating to
1310public meetings.
1312The statutory provisions under which the AAA Palm Beach/Treasure
1321Coast's RFP was issued are found in Sections 430.201 - .207,
1332Florida Statutes, the Community Care for the Elderly Act. An
"1342area agency on aging" is defined in Sect ion 430.203(1), Florida
1353Statutes, as
1355a public or non - profit private agency or
1364office designated by the department to
1370coordinate and administer the department's
1375programs and to provide, through contracting
1381agencies, services within a planning and
1387service ar ea. An area agency on aging
1395serves as both the advocate and the visible
1403focal point in its planning and service area
1411to foster the development of comprehensive
1417and coordinated service systems to serve
1423older individuals.
1425An "agency," for purposes of the A dministrative Procedures
1434Act, is defined in Section 120.52(1), Florida Statutes, in
1443pertinent part, as follows:
1447(1) "Agency" means:
1450(a) The Governor in the exercise of all
1458executive powers other than those derived
1464from the constitution.
1467(b) Each:
14691. State officer and state department, and
1476each departmental unit described in
1481s. 20.04.
14832. Authority, including a regional water
1489supply authority.
14913. Board.
14934. Commission, including the Commission on
1499Ethics and the Fish and Wildlife
1505Conservation Commi ssion when acting pursuant
1511to statutory authority derived from the
1517Legislature.
15185. Regional planning agency.
15226. Multicounty special district with a
1528majority of its governing board comprised of
1535nonelected persons.
15377. Educational units.
15408. Entity des cribed in chapters 163, 373,
1548380, and 582 and s. 186.504.
1554(c) Each other unit of government in the
1562state, including counties and
1566municipalities, to the extent they are
1572expressly made subject to this act by
1579general or special law or existing judicial
1586deci sions.
1588The AAA Palm Beach/Treasure Coast does not fall within any
1598of the categories set forth in Section 120.52(1)(a) or (b),
1608Florida Statutes. Nothing in Section 20.41, Florida Statutes,
1616or in Section 430.203, Florida Statutes, expressly makes the
1625AAA P alm Beach/Treasure Coast subject to Chapter 120, Florida
1635Statutes, and Mae Volen did not cite any judicial decision in
1646which the AAA Palm Beach/Treasure Coast was expressly made
1655subject to Chapter 120, Florida Statutes. In addition, in
1664Section 20.41(9), F lorida Statutes, the Florida Legislature
1672expressly made area agencies on aging subject to the Florida
1682Public Records Act, Chapter 119, Florida Statutes, and to the
1692public - meeting requirements of Sections 286.011 through .012,
1701Florida Statutes, " when [an ar ea agency on aging is ] considering
1713any contracts requiring the expenditure of funds ." Had the
1723Legislature wanted to make area agencies on aging subject to the
1734public procurement laws in Chapter 287, Florida, or to the
1744procedures set forth in Chapter 120, Florida Statutes, it could
1754have expressly done so. Finally, the AAA Palm Beach/Treasure
1763Coast cannot contract with the Division of Administrative
1771Hearings to assign administrative law judges to conduct hearings
1780to resolve protests involving its requests f or proposals because
1790it is not a governmental entity, nor can it establish a
1801procurement procedure in which bid protests involving disputed
1809issues of material fact can be referred to the Division of
1820Administrative Hearings.
1822CONCLUSION
1823Based on the foregoi ng, it is ORDERED that the Petition for
1835Administrative Hearing is dismissed because the Division of
1843Administrative Hearings does not have subject matter
1850jurisdiction over bid protests arising out of the RFP issued on
1861February 16, 2006, by the AAA Palm Beac h/Treasure Coast.
