104Whether Petitioner can prove that Respondent, Atlass

146PRELIMINARY STATEMENT

148Petitioner filed a charge of discrimination with the

156Florida Commission on Human Relations (FCHR) on February 13,

1652006, alleging th at Respondent, Atlass Insurance, had viol ated

175the Florida Civil Rights Act of 1992, on the basis of the

187Petitioner's age. An investigation was conducted and FCHR

195issued a Determination of No Jurisdiction, on August 11, 2006.

205It was held that the "Commission lacks jurisdiction over the

215Complaint of Discrimination based on the fact that the

224Respondent is not an "Employer" within the meaning of Section

234760.02(7), Florida Statutes .

238Petitioner timely filed a Petition for Relief . T his matter

249was referred to the Division of Administrative Hearings (DO AH)

259on September 15, 2006, and was set for hearing. Respondent

269filed a Motion to Dismiss, which was d enied without prejudice.

280On motion of the parties, the final hearing was continued until

291November 28, 2006, and the issue was limited to the question of

303whether Petitioner can prove that Respondent was an "employer"

312under the statute.

315At the final hearing, Petitioner testified on her own

324behalf, and offered Exhibits 1 through 7 , which were received in

335evidence. An e - mail, dated January 26, 2006 , was offer ed by

348Petitioner , but was not received in evidence . Respondent called

358James Okonski as a witness. Respondent also entered in evidence

368Exhibits 1 through 4.

372A transcript of the hearing was ordered and filed on

382December 15, 2006. Petitioner filed two lett ers, dated

391December 7 and 21, 2006, respectively, which have been

400considered a s proposed finding s of fact. Respondent filed its

411Proposed Recommended Order on December 18, 2006.

418FINDINGS OF FACT

4211. Petitioner, Barbara Salber, was an employee of Florida

430Hi way Insurance, Inc. , beginning in 2005 and worked at an office

442located at 55 Goodwin Drive, Suite 103, Merritt Island, Florida,

452until she was terminated in December, 2005. Early in 2005, the

463corporation was purchased by buyers from the Ft. Lauderdale

472area , who became officers and stockholders of the corporation.

481In May, 2005, the company changed its name to Atlass Insurance

492Merritt Island, Inc.

4952. Petitioner admitted that she does not know who her

505actual employer was, Atlass Insurance Group, Inc. , or Atl ass

515Insurance Merritt Island, Inc. Petitioner was unable to testify

524as to the number of employees working at the Atlass Insurance

535Merritt Island office in July, August, September, October,

543November or December of 2005.

5483. Petitioner testified that she wa s an employee of only

559one company from July through December 2005, and she only

569received paycheck s from that company during that time period.

579The W - 2 that Petitioner received for working in 2005 was f rom

593Florida Hiway Insurance, Inc., not Atlass Insurance Group, Inc.,

602Jim Okonski or Frank Atlass. The name Atlass Insurance Merritt

612Island, Inc. , did not appear on the W - 2 for 2005.

6244. Jim Okonski is an officer and stockholder in the two

635corporations, Atlass Insurance Group, Inc. , and Atlass Insurance

643Merrit t Island, Inc.

6475 . Atlass Insu rance Group, Inc. , is located in

657Ft. Lauderdale, Florida , and it did not employ Barbara Salber at

668any time . The UCT - 6 forms for Atlass Insurance Group lists

681employees during each quarter, and Barbara Salber was never

690listed a s an employee in 2005 . The most employees during any

703quarter in 2005, employed by Atlass Insurance Group, Inc. , was

713ten.

7146 . Florida Hiway Insurance, Inc. , was formed in 1994 , and

725is a licensed Florida Insurance Agency. In May 2005, it changed

736its name t o Atlass Insurance Merritt Island, Inc. Records

746prepared by IRS and the State of Florida still showed the former

758company name. Petitioner was listed on the UCT - 6 form for

770Florida Hiway Insurance n/k/a Atlass Insurance Merritt Island,

778Inc. as an employee during 2005 . T he maximum number of

790employees Atlass Insurance Merritt Island, Inc. had in 2005 , was

800thirteen .

8027. The UC account number s for the two different

812corporations are different from each other . Each corporation

821has its own UC account number. Th e same is true for the F ederal

836E mployer I dentification number. Each corporation ha s its own

847Florida Employment ID number. Separate bank accounts were kept

856for each corporation. There was no show ing that the corporate

867funds were ever co - mingled.

8738. Russ ell Jamieson was responsible for the day - to - day

886operations o f the Atlass Insurance Merritt Island Company in

8962005 , and was Petitioner's supervisor. He was not connected

905with the day - to - day operations of Atlass Insurance Group, Inc.

918in Ft. Lauderdale.

9219 . T he hours of operation for the two companies are

933different , and each company has its own workers ' compensation

943insurance. They also have different general liability insurance

951policies. Although Petitioner was under the belief that there

960was a merger betw een Atlass Insurance Group, Inc. , and Florida

971Insurance, Inc. , in 2005, the best evidence showed that Frank

981Atlass purchased stock from Florida Hiway Insurance, Inc. , and

990eventually the company's name was changed in May of 2005.

100010 . Petitioner never worke d in Ft. Lauderdale , and she

1011never visited the Atlass Insuranc e Group, Inc. , whose only

1021office is located in Ft. Lauderdale.

102711 . Petitioner testified that throughout 2005 and 2006

1036there were only eight employees in the Merritt Island office .

1047Even when Pe titioner testified as to the names of the employees

1059in the office , while she worked there, she could not list and

1071did not list more than ten names.

107812. Petitioner was an employee of Florida Hiway Insurance,

1087Inc. n/k/a Atlass Insurance Merritt Island, Inc. , and, during

1096the calendar year 2005, it never employed fifteen employees or

1106more.

1107CONCLUSIONS OF LAW

11101 3 . The Division of Administrative Hearing s has

1120jurisdiction over the parties and the subject matter of this

1130proceeding. §§ 120.569, 120.57(1), and 760. 10, Fla. Stat.

11391 4 . The FCHR is empowered to investigate complaints

1149alleging any discrim in atory employment practice under the

1158Florida Civil Rights Act of 1992. § 760.02(7), Fla . Stat.

116915. It is an unlawful employment practice for an employer

1179to discharge or otherwise discriminate against any individual

1187because of such individual's age. § 760.10(1)(a), Florida

1195Statutes.

119616. In order to investigate a complaint of alleged age

1206discrimination, the person or corporation alleged to have

1214committed an unlawful e mployment practice must qualify as an

"1224employer" under the statutes.

122817. An "employer, " as that term is used in the Florida

1239Civil Rights Act of 1992 , is define d in , Section 760.02(7 ),

1251Florida Statutes, as "any person employing 15 or more employees

1261for eac h working day in each of 20 or more calendar weeks in the

1276current or preceding calendar year, and any agent of such a

1287person." Petitioner has the burden of proving that her employer

1297meets this definition. Florida Depar t ment of Transportation v

1307J. W. C. C o. Inc. , 396 So. 2d 778 (Fla. 1st DCA 1981 ).

132218. Respondent contends that Petitioner has not met her

1331burden , that the F C HR has no jurisdiction over the employer,

1343Atlass Insurance of Merritt Island , Inc. , or over Atlass

1352Insurance Group, Inc. , since neither company ha d fifteen or more

1363employees during the relevant time , and the two companies

1372together are not a single employer or a joint employer. The

1383evidence at the hearing demonstrates that Petitioner failed to

1392meet her burden as to the jurisdiction of the FCHR . Petitioner

1404was unsuccessful in providing any evidence at the hearing that

1414either Atlass Insurance Merritt Island, Inc. , or Atlass

1422Insurance Group, Inc. , had the required number of employees.

143119. It is clear from the evidence that the employer of t he

1444Petitioner was Atlass Insurance Merritt Island, Inc. , and she

1453was never employed by Atlass Insurance Group, Inc. The two

1463corporations are separate and distinct legal entities and are

1472not a single employer or an integrated enterprise. Cf. Lyles

1482vs. Cit y of Riv ier a Beach, Fla. , 1 6 6 F.3d 1332 , 1341 (11th Cir.

14991999).

150020 . Therefore, t here is no jurisdiction for the FCHR to

1512investigate the complaint, since Atlass Insurance Merritt

1519Island, Inc. , does not have the required number of employees

1529pursuant to the Florida Civil Rights Act of 1992 , and further,

1540Atlass Insurance Group, Inc. , was not the employer of the

1550Petitioner .

1552RECOMMENDATIONS

1553Based on the foregoing Findings of Fact and Conclusions of

1563Law, it is

1566RECOMMENDED that:

1568The Florida Commission on Human Rel ations enter a final

1578order dismissing, with prejudice, the Petition for Relief

1586because it lacks jurisdiction over the employer, Atlass

1594Insurance Merritt Island, Inc. , or Atlass Insurance Group, Inc.
