158PRELIMINARY STATEMENT
160Galaxy Powersports, LLC d/b/a JCL International LLC
167(Galaxy) published three separate Notices of Publication for a
176New Point Franchise Motor Vehicle Dealer in a County of More
187than 300,000 Population in the Florida Administrative Weekly on
197October 10, 2008, providing notice of its intent to permit J & F
210South Florida Investments, Inc. d/b/a Treasure Coast Scooters
218and Things (Treasure Coast) to sell three separate lines of
228motorcycles. As will be discussed below, Respondent, WenMark
236Inc., d/b/a All The Wheel Toys, thereafter timely filed a
246challenge to one of those lines. The Florida Department of
256Highway Safety and Motor Vehicles (the Department) forwarded
264that challenge to DOAH, and this proceeding resulted.
272Thereafter, the case was scheduled for hearing and the
281parties were provided notice of the hearing location and time.
291At the hearing, Galaxy did not appear. Galaxy had been
301provided appropriate notice of the hearingeasure Coast was
309represented by Guy Young. Mr. Young did not testify and he did
321not present any exhibits. Respondent presented the testimony of
330Mark Mourning and offered three Composite Exhibits, each of
339which was admitted into evidence.
344A Transcript of the proceeding was not filed. The parties
354were granted ten days from the hearing date within which to file
366proposed recommended orders. Neither party filed a proposed
374order.
375FINDINGS OF FACT
3781. On October 10, 2008, in the Florida Administrative
387Weekly, Volume 34, Number 41, three separate Notices of
396Publication for a New Point Franchise Motor Vehicle Dealer in a
407County of More than 300,000 Population were published.
4162. The first notice provided, in relevant part, as
425follows:
426Pursuant to Section 320.642, Florida
431Statutes, notice is given that [Galaxy]
437intends to allow the establishment of
443[Treasure Coast] as a dealership for the
450sale of motorcycles manufactured by Benzhou
456Vehicle Industry Group Co. Ltd. (SHWI) at
4637320 South U.S. 1, Port St. Lucie (St. Lucie
472County) Florida 34952 on or after September
47926, 2008.
4813. The second notice provided, in relevant part, as
490follows:
491Pursuant to Section 320.642, Florida
496Statutes, notice is given that [Galaxy]
502intends to allow the establishment of
508[Treasure Coast] as a dealership for the
515sale of motorcycles manufactured by Zhejiang
521Taizhou Wangye Power Co. Ltd. (ZHEJ) at 7320
529South U.S. 1, Port St. Lucie (St. Lucie
537County) Florida 34952 on or after September
54426, 2008.
5464. The third notice provided, in relevant part, as
555follows:
556Pursuant to Section 320.642, Florida
561Statutes, notice is given that [Galaxy]
567intends to allow the establishment of
573[Treasure Coast] as a dealership for the
580sale of motorcycles manufactured by Taizhou
586Zhongneng Motorcycle Co. Ltd. (ZHNG) at 7320
593South U.S. 1, Port St. Lucie (St. Lucie
601County) Florida 34952 on or after September
60826, 2008.
6105. By letter dated October 16, 2008, Respondent filed the
620following letter of protest with the Department of Highway
629Safety and Motor Vehicles:
633In regards to the intent of [Galaxy] to
641establish a Benzhou Vehicle Industry Group
647LTD (SHWI) with [Treasure Coast] for the
654sale of motorcycles at 7320 South U.S. 1,
662Port St. Lucie, Fl [sic] 34952. This letter
670represents a written complaint to their
676application for this dealership, because we
682already represent said dealership.
686This letter also represents a complaint on
693the following conditions:
6961. The proposed dealership would be
702within 20 miles of our dealership, as
709measured by straight line distance. They
715are 8.61 miles away per mapquest.
7212. The proposed dealership is to be
728located within the contractual area outlined
734in our dealer agreement, as we have a 20
743mile exclusivity.
7453. We have made more than 25% of our
754retail sales to persons whose registered
760household addresses are within 20 straight
766line miles of the proposed dealership during
773the past 12 month period.
778We have established three out of four of
786the conditions exist, so we are submitting
793this complaint protesting the establishment
798of the above dealership.
8026. By letter dated October 22, 2008, the Department
811referred this matter to DOAH. The letter of referral provided,
821in relevant part, as follows:
826Pursuant to the provisions of section
832120.57, Florida Statutes, we are enclosing a
839Complaint and supporting documents pursuant
844to 320.642, Florida Statutes, filed by Wendy
851and Mark Mourning, on behalf of the above
859Respondent, thus requiring a hearing under
865the term of this statute.
870[Respondent] is protesting the
874establishment of [Treasure Coast] for the
880line-make Benzhou Vehicle Industry Group Co.
886Ltd. (SHWI) at 7320 South US 1, Port St.
895Lucie, Florida 34952.
8987. The protest filed by Respondent was timely.
9068. Respondent's dealership is within 8.61 miles of the
915proposed site. Mr. Mourning verified the driving distance and
924presented the measured distance as computed by the website
933Mapquest. Further, the driving time between the two points is
943less than 30 minutes.
9479. Respondent has dealer agreements to sell various lines
956of motorcycles, including the following: motorcycles
962manufactured by Benzhou Vehicle Industry Group Co. Ltd. (SHWI);
971motorcycles manufactured by Zhejiang Taizhou Wangye Power Co.
979Ltd. (ZHEJ); and motorcycles manufactured by Taizhou Zhongneng
987Motorcycle Co. Ltd. (ZHNG).
99110. Although Respondent still has a valid dealer agreement
1000as to motorcycles manufactured by Benzhou Vehicle Industry Group
1009Co. Ltd. (SHWI), Respondent has discontinued the sale of those
1019motorcycles. Mr. Mourning testified that Respondent has no
1027objection to permitting Treasure Coast to sell motorcycles
1035manufactured by Benzhou Vehicle Industry Group Co. Ltd. (SHWI).
104411. As to motorcycles manufactured by Zhejiang Taizhou
1052Wangye Power Co. Ltd. (ZHEJ), and motorcycles manufactured by
1061Taizhou Zhongneng Motorcycle Co. Ltd. (ZHNG), Respondent has
1069served the area for not less than two years and has successfully
1081promoted those two lines of motorcycles within its territory or
1091community. Respondent established that its sales of those
1099motorcycles are within 12.5 miles of the proposed dealership.
110812. Respondent adequately represents Zhejiang Taizhou
1114Wangye Power Co. Ltd. (ZHEJ) and Taizhou Zhongneng Motorcycle
1123Co. Ltd. (ZHNG) in Respondents community or territory.
1131CONCLUSIONS OF LAW
113413. The Division of Administrative Hearings has
1141jurisdiction over the parties to and the subject matter of these
1152proceedings. §§ 120.569, and 120.57(1), Fla. Stat (2008).
116014. Section 320.605, Florida Statutes (2008), provides:
1167It is the intent of the Legislature to
1175protect the public health, safety, and
1181welfare of the citizens of the state by
1189regulating the licensing of motor vehicle
1195dealers and manufacturers, maintaining
1199competition, providing consumer protection
1203and fair trade and providing minorities with
1210opportunities for full participation as
1215motor vehicle dealers.
121815. Section 320.642, Florida Statutes (2008), provides, in
1226pertinent part:
1228(1) Any licensee who proposes to
1234establish an additional motor vehicle
1239dealership or permit the relocation of an
1246existing dealer to a location within a
1253community or territory where the same line-
1260make vehicle is presently represented by a
1267franchised motor vehicle dealer or dealers
1273shall give written notice of its intention
1280to the department. Such notice shall state:
1287(a) The specific location at which the
1294additional or relocated motor vehicle
1299dealership will be established.
1303(b) The date on or after which the
1311licensee intends to be engaged in business
1318with the additional or relocated motor
1324vehicle dealer at the proposed location.
1330(c) The identity of all motor vehicle
1337dealers who are franchised to sell the same
1345line-make vehicle with licensed locations in
1351the county or any contiguous county to the
1359county where the additional or relocated
1365motor vehicle dealer is proposed to be
1372located.
1373(d) The names and addresses of the
1380dealer-operator and principal investors in
1385the proposed additional or relocated motor
1391vehicle dealership.
1393Immediately upon receipt of such notice
1399the department shall cause a notice to be
1407published in the Florida Administrative
1412Weekly. The published notice shall state
1418that a petition or complaint by any dealer
1426with standing to protest pursuant to
1432subsection (3) must be filed not more than
144030 days from the date of publication of the
1449notice in the Florida Administrative Weekly.
1455The published notice shall describe and
1461identify the proposed dealership sought to
1467be licensed, and the department shall cause
1474a copy of the notice to be mailed to those
1484dealers identified in the licensee's notice
1490under paragraph (c).
1493(2)(a) An application for a motor vehicle
1500dealer license in any community or territory
1507shall be denied when :
15121. A timely protest is filed by a
1520presently existing franchised motor vehicle
1525dealer with standing to protest as defined
1532in subsection (3); and
15362. The licensee fails to show that the
1544existing franchised dealer or dealers who
1550register new motor vehicle retail sales or
1557retail leases of the same line-make in the
1565community or territory of the proposed
1571dealership are not providing adequate
1576representation of such line-make motor
1581vehicles in such community or territory.
1587The burden of proof in establishing
1593inadequate representation shall be on the
1599licensee.
1600* * *
1603(3) An existing franchised motor vehicle
1609dealer or dealers shall have standing to
1616protest a proposed additional or relocated
1622motor vehicle dealer where the existing
1628motor vehicle dealer or dealers have a
1635franchise agreement for the same line-make
1641vehicle to be sold or serviced by the
1649proposed additional or relocated motor
1654vehicle dealer and are physically located so
1661as to meet or satisfy any of the following
1670requirements or conditions:
1673* * *
1676(b) If the proposed additional or
1682relocated motor vehicle dealer is to be
1689located in a county with a population of
1697more than 300,000 according to the most
1705recent data of the United States Census
1712Bureau or the data of the Bureau of Economic
1721and Business Research of the University of
1728Florida:
17291. Any existing motor vehicle dealer or
1736dealers of the same line-make have a
1743licensed franchise location within a radius
1749of 12.5 miles of the location of the
1757proposed additional or relocated motor
1762vehicle Dealer. . . . (Emphasis added.)
176916. The Respondent established as a matter of law that it
1780has standing to protest the proposed dealership.
178717. Respondent waived at the formal hearing its protest as
1797to motorcycles manufactured by Benzhou Vehicle Industry Group
1805Co. Ltd. (SHWI). Consequently, the Department should permit
1813Treasure Coast to sell motorcycles manufactured by Benzhou
1821Vehicle Industry Group Co. Ltd. (SHWI).
1827easure Coast and Respondent clearly believed that
1834all three proposed dealerships were at issue at the formal
1844hearing and evidence was taken as to all three lines.
1854Unfortunately for Respondent, the only protest referred to DOAH
1863was the protest pertaining to motorcycles manufactured by
1871Benzhou Vehicle Industry Group Co. Ltd. (SHWI). Whether
1879Respondent timely challenged the proposal pertaining to the sale
1888of motorcycles manufactured by Zhejiang Taizhou Wangye Power Co.
1897Ltd. (ZHEJ) and motorcycles manufactured by Taizhou Zhongneng
1905Motorcycle Co. Ltd. (ZHNG) at the proposed site was not
1915established.
191619. The Petitioners presented no evidence to support a
1925conclusion that the Respondent has not provided adequate
1933representation of Zhejiang Taizhou Wangye Power Co. Ltd. (ZHEJ)
1942and Taizhou Zhongneng Motorcycle Co. Ltd. (ZHNG) in the
1951community or territory surrounding the proposed site. To the
1960contrary, the evidence established that Respondent has provided
1968adequate representation for those two lines in the community or
1978territory surrounding the proposed site.
198320. No recommendation is made as to the sale of
1993motorcycles manufactured by Zhejiang Taizhou Wangye Power Co.
2001Ltd. (ZHEJ) or Taizhou Zhongneng Motorcycle Co. Ltd. (ZHNG)
2010because the undersigned lacks jurisdiction to make a
2018recommendation. Had the undersigned had such authority, the
2026recommendation would be to deny the application to permit
2035Treasure Coast to sell motorcycles manufactured by Zhejiang
2043Taizhou Wangye Power Co. Ltd. (ZHEJ) or Taizhou Zhongneng
2052Motorcycle Co. Ltd. (ZHNG) at the proposed site.
2060RECOMMENDATION
2061Based on the foregoing Findings of Fact and Conclusions of
2071Law, it is RECOMMENDED that the Florida Department of Highway
2081Safety and Motor Vehicles enter a Final Order authorizing
2090Treasure Coast to sell motorcycles manufactured by Benzhou
2098Vehicle Industry Group Co. Ltd. (SHWI) at Petitioners' proposed
2107dealership.
