116Whether the Respondent committed the violations alleged in

124the Amended Administrative Complaint and Notice of Rights dated

133June 16, 2009, and, if so, the penalty that should be imposed.

145PRELIMINARY STATEMENT

147In an Amended Administrative Complaint and Notice of Rights

156dated June 16, 2009, the Office of Financial Regulation ("OFR")

168asserted that it had grounds to revoke the mortgage broker's

178license of Arthur Nathan Razor pursuant to Section 494.004(1)

187and (2)(i) and (p), Florida Statutes (2007). 1 The OFR based its

199preliminary decision to revoke Mr. Razor's mortgage broker's

207license on allegations that Mr. Razor's license to practice law

217in Florida had been suspended by the Florida Supreme Court on

228September 11, 2007, and that Mr. Razor had not reported the

239suspension to the Department. Mr. Razor timely requested an

248administrative hearing, and the OFR transmitted the matter to

257the Division of Administrative Hearings for assignment of an

266administrative law judge. Pursuant to notice, the hearing was

275held on February 23, 2010. At the hearing, the OFR presented

286the testimony of David Tucker, and Petitioner's Exhibits A, B,

296and D through I were offered and received into evidence.

306As a preliminary matter at the hearing, Mr. Razor requested

316that the administrative proceedings be stayed pending resolution

324of a complaint he had filed in the United States District Court

336for the Southern District of Florida seeking, among other

345things, an injunction to prohibit the OFR from going forward

355with these proceedings. Mr. Razor represented that he alleged

364in the complaint that the disciplinary proceedings conducted by

373the Florida Bar and by the Florida Supreme Court leading to the

385suspension of his license to practice law constituted a

394violation of his right to due process. He requested in the

405complaint that the federal court enter an injunction prohibiting

414the OFR from seeking to revoke his mortgage broker's license

424because of the suspension of his license to practice law on the

436grounds that revocation on this ground would, likewise, violate

445his constitutional right to due process.

451The complaint had not been served on the OFR as of the date

464of the final hearing because Mr. Razor had requested that he be

476allowed to proceed in federal court in forma pauperis but had

487not yet received permission to do so. Although the OFR had not

499been served with the complaint, it had a copy of the complaint

511at the final hearing, which it provided to the undersigned for

522review. After considering the allegations in Mr. Razor's

530complaint and the allegations in the OFR's Amended

538Administrative Complaint and noting that the petition had not

547been served on the OFR, the undersigned denied Mr. Razor's

557motion to stay these proceedings.

562The one-volume transcript of the proceedings was filed with

571the Division of Administrative Hearings on March 17, 2010. The

581OFR timely filed its proposed findings of fact and conclusions

591of law on April 6, 2010. On April 22, 2010, Mr. Razor filed

604Respondent's Request for Clarification and Other Relief, in

612which Mr. Razor represented that he had been unable to obtain a

624copy of the transcript and requested additional time in which to

635obtain the transcript and submit his proposed findings of fact

645and conclusions of law. A telephone conference was held on

655April 28, 2010, to discuss Mr. Razor's request. Mr. Razor was

666advised of the steps necessary to obtain a copy of the

677transcript from the Clerk of the Division of Administrative

686Hearings, and an Order was entered on April 28, 2010, granting

697Mr. Razor an extension of time until May 12, 2010, for filing

709his proposed findings of fact and conclusions of law. Mr. Razor

720timely filed his proposed findings of fact and conclusions of

730law, and the proposals of both parties have been considered in

741the preparation of this Recommended Order.

747FINDINGS OF FACT

750Based on the oral and documentary evidence presented at the

760final hearing and on the entire record of this proceeding, the

771following findings of fact are made:

7771. The OFR is the state agency responsible for regulating

787mortgage brokerage and mortgage lending in the State of Florida

797and for licensing and regulating mortgage brokers.

804§§ 494.0011(1); 494.0033(2), Fla. Stat.

8092. At the time of the final hearing, Mr. Razor held an

821inactive mortgage broker's license. The license was inactive

829because Mr. Razor did not apply for a renewal of his license

841when it expired on August 31, 2009. His license could be

852reactivated should he submit an application for renewal.

8603. Mr. Razor was a member of the Florida Bar and a

872practicing attorney in Florida until, in an opinion issued

881September 11, 2007, the Florida Supreme Court ordered Mr. Razor

891suspended from the practice of law for a period of 18 months.

9144. In its opinion, the court approved the findings of fact

925contained in the Report of the Referee; approved the Referee's

935findings that Mr. Razor had violated Rules Regulating the

944Florida Bar 3-4.2, 3-4.3, 4-5.3(b), and 4-8.4(a); and approved

953the Referee's recommendation that Mr. Razor's license to

961practice law be suspended for a period of 18 months.

9715. Pertinent to this proceeding, Rules Regulating the

979Florida Bar 3.4-3 provides:

983The standards of professional conduct to be

990observed by members of the bar are not

998limited to the observance of rules and

1005avoidance of prohibited acts, and the

1011enumeration herein of certain categories of

1017misconduct as constituting grounds for

1022discipline shall not be deemed to be all-

1030inclusive nor shall the failure to specify

1037any particular act of misconduct be

1043construed as tolerance thereof. The

1048commission by a lawyer of any act that is

1057unlawful or contrary to honesty and justice,

1064whether the act is committed in the course

1072of the attorney's relations as an attorney

1079or otherwise, whether committed within or

1085outside the state of Florida, and whether or

1093not the act is a felony or misdemeanor, may

1102constitute a cause for discipline.

11076. The Referee based his recommendation that Mr. Razor's

1116license to practice law be suspended for 18 months on

"1126Respondent's [Mr. Razor's] conduct in allowing his collaborator

1134(a suspended attorney) to practice law in an attempt to extort

1145money; his ratification of the misconduct by failing to take

1155immediate remedial action; his attempts to cover for the

1164suspended attorney by defending the letter during the Bar

1173investigation; and his inconsistent defense (lack of knowledge)

1181at the live and final hearings." These acts constitute

1190dishonest dealing.

11927. Mr. Razor's license to practice law was suspended

120130 days after September 11, 2007, or on October 11, 2007.

1212Mr. Razor did not report the suspension to the OFR because he

1224did not believe it to be a reportable offense.

1233CONCLUSIONS OF LAW

12368. The Division of Administrative Hearings has

1243jurisdiction over the subject matter of this proceeding and of

1253the parties thereto pursuant to Sections 120.569 and 120.57(1),

1262Florida Statutes (2009).

12659. In its Amended Administrative Complaint and Notice of

1274Rights, the OFR seeks to revoke Mr. Razor's license to act as a

1287mortgage broker in Florida. Accordingly, the OFR must prove the

1297allegations in the Amended Administrative Complaint by clear and

1306convincing evidence. Department of Banking & Finance, Division

1314of Securities & Investor Protection v. Osborne Stern & Co. , 670

1325So. 2d 932 (Fla. 1996); Ferris v. Turlington , 510 So. 2d 292

1337(Fla. 1987).

133910. Section 494.0041, Florida Statutes, provides in

1346pertinent part:

1348(1) Whenever the OFR finds a person in

1356violation of an act specified in subsection

1363(2), it may enter an order imposing one or

1372more of the following penalties against the

1379person:

1380(a) Revocation of a license or

1386registration.

1387* * *

1390(2) Each of the following acts constitutes

1397a ground for which the disciplinary actions

1404specified in subsection (1) may be taken:

1411* * *

1414(i) Having a license, or the equivalent, to

1422practice any profession or occupation

1427revoked, suspended, or otherwise acted

1432against, including the denial of licensure

1438by a licensing authority of this state or

1446another state, territory, or country for

1452fraud, dishonest dealing, or any other act

1459of moral turpitude.

1462* * *

1465(p) Failure to comply with, or violation

1472of, any other provision of ss. 494.001-0077.

147911. Based on the findings of fact herein, the OFR has

1490proven by clear and convincing evidence that Mr. Razor's license

1500to practice law in Florida was suspended for acts constituting

1510dishonest dealing, and it has, therefore, proven that Mr. Razor

1520violated Section 494.0041(2)(i), Florida Statutes.

152512. Section 494.004(1), Florida Statutes, provides:

1531Each licensee under ss. 494.003 -494.0043

1537shall report, in writing, any conviction of,

1544or plea of nolo contendere to, regardless of

1552adjudication, any crime or administrative

1557violation that involves fraud, dishonest

1562dealing, or any other act of moral

1569turpitude, in any jurisdiction, by the

1575licensee or any natural person named in

1582s. 494.0031 (2)(d), not later than 30 days

1590after the date of conviction, entry of a

1598plea of nolo contendere, or final

1604administrative action.

160613. Based on the findings of fact herein, Mr. Razor was

1617found guilty by the Florida Supreme Court of a violation of the

1629Rule Regulating the Florida Bar 3-4.3, involving "an act that is

1640unlawful or contrary to honesty and justice." This equates to a

1651conviction of an administrative violation involving dishonest

1658dealing, and Mr. Razor was required to report the suspension to

1669the OFR within 30 days of the date of conviction. Mr. Razor

1681failed to report to the OFR his conviction of this

1691administrative violation and the suspension of his license to

1700practice of law in Florida. The Department has, therefore,

1709proven by clear and convincing evidence that Mr. Razor violated

1719Section 494.004(1), Florida Statutes, which constitutes a

1726violation of Section 494.0041(2)(p), Florida Statutes.

1732RECOMMENDATION

1733Based on the foregoing Findings of Fact and Conclusions of

1743Law, it is RECOMMENDED that the Office of Financial Regulation

1753enter a final order finding that Arthur Nathan Razor violated

1763Section 494.0041(2)(i) and (p), Florida Statutes, and revoking

1771his Florida mortgage broker's license.
