105STATEMENT OF THE ISSUE
109The issue in this case is whether the Petitioner is entitled
120to an award of attorney ' s fees and costs pursuant to s ection
13457.111, Florida Statutes (201 1 ) . 1/
142PRELIMINARY STATEMENT
144On August 20, 2013, William P. McCloskey ( Petitioner ) filed
155an Application for Attorney ' s Fees and Costs Pursuant to Section
16757.111, Florida Statutes (the " fee case " ).
174In 2011, the Department of Financial Services (Respondent)
182prosecuted the P etitioner for alleged violations of law in a
193disciplinary proceeding designated as Division of Administrative
200Hearings (DOAH) Case No. 11 - 3982PL (the " disciplinary case " ).
211The Petitioner ultimately prevailed in the dispute following
219an appeal of a Final Order entered by the Respondent in the
231disciplinary case.
233The fee case, designated as DOAH Case No. 13 - 3214F, was
245initially assigned to the Administrative Law Judge (ALJ) who
254conducted the hearing and rendered the Recommended Order issued
263in the discipli nary case. On August 27, 2013, the fee case was
276transferred to the undersigned ALJ, who scheduled a final hearing
286for November 25, 2013. Upon the request of the parties, the
297hearing was rescheduled to February 26, 2014.
304At the hearing, the Petitioner tes tified on his own behalf
315and had Exhibits A through E, H, I, M and O admitted into
328evidence. The Respondent had Exhibits 1 through 4 admitted into
338evidence. At the request of the parties, official recognition
347was taken of various portions of the record f rom the disciplinary
359case.
360A T ranscript of the hearing was filed on February 14, 2014.
372Both parties filed proposed orders that have been considered in
382the preparation of this F inal O rder.
390Section 57.111(4)(d)2 . provides that " [n]o award of
398attorney ' s fe es and costs for an action initiated by a state
412agency shall exceed $50,000. " The Petitioner has identified
421total fees and costs in excess of $50,000. Although the
432Respondent disputes the total amount sought by the Petitioner,
441the Respondent does not dis pute that in the event that fees and
454costs are awarded in this proceeding, an award up to the $50,000
467cap would be reasonable.
471FINDING S OF FACT
4751. By a three - count Administrative Complaint dated June 7,
4862011, the Respondent charged the Petitioner with all eged
495violations of law related to the sale of certain products. The
506allegations of the Administrative Complaint were prosecuted in
514the disciplinary case.
5172. A final hearing in the disciplinary case was conducted
527on January 24 and 25, 2012.
5333. On Apr il 18, 2012, the ALJ issued a Recommended Order
545determining that the products referenced in the Administrative
553Complaint were unregistered securities and that the Petitioner
" 561violated section 626.611(16) [Florida Statutes,] by selling an
570unregistered secur ity that was required to be registered pursuant
580to chapter 517. "
5834. The Administrative Complaint also charged the Petitioner
591with additional violations of statute including a " [d]emonstrated
599lack of fitness or trustworthiness to engage in the business o f
611insurance , " in violation of section 626.611(7). As set forth in
621the Recommended Order, the ALJ determined that the evidence
630failed to establish the additional violations.
6365. Based on violation of section 626.611(16), the ALJ
645recommended that the Peti tioner ' s license be suspended for a
657total of six months, two months for each product sale alleged in
669the three separate counts of the Administrative Complaint.
6776. On July 6, 2012, the Respondent issued a Final Order
688determining that in addition to the v iolation of section
698626.611(16) found by the ALJ, the Petitioner had also violated
708section 626.611(7). Despite finding the additional violation,
715the Respondent adopted the penalty recommended by the ALJ.
7247. The Petitioner took an appeal of the Final Or der to the
737District Court of Appeal for the Fifth District.
7458. The Court determined that the products sold by the
755Petitioner were not securities that required registration at the
764time they were sold by the Petitioner, and, on June 21, 2013,
776issued an or der reversing the Final Order issued by the
787Respondent.
7889. The parties have stipulated that the Petitioner was the
798prevailing party in the disciplinary case and is a " small
808business party " as defined by section 57.111(3)(d).
815CONCLUSIONS OF LAW
81810. The Division of Administrative Hearings has
825jurisdiction over the parties to and subject matter of this
835proceeding. §§ 57.111, 120.569 and 120.57(1) , Fla. Stat (2013) .
84511. The sole issue presented for determination in this
854proceeding is whether the actions of the Respondent in the
864disciplinary case were substantially justified or whether special
872circumstances exist that would make an award of fees and costs
883unjust.
88412. Section 57.111 provides in relevant part as follows:
893(4)(a) Unless otherwise provided by law, an
900award of attorney ' s fees and costs shall be
910made to a prevailing small business party in
918any adjudicatory proceeding or administrative
923proceeding pursuant to chapter 120 initiated
929by a state agency, unless the actions of the
938agency were substant ially justified or
944special circumstances exist which would make
950the award unjust.
95313. Section 57.111(3)(e) provides that a proceeding is
961substantially justified " if it had a reasonable basis in law and
972fact at the time it was initiated by a state agency . " After a
986party establishes that it is a " prevailing small business party, "
996the agency has the burden of establishing that its action in
1007initiating the proceeding was " substantially justified. " Helmy
1014v. Dep ' t of Bus. & Prof ' l Reg ., 707 So. 2d 366, 368 ( Fla. 1st DCA
10351998). The " substantially justified " standard falls somewhere
1042between the " no justiciable issue " standard and an automatic
1051award of fees to a prevailing party. Id . Accordingly, the issue
1063here is whether the Respondent had a reasonable basis in law and
1075fact to file the Administrative Complaint against the Petitioner.
108414. A central issue in the disciplinary case and the appeal
1095was whether the Petitioner sold products that were " securities "
1104that were unregistered in Florida.
110915. At the time the Respondent commenced prosecution of the
1119disciplinary case, the existing case law (which is set forth in
1130the Respondent ' s Proposed Final Order and not restated herein)
1141supported the Respondent ' s determination that the products being
1151sold by the Petitio ner were securities that were not properly
1162registered for sale in Florida and that such registration was
1172required by law. Accordingly, there was a reasonable basis in
1182law to prosecute the Administrative Complaint against the
1190Petitioner for the sale of the products.
119716. The Petitioner has asserted that the Respondent lacked
1206a reasonable basis in fact to prosecute the Administrative
1215Complaint. In the disciplinary case, the ALJ found that the
1225product sales cited in the Administrative Complaint had occurred .
1235Those f indings have not been disturbed by any subsequent review
1246of the Recommended Order.
125017. The Petitioner has also asserted that the investigation
1259conducted by the agency prior to filing the Administrative
1268Complaint against the Petitioner was inapp ropriate and that the
1278Petitioner had been " selectively " prosecuted. Nothing in section
128657.111 authorizes an award of fees and costs as a sanction for
1298anything other than an agency action that was not substantially
1308justified, and even then, " special circum stances " may exist that
1318could make an award " unjust. " Accordingly, these assertions have
1327not been addressed herein.
1331ORDER
1332Based on the foregoing Findings of Fact and Conclusions of
1342Law, it is ORDERED that the Petitioner ' s Application for
1353Attorney ' s Fees and Costs Pursuant to Section 57.111, Florida
1364Statutes , is DENIED. The file of the Division of Administrative
1374Hearings is CLOSED.
