FINAL ORDER

THIS CAUSE came on for consideration before the Agency for Health Care Administration

("the Agency"), which finds and concludes as follows:

1. The Agency issued to Hollywood Pavilion, LLC, the attached Administrative Complaint

(Ex. 1), and to Larkin Community Hospital, Inc. d/b/a Larkin Community Hospital, the attached Notice

of Intent to Deny Application and Withdrawn From Further Review letter (Ex. 2). The parties entered

into the attached Settlement Agreement (Ex. 3), which is adopted and incorporated by reference.

2. The parties shall comply with the terms of the Settlement Agreement.

3. The Administrative Complaint is withdrawn.

4. The Notice of Intent is withdrawn and the Agency shall resume the processing of the

change of ownership application. Nothing in this Agreement shall prohibit the Agency from denying the

change of ownership application based upon any licensure statute or rule not set forth in the Notice of

Intent. Should the Agency again deny the change of ownership application, the Applicant will be

afforded all legal rights under Florida law to contest any subsequent denial.
