8723, 2014, a fixed need pool of 66 beds was published for Subdistrict 3- 6

894WHEREAS, in Volume 20, No. 193 of the Florida Administrative

906October 3, 2014, a fixed need pool of 65 beds was for

1013WHEREAS, Colony' s application proposed that some of the bed need in

1028be aggregated with the bed need in Subdistrict
10363- 6 pursuant to section 408. 6), 034( Florida

1047WHEREAS, AHCA published notice in Volume 41, No. 26 of the Florida
1059Administrative
1060Register of its decisions to preliminarily approve Millennium' s
1069application and to preliminarily
1073deny Colony' s application; and
1078WHEREAS, Colony timely filed a Petition for Formal
1086Administrative Hearing
1088challenging the Agency' s preliminary denial of Colony' s application and the
1100preliminary
1101approval of Millennium' s application; and
1107WHEREAS, Millennium filed a Cross Petition in support of AHCA' s
1118preliminary denial
1120of Colony' s application; and
1125WHEREAS, AHCA received only one CON application for Subdistrict to
11353- 5, wit an
1139application by Surrey Place of Lecanto, LLC for 22 beds which has received
1152final approval,
1154leaving 43 beds available for award; and
1161WHEREAS, AHCA has further reviewed Colony' s application and has determined
1172that it
1174satisfies the applicable statutory and rule criteria and should be
1184approved; and

1190WHEREAS, the parties to this Settlement Agreement seek to resolve the
1201pending cases
1203without the need for further litigation, and have determined
1212that it is in the best interests of sound
1221health planning and health care delivery to resolve their
1230differences in a manner consistent with
1236the goals and objectives of the Florida CON law.
1245WHEREAS, the parties have agreed that a fair, efficient, and cost effective
1257resolution of
1259this dispute would avoid the uncertainty of as
1267litigation well as the expenditure of substantial
1274sums of funds on behalf of all parties in order to
1285fully litigate the dispute; and
1290WHEREAS, the parties stipulate to the adequacy of considerations
1299exchanged; and
1301WHEREAS, the parties have negotiated and agreed that the best interest of all
1314the parties
1316will be served by a settlement of this and
1325proceeding;
1326NOW THEREFORE, in consideration of the mutual
1333promises and covenants set forth
1338herein, each party individually stipulates and agrees as follows:
13471. The above recitals are true and correct and are
1357incorporated into this Agreement.
13612. The " whereas" clauses set forth above are
1369binding findings of the parties.
13743. Colony and Millennium each agree to withdraw
1382their opposition to the other
1387party' s CON application.
13914. AHCA agrees to approve Millenium' s CON
1399application No. 10262 for 50 beds.
14055. AHCA agrees to approve Colony' s CON
1413application No. 10261 for 59 beds.
14196. Upon full execution of this Agreement, the
1427Agency will enter a final order
1433approving Millennium' s CON application no. 10262 to establish a 50 bed
1445community nursing
1447home and Colony' s CON application no. 10261 to establish a 59
1459bed community nursing home.
14637. Upon full execution of this Settlement
1470Agreement and entry of a final order
1477wholly consistent with this agreement, each party: ( a) agrees to waive and all
1491any appeals and

1498proceedings; and ( b) agrees to waive compliance with the form of the Final Order ( of

1516fact and conclusions of law) to which it may be entitled but not limited
1530including, to, an informal
1534proceedings under Subsection 120. 2), 57( Florida Statutes, a formal proceeding under Subsection
1547120. 1), 57( Florida Statutes, appeals under Section 120. 68, Florida Statutes, and and
1561declaratory
1562all writs of relief in any court or quasi- court ( Division of
1575e. g. Administrative Hearings) of
1580competent jurisdiction.
15828. Each party for itself and for its related or its
1593resulting organizations, successors or
1597transferees, attorneys, and executors or administrators, does hereby discharge the other
1608parties
1609and their respective employees, agents, representatives, and of and from all
1620attorneys claims,
1622demands, actions, causes of action, suits, damages, losses, and expenses, of any and nature

1637whatsoever, arising out of or in any way related to this matter and the Agency' s actions,
1654including, but not limited to, any claims that were or may be asserted in any federal or state court
1673or administrative forum by or on behalf of such party or of its related facilities.

1752brought to enforce its terms will be entitled to recover reasonable attorney' s fees and costs from
1769the non- prevailing party. The parties agree that any action to enforce the terms of this

1786Agreement will be brought in the Circuit Court for the Second Judicial Circuit in Leon County,
