118Whether Petitioner, JWD Trees, Inc., is entitled to payment

160PRELIMINARY STATEMENT
162On May 4, 2015, JWD Trees, Inc. (JWD ) , filed an Agricultural
174Produc ts Dealer Claim Form (claim) with the Florida Department of
185Agriculture and C onsumer Services (Department), alleging that
193Landscape Service Professionals, Inc. (Landscape) and its sur ety,
202The Gray Insurance Company (Insurance Company) , owed JWD payment
211for 210 slash pine trees. The claim was for a total of
223$42,567.80 (210 slash pine trees, shipping costs and applicable
233taxes). JWD is also claiming a $50.00 filing fee for filing the
245claim. The Department provided Notice of the claim to Landscape
255and the I nsurance Company. Respondent Landscape answered the
264Complaint on June 12 . By letter dated June 16 , the Department
276referred the matter to the Division to schedule an evidentiary
286hearing.
287The matter was initially scheduled for hearing on August 31,
297in For t Myers, Florida. The final hearing was continued twice
308and rescheduled for December 10 and 11, and completed on
318December 21.
320At the hearing, JWD presented th e testimony of
329J. W. Drott, III ( president, JWD); Dennis Boddison (vice -
340president, JWD); Joh n Ne mcovic; and C. Way Hoyt, who was accepted
353as an exp ert certified arborist. JWDÓs E xhibits 1 through 5, 7
366through 13, 15, 17 through 19, 21, 22, 25 through 32, 36, 37, 46,
38048, 55, 57, and 58 were admitted in evidence. JWD presented
391Lynn GriffithÓs deposi tion testimony in lieu of in - person
402te stimony at the hearing (Exhibit 55 ). Respondents presented the
413testimony of Sandra Benton, Steven Grant, Guy Michaud, Leo Urban,
423William ÐBillÑ Schall, and John Harris, who was accepted as an
434expert. RespondentsÓ E xh ibits 7, 10, 16, 18, 21a, and 40 were
447admitted in evidence.

547FINDING S OF FACT
551The Parties
5531. JWD is a Florida licensed dealer in agricultural
562products pursuant to chapter 604, Florida Statutes. JWD Ós
571primary business is buying and selling trees, but it also
581operates a tree farm in Lee County , Florida. JWD is principally
592located in North Fort Myers, Florida. J. W. Drott, III, is the
604president and Dennis Boddison is the vice - president of JWD Trees.
6162 . Mr. Drott has 20 years of experience in buying and
628selling trees. Mr. Boddison has 16 years of experience in the
639tree business.
6413. Respondent Landscape is a Florida licensed dealer in
650agricultural product s , pursuant to chapter 604. Lan dscape is a
661ful l - service landscape business located in Tamarac, Florida.
671Sandy Benton is the president and Tom Benton is vice - president of
684Landscape. Ms. Benton started Landscape in February 1998.
6924. Respondent Insurance Comp any filed a denial of the claim
703and was re presented at hearing by LandscapeÓs counsel.
7125. Southeastern Shade is a registered nursery and has been
722in the business of growing trees for approximately nine years.
732John Nemcovic and his wife, Shelley, own and operate Southeastern
742Shade. Southeaster n Shade supplied the 278 slash pines that JWD
753brokered to Landscape.
7566. JWD and Landscape had a prior business relationship.
765JWD was on LandscapeÓs list of pre - approved vendors.
775The Setting
7777. At all relevant times, Landscape was a contractor
786responsib le for installing landscaping at the Palm Beach County
796Solid Waste Authority (SWA) site on Jog Road in Palm Beach
807County , Florida. Landscape was vetted for the SWA project, which
817was a big project for Landscape.
8238. In September 2014, Ed Conk, 1/ Landscap eÓs plant buyer ,
834sought bids on a list of plants for the SWA job. The list
847included slash pine trees. According to the bid sheet, the slash
858pines were to be 16 feet, 18 feet , and 20 feet i n height, and in
874quantities of 1 76, 1 6 7 , and 118 respectively. Th ere was nothing
888in the request for bids, or JWDÓs actual bid that addressed how
900long the slash pine trees were hardened off, or whether or how
912they had been root pruned.
9179. On or about October 1, 2014, Mr. Drott, on behalf of
929JWD, submitted a written bid to Mr. Conk to provide 461 slash
941pines. 2/ Landscape accepted the JWD bid, but only ordered 210
952slash pines. Other slash pines were bought through other vendors
962and delivered to the SWA site.
96810. The 210 slash pines were delivered over the course of
979thre e days: November 11, 12 , and 13, 2014. Authorized personnel
990of Landscape received, inspected , and accepted the 210 slash pine
1000trees. No problems or concerns were expressed regarding the
1009delivery or condition of the slash pines.
101611. A week later, Mr. Conk ordered 68 additional slash pine
1027trees from JWD. JWD delivered the additional slash pines on
1037November 19, 2014.
1040The Dispute Giving Rise to t his Proceeding
104812. LandscapeÓs personnel documented receipt of the initial
1056slash pines over a three - day per iod: November 11, 12, and 13,
10702014. Once the slash pines were unloaded , they were Ðlaid it on
1082the ground and my water truck watered them down.Ñ The personnel
1093also documented the planting of the slash pines; however , the
1103exact location of JWDÓs trees in the SWA site map was not clearly
1116established. The slash pines were planted at the SWA site either
1127on the day of delivery or the day after delivery.
113713. There was an irrigation system in place for watering
1147the newly planted trees; however, it was not fully functional
1157when the initial slash pines were planted. A water truck was
1168used to water the trees. The SWA site had significant rainfall
1179at times, and the ground was underwater during part of the
1190pertinent period. It is unclear when the additional slash pine
1200trees were planted: either on the day of delivery (November 19)
1211or the following day (November 20).
121714. Several weeks after the slash pines were planted, some
1227of the slash pines started to deteriorate. Mr. Drott was
1237notified that there was a beetle issue with the slash pines in
1249early December 2014. Mr. Drott contacted Mr. Conk. Mr. Drott
1259advised Mr. Conk to get the affected trees out of the area and to
1273put a spray program in effect immediately to address the beetle
1284infestat ion .
128715. On Janu ary 7, 2015, Mr. Boddison, Mr. Conk,
1297Mr. Nemcovic, and Guy Michaud, LandscapeÓs foreman for the SWA
1307site , conducted an SWA site visit. Mr. Nemcovic thought the
1317beetle problem was causing the slash pines to deteriorate.
1326Mr. Boddison noted that the SWA s ite was cut out of a large
1340native pine wood flat, with a large retention area. Mr. Boddison
1351also questioned Mr. Conk and Mr. Michaud about how the trees were
1363unloaded, how they were handled and planted, and since there was
1374an evident beetle infestation, w hat was being done as
1384preventative maintenance.
138616. In March 2015, Lynn Griffith, an agricultural
1394consultant , conducted an SWA site visit. Mr. Griffith noted that
1404a majority of the pines were health y , but there were some that
1417were not doing well; that some had holes in them indicative of a
1430pine beetle infestation. Upon receiving a written report from
1439Mr. Griffith in mid - March 2015, Mr. Drott provided the report to
1452Mr. Conk.
145417. In early April 2015, Landscape invited a Palm Beach
1464County extension agen t William Schall, the SWA project landscape
1474architect Leo Urban, representatives of the prime contractor,
1482Mr. Griffith, and selected Landscape employees to conduct a site
1492visit at the SWA site. Mr. Drott was not invited to the
1504inspection. Three dead tre es were pulled out during this
1514inspection. Only one of the dead trees was attributed to JWD.
152518. Mr. Schall admitted that he did not know of other
1536stress factors on the SWA site, and had only been told (by
1548Landscape personnel) about how the trees we re handled.
1557Mr. Schall acknowledged that the SWA site was a prior pine tree
1569area, and that pine beetles could be in the area. Further, he
1581observed that at least one of the trees was planted too deep,
1593which could add stress to newly planted trees.
160119. M r. Urban confirmed that there was an engineering
1611problem at the SWA site, and the retention basin held water for
1623longer periods of time than it should have. Mr. Urban confirmed
1634that the SWA site was a prior pine forest. Additionally, during
1645the April 201 5 SWA site visit, Mr. Urban pointed out to Landscape
1658personnel that there were four pines planted close to standing
1668water. Landscape moved those four pines.
167420. When Mr. Griffith was invited to the April 2015 SWA
1685site visit, he was under the impression t hat all the interested
1697parties would be there. Neither JWD nor Mr. Nemcovic w as
1708present. Mr. Griffith theorized potential factors leading to the
1717demise of the slash pine trees: once water stress is introduced
1728to newly transplanted trees, especially fiel d - grown trees as is
1740this case, it is hard for the trees to recover; the over - watering
1754of the newly transplanted trees may have inadvertently washed
1763away a significant amount of the spray that was used to tr eat the
1777beetle infestation; or poor roots. Mr. Gr iffith observed, from
1787two trees ÐyankedÑ out of the ground, Ðvery little in the way of
1800new root initiation.Ñ He went on to speculate that it was
1811possible that any roots could have rotted off from over -
1822irrigation, could have been knocked off during the unl oading and
1833planting of the trees, or could have been ripped off when the
1845trees were pulled. However , no pathology diagnosis was conducted
1854to determine what, if any, root disease was present or if the
1866roots suffered from over watering.
187121. In April 2015, Mr. Drott received communications from
1880Landscape indicating that the cause of the slash pine trees
1890demise was attributed to the lack of hardening off or root
1901issues. This was Mr. DrottÓs first notice that Ðhardening offÑ
1911of the roots, and not the be etle infestation , was the cause of
1924the slash pines Ó demise.
192922. Mr. HoytÓs review of the case materials was extensive.
1939He reviewed LandscapeÓs discovery responses, including the daily
1947job reports, two reports by Mr. Griffith, Mr. SchallÓs report,
1957and p hotographs that were provided by JWD and Landscape. He
1968participated in an SWA site visit in September 2015 , as well as a
1981site visit and interview of the principals of Southeastern Shades
1991in October 2015. He attended LandscapeÓs expert deposition and
2000read his report, and inspected root balls and photographs of root
2011balls , which Landscape purported to be from JWD. Mr. Hoyt also
2022spoke with other JWD customers. He also attended the three - day
2034hearing.
203523. Slash pine trees are very sensitive and can be eas ily
2047stressed. Stress can be caused by a variety of factors
2057including: transplanting; harsh handling; bark exposure to
2064sunlight, including superficial wounds to the bark; too much or
2074too little water; or planting too deeply. The stress will cause
2085a tree to emit chemicals that attract beetles, which inhabit the
2096trees and may kill a stressed tree within a week or two of the
2110infestation.
211124. Based on the totality of his review, Mr. Hoyt opined
2122that a combination of factors contributed to the SWA slash pines
2133to deterioration: excess watering, planting to deep, rough
2141handling, and the beetles. His testimony is found credible.
215025. Mr. HarrisÓ opinion centered on only one possible
2159explanation for the trees Ó demise: a failure to have an adequate
2171root system o r an inability of the roots to generate new growth.
218426. Landscape personnel were unable to definitively
2191identify the dead trees as being trees supplied by JWD. There
2202were photographs introduced at the hearing that were initially
2211marked as being from one supplier , then changed to another.
2221There is a lack of clarity in identifying which supplier actually
2232supplied the now demised trees.
223727. Landscape has not paid for, and refuses to pay for the
2249210 slash pine trees reflected in JWDÓs i nvoice no. 16707. The
2261total amount of the invoice is $42,567.80. The additional 68
2272slash pines were on invoice no. 16818, which has been paid, and
2284these are not the subject of this case.
229228. JWD is entitled to payment in the amount of $42,567.80
2304for the slash pine trees it provided to Landscape. Besides the
2315amount set forth above, JWD claims the sum of $50.00 paid for the
2328filing of the claim against Landscape and its bond. The total
2339sum owed to JWD by Landscape is $42,617.80.
2348CONCLUSIONS OF LAW
235129. The Division has jur isdiction over the parties and the
2362subject matter of this proceeding. §§ 120.569, 120.57(1), &
2371604.21(6), Fla. Stat.
237430. The Department is the state agency responsible for
2383licensing dealers in agricultural products and investigating and
2391taking action on complaints against such dealers. §§ 604.15
2400through 604.34, Fla. Stat.
240431. The definition of Ðagricultural productsÑ includes the
2412Ðnatural products of the . . . farm [and] nursery . . . produced
2426in the state[.]Ñ § 604.15(1), Fl a . Stat . The trees brokere d by
2441JWD are Ðagricultural productsÑ within the meaning of section
2450604.15(1).
245132. The definition of a Ðdealer in agricultural productsÑ
2460includes any , Ðcorporation . . . engaged within this state in the
2472business of purchasing, receiving, or soliciting agri cultural
2480products from the producer . . . for resale or processing for
2492sale[.]Ñ § 60 4.15(1), Fla. Stat . Landscape is a dealer in
2504agricultural products within the meaning of section 604.15(1).
251233. Any business claiming to be damaged by any breach of
2523the conditions of an agreement made with a dealer in agricultural
2534products may file a complaint with the Department against the
2544dealer and against the surety company. See § 604.21(1)(a), Fla.
2554Stat .
255634. The burden of proof in an administrative proceeding is
2566o n the party asserting the affirmative of an issue. DepÓt of
2578Banking & Fin., Di v. of Sec. & Inv. Prot. v. Osbo rne, Stern &
2593Co. , 670 So. 2d 932 (Fla. 1996); Ferris v. Turlington , 510 So. 2d
2606292 (Fla. 1987); Evans Packing Co. v. DepÓt of Agric. & Consumer
2618Se rvs. , 550 So. 2d 112 (Fla. 1st DCA 1989). In this case,
2631Petitioner must prove by a preponderance of the evidence that it
2642provided goods or services to Respondent and that Respondent
2651failed to pay for such goods or services.
265935. JWD bears the burden of pr oving the allegations of its
2671complaint by a preponderance of the evidence. See DepÓt of
2681Banking & Fin., Div. of Sec. & Inv. Prot. v. Osborne Stern & Co. ,
2695supra , (ÐThe general rule is that a party asserting the
2705affirmative of an issue has the burden of pre senting evidence as
2717to that issue . Ñ); Fla. DepÓt of Transp. v. J.W.C. Co. , 396 So. 2d
2732778, 788 (Fla. 1st DCA 1981); Vero Beach Land Co., LLC v. IMG
2745Citrus, Inc. , Case No. 08 - 5435 (Fla. DOAH Mar. 4, 2009; Fla. DACS
2759July 20, 2009), affÓd , IMG Citrus, Inc. v. Westchester Fire Ins.
2770Co. , 46 So. 3d 1014 (Fla. 4th DCA 2010) .
278036. JWD Trees has satisfied its burden. As set forth in
2791the Findings of Fact, Respondent Landscape owes JW Trees
2800$42,567.80 for 210 slash pine trees.
280737. JWD additionally seeks recovery of the filing fee paid
2817to the Department for the claim filed against Respondents on
2827May 4, 2015. JWD paid a $50 filing fee, which is specifically
2839recoverable against Respondent. See § 604.21(1)(a) , Fla. Stat.
2847(ÐIn the event the complainant is successful in proving the
2857claim, the dealer in agricultural products shall reimburse the
2866complainant for the $50 filing fee as part of the settlement of
2878the claim.Ñ) .
288138. During PetitionerÓs opening statement, counsel
2887indicated that, in addition to the payment for the trees,
2897shipping, and filing fee, Petitioner was requesting interest on
2906the debt owed by Respondent. Nothing in the governing statute
2916mentions costs, generally, or interest, particularly. Petitioner
2923has cited no other authority for the undersigned to rec ommend
2934payment of interest accrued on the debt. Section 55.03(1),
2943Florida Statutes, Ðprovides only that a Òjudgment or decreeÓ
2952shall bear interest. Such does not include administrative
2960orders.Ñ Bank of Cent. Fla. v. DepÓt of Banking & Fin. , 470 So.
29732d 74 2, 746 (Fla. 1st DCA 1985). ÐAlthough administrative orders
2984entered in adjudicatory proceedings are generally regarded as
2992quasi - judicial in nature . . . administrative orders are
3003generally regarded as not having the force or effect of a final
3015judgment or decree of a court.Ñ Id. (citations omitted).
3024RECOMMENDATION
3025Based on the foregoing Findings of Fact and Conclusions of
3035Law, it is RECOMMENDED that that a final order be entered by the
3048Department of Agriculture and Consumer Services:
3054A. Approving the c laim of JWD Trees, Inc., against
3064Landscape Professional Services, Inc., in the total amount of
3073$42,617.80 ($42,567.80 plus $50 filing fee); and if Landscape
3084Professionals Services, Inc., fails to timely pay JWD Trees,
3093Inc., as ordered, that Respondent, The Gray Insurance Company, as
3103S urety, be ordered to pay the Department of Agriculture and
3114Consumer Services as required by section 604.21, Florida
3122Statutes, and the Department reimburse the Petitioner as set out
3132in section 604.21, Florida Statutes; and
3138B. Ordering Landscape Professional Services, Inc., to pay
3146JWD Trees, Inc., reasonable co sts and attorney's fees.
3155Jurisdiction is retained to determine the amount of costs and
3165attorney's fees, if the parties are unable to agree to the
3176amount.
