133STATEMENT OF THE ISSUE
137The issue presented is whether PetitionerÓs application for
145renewal of its assisted living facility (ALF) license, located in
155Tampa, Florida , should be approved or denied.
162PRELIMINARY STATEMENT
164On March 14, 2017, the Agency for Health Care Administration
174(AHCA) issued, via certified mail, to Andrea Elise Jones,
183Administrator of Hailes Boarding Home (Hailes) 1/ an ÐAmended
192Notice of Intent to Deny Hailes Boarding Home Assisted Living
202Facility Renewal ApplicationÑ (ANOID). Hailes timely filed an
210Election of Rights and Petition for Formal He aring disputing
220AHCAÓs action.
222Subsequently, on May 10, 20 17, AHCA referred the matter to
233DOAH to assign an Administrative Law Judge to conduct the final
244hearing. On May 18, 2017, the undersigned set the final hearing
255for July 10, 2017. On May 22, 2017, AHCA filed a M otion to
269R elinquish J urisdiction, to which H ailes filed an objection. The
281motion was denied. On June 29, 2017, Hailes filed a Motion for a
294Thirty (30) D ay C ontinuance whic h was denied on June 30, 2017.
308On July 5, 2017, the parties filed a J oint R esponse to the
322O rder of P re - hearing I nstructions, in which they stipulated to
336certain facts. These facts have been incorporated into this
345Recommended Order as indicated below.
350The final hearing was held July 10, 2017, with both parties
361represented. At the start of the hearing, AHCA amended its ANOID
372by re moving two of the stated reasons for the denial . At the
386hearing, Hailes presented the testimony of JoAnne Wils on and
396Andrea Jones. HailesÓs C omposite Exhibit 1 was received into
406evidence over objection. 2/ AHCA presented the testimony of Keisha
416Woods. A HCAÓs Exhibits 1 through 8 were received into evidence
427without objection.
429The one - volume Transcript of the hearing was filed at DOAH on
442July 31, 2017. A Notice of F iling Transcript was issued on
454August 1, 2017, setting the date for the parties to file th eir
467proposed recommended orders ( PRO s) on or before August 21, 2017.
479Both parties timely submitted their PRO s , and each was given
490consideration in the preparation of this Recommended Order.
498Unless otherwise stated, all statutory and rule references
506are to the statu t es and rules in effect at the time of the alleged
522violations.
523FINDING S OF FACT
5271 . AHCA is the state agency charged with the licensure and
539regulatory oversight of ALF s, pursuant to chapter s 408, part II ,
551and 429, Florida Statutes ; and Florida Ad ministrative Code
560C hapter s 59A - 35 and 58A - 5.
5702. Hailes is licensed by AHCA as ÐAdrianne Wilson d/b/a
580Hailes Board Home,Ñ licensed number 5776. Hailes is an ALF,
591located at 1 009 N. Willow Avenue , Tampa, Florida.
6003. Hailes started as a business in 1980 an d has been
612operational since then. There are 12 residents who live at
622Hailes, many of whom have been residents for multiple years.
632Hailes operates as an extended family and members of the Hailes
643family live and work on the premises.
6504. The hearing testi mony confirmed , and the most recent
660certificate evidencing the license at issue in this case provided ,

7775 . Florida ALF licenses must be renewed every two years.
788HailesÓ license had been successfully renewed since it was first
798issued. An issue with HailesÓ 2014 renewal application was not
808resolved until September 12, 2016. 3/
8146 . As the 2014 renewal application was winding its way
825through AHCAÓs system, Adrianne Wilson became ill in 2015. Her
835sister, Andrea Jones, became HailesÓ administrator. Prior to
843becoming HailesÓ administrator, Ms. Jones worked with the HailesÓ
852residents in the recreation dep artment, prepared meals for
861everyone, and scheduled appointments for HailesÓ residents. After
869she became the administrator, Ms. Jones helped to fill out some of
881the licensing applications.
8847 . On February 22, 2 016, Hailes filed a purported Ðrenewal
896a pplic ationÑ which listed the name of the ALF as ÐHailes Assisted
909Living Facility, IncÑ located at Ð1009 N Willow Ave Tampa,
919Hillsborough FL 33607.Ñ This application provided that Andrea
927Jones was contact person f or the application and held 100 percent
939of the o wnership interest in the ÐIndividual and/or Entity
949Ownership of LicenseeÑ section. This application did not provide
958HailesÓ license number. The provided F ederal Employer
966Identification N umber (FEIN) 47 - 3080379 is associated with Hailes
977Assisted Living Fa cility, Inc.
9828 . The 2016 Ð r enewal a pplicationÑ provided an ALF n ame and
997ALF owner different from the HailesÓ licensee of record. By
1007correspondence dated March 10, 2016 (AHCAÓs Exhibit 3), 4/ AHCA
1017returned this application. This March 10th letter was add ressed
1027to Andrea Elise Jones as the administrator for Hailes and provided
1038the following explanation for the return of the application:
1047Pursuant to Section 408.815(2), Florida
1052Statutes a facility while in litigation, must
1059file a renewal application if their license is
1067due to expire during the litigation process.
1074On February 22, 2016, the Agency for Health
1082Care Administration received an application
1087from you which was marked as renewal, but
1095after review, it was determined it was a
1103change of ownership applica tion. This
1109determination is based on the fact that
1116Adrianne Wilson, is currently the 100% owner
1123of Hailes Boarding Home AL 5776. The
1130application received on February 22, 2016
1136lists Hailes Assisted Living Facility Inc,
1142FEIN No. 47 - 3080379 as the licensee and Andrea
1152Jones as 100% of the licensee, making it a
1161change of ownership instead of a renewal
1168application. Based on this determination the
1174application i s being returned to you along
1182with a refund form for the total amount
1190submitted with the application $ 574.65 and
1197Hailes Boarding Home licensure status will be
1204changed to failed to renew.
1209Thus, Hailes was put on notice that AHCA deemed the Ðrenewal
1220applicationÑ to be a change of ownership application (CHOW) and
1230returned it to the person who submitted it. The responsibility
1240fell to Hailes and its owner(s) or administrator to file a correct
1252renewal application.
12549 . AHCA did not receive a renewal appl ication or any other
1267submission from Hailes. On April 7, 2016, AHCA issued a ÐNotice
1278Of Intent To Deny Rene wa l Application 60936 Ñ (NOID) . Within that
1292NOID, AHCA provided the ÐSpecific BasisÑ for the denial
1301determination as follows:
1304Per 59A - 35.060(8) Florida Administrative Code
1311(F.A.C.), an application for license renewal
1317may only be filed by the licensee. The n ame
1327of the current licensee is Adrianne Wilson.
1334The entity (Hailes Assisted Living Facility
1340Inc.) that submitted the renewal application
1346did not have the authority to do so. The
1355Federal Employer Identification Number (47 -
13613080379) listed on the applicatio n differed
1368from that of the current licenseeÓs sole
1375proprietor FEIN 26 - 2977465.
1380The licensee has been cited for unlicensed
1387activity pursuant to Section 408.812, Florida
1393Statutes; and
1395The provider has failed to submit an employee
1403roster pursuant to Sectio n 435.12(2), Florida
1410Statues [sic] (F.S.).
141310 . Approximately a year later, on February 13, 2017, 5/
1424another application was submitted as a Ðrenewal applicationÑ for
1433an entity located at 1009 N . Willow Ave nue Tampa, Hillsborough,
1445Florida 33607. HailesÓ l icense number AL5776 was listed on this
1456application. However, the name of the ALF was listed as Adrianne
1467Wilson, not Hailes. The FEIN number 47 - 3080379 is associated with
1479the entity called ÐHailes Assisted Living Facility, Inc.Ñ
148711 . AHCAÓs witness, Keis ha Woods , is the unit manager for
1499the assisted living unit at AHCA. Ms. Woods testified that AHCA
1510reviewed the application , and subjected it, as it does with all
1521renewal license applications, to the same standard as initial
1530license applications. The stan dards are found in rule 59A - 35 .
154312 . On March 14, 2017, AHCA issued the ANOID. Within this
1555ANOID, AHCA provided the basis for this determination as
1564follows 6/ :
1567The specific basis for this determination is
1574pursuant to Chapter 59A - 35.060(8), Florida
1581Administ rative Code (F.A.C.); an application
1587for license renewal may only be filed by the
1596current licensee.
1598On February 21, 2016, an ALF application
1605marked as a renewal was submitted on behalf of
1614Hailes Boarding Home, Inc. This application
1620has Hailes Assisted Li ving Facility, Inc. as
1628the name of the ALF and the licensee. Agency
1637records and previous applications have Hailes
1643Board ing Home as the name of the ALF and
1653Adrianne Wilson as 100% ÐSole ProprietorÑ as
1660the licensee. This application was denied due
1667to a cha nge in its ownership. The ownership
1676is listed as a corporation and not as a sole
1686proprietor.
1687On February 13, 2017, an ALF application was
1695received marked as a renewal with the owner of
1704the ALF listed as Adrianne Wilson and the
1712ownership type as ÐIndividu alÑ. However, the
1719Federal Employer Identification Number
1723provided for the licensee is associated with
1730Hailes Assisted Living Facility, Inc. This
1736again shows a change of ownership from a sole
1745proprietor to a corporation.
1749Based upon the Florida Department of State,
1756Division of Corporations (Sunbiz) Hailes
1761Boarding Home is listed as a sole proprietor
1769with the Federal Employee Identification
1774Number (FEIN) 26 - 2977465; the FEIN 47 - 3080379
1784listed on this application is associated with
1791Hailes Assisted Living Fac ility, Inc., a
1798corporation. This constitutes a change in the
1805FEIN, and shows the licensee/entity has
1811changed from a sole proprietor to a
1818corporation, see section 408.803(5)(a) Florida
1823Statutes (F.S.), making this a change of
1830ownership application, not a r enewal
1836application.
183713 . Ms. Jones is aware that Hailes has been licensed by AHCA
1850for over 20 y ears, and that renewals are filed every two year s .
1865Further, Ms. Jones is aware there are specific time frames for
1876filing a CHOW.
1879CONCLUSIONS OF LAW
188214 . The Di vision of Administrative Hearings has jurisdiction
1892over the subject matter and parties pursuant to sections 120.569
1902and 120.57(1), Florida Statutes (2014).
190715 . In the instant case, H ailes filed a CHOW, but thought it
1921had ap plied for the renewal of its lic ense to operate an ALF .
1936Hailes challenges AHCAÓs decision to deny the renewal license
1945application.
194616 . A license to operate an ALF is a public trust and a
1960privilege, not an entitlement. § 429.01(3), Fla. Stat.
196817 . Generally, the applicant for licensure has the burden of
1979proof to demonstrate, by a preponderance of the evidence, that it
1990satisfies the requirements for licensure and is entitled to
1999receive the license. DepÓt of Banking & Fin. v. Osborne Stern &
2011Co. , 670 So. 2d 932, 934 (Fla. 1996); M.H. v. DepÓt of Child. &
2025Fam. Servs. , 977 So. 2d 755, 762 (Fla. 2d DCA 2008).
203618 . AHCA cited the following statutory and rule citations in
2047the ANOID to deny H ailes Ó renewal license: sections 408.803(5)(a)
2058and 408.815(1)(c) , Florida Statutes, and rule 59A - 35.060 (8). 7/
206919 . Section 408.803(5)(a) provides:
2074408.803 Definitions. Ï As used in this part, the
2083term:
2084(5) ÐChange of ownershipÑ means:
2089(a) An event in which the licensee sells or
2098otherwise transfers its ownership to a
2104different individual or entity as evide nced by
2112a change in federal employer identification
2118number or taxpayer identification number; or
2124* * *
2127A change solely in the management company or
2135board of directors is not a change of
2143ownership.
214420 . Section 408.815(1)(c) provides:
2149(1) In add ition to the grounds provided in
2158authorizing statutes, grounds that may be used
2165by the agency for denying and revoking a
2173license or change of ownership application
2179include any of the following actions by a
2187controlling interest:
2189* * *
2192(c) A viola tion of this part, authorizing
2200statutes, or applicable rules.
220421 . Rule 59A - 35.060(8) provides:
2211An application for license renewal may only
2218be filed by the licensee.
222322 . The persuasive evidence adduced at hearing establishes
2232that Hailes did not submit the requisite renewal application for
2242the continuation of its license. Hailes failed to demonstrate,
2251by a preponderance of the evidence, that it met the applicable
2262re - licensure requirements and that it is entitled to a renewal of
2275its license. HailesÓ fai lure to appreciate being advised that
2285what it perceived to be a renewal application was a CHOW and to
2298timely revise it by providing the correct information ,
2306demonstrates a lack of attention to details.
2313RECOMMENDATION
2314Based on the foregoing Findings of Fact and Conclusions of
2324Law, it is RECOMMENDED that that the Agency for Health Care
2335Administration enter a final order upholding the denial of
2344Hailes Ó licensure renewal application. 8/

24993 / AHCA issued a notice of intent to deny HailesÓ 2014 renewal
2512application and Hailes requested a hearing not involving disputed
2521issues of fact. In May 2014, a hearing was held, and a
2533Reco mmended Order was issued in December 2014. The parties
2543entered a settlement agreement in August 2016. The Final Order,
2553in which AHCA Ðagreed to grant the license application for the
2564licensure period of February 22, 2014 to February 21, 2016 , Ñ was
2576execute d on September 12, 2016. No testimony was provided as to
2588why it took over two years to resolve this renewal application.

2612ÐApplication for Refund From State of Florida,Ñ which was
2622partially com pleted.
26255/ Although , in the ÐStatement of Admitted FactsÑ the parties
2635provided that this application was submitted on February 22,
26442017, the date - stamped application provided that the application
2654was received by AHCA on February 13, 2017.
