244Whether Respondent, Florida Housing Finance CorporationÓs
250(ÐFlorida HousingÑ), decision to award funding, pursuant to
258Request for Applications 2017 - 111 (Ðthe RFAÑ), to HTG Sunset,
269LLC (ÐSunset LakeÑ) ; HTG Creekside, LLC (Ð Oaks at CreeksideÑ) ;
279and HarperÓs Pointe, LP (ÐHarperÓs PointeÑ), is contrary to its
289governing statutes, rules, or the RFA specifications; and, if
298so, whether the decision is clearly erroneous, contrary to
307competition, arbitrary, or capricious.
311PRELIMINARY STATEMENT
313Florida Housing initially issued the RFA on October 6,
3222017, and, after two modifications, established an application
330deadline of December 20, 2017. Petitioners and Intervenors
338submitted timely applications in response to the RFA. On May 4,
34920 18, Florida Housing published ÐRFA 2017 - 111 Board Approved
360Preliminary AwardsÑ (ÐCorporationÓs NoticeÑ) , tentatively
365awarding funding to Sunset Lake, Oaks at Creekside, and HarperÓs
375Pointe, among others.
378On May 9, 2018, Petitioners , Madison Oaks, LLC (ÐMad ison
388OaksÑ) ; and American Residential Communities, LLC (ÐAmerican
395ResidentialÑ), filed their n otices of p rotest challenging the
405selection of the applications set forth in the CorporationÓs
414Notice. Petitioners timely filed a Formal Written Protest of
423Award and Petition for Administrative Hearing, which was
431forwarded to the Division of Administrative Hearings
438(ÐDivisionÑ) on June 8, 2018, 1/ for assignment of an
448Administrative Law Judge (ÐALJÑ) to conduct a final hearing.
457The Petition was assigned D OAH Case No. 18 - 2966 BID .
470On May 9, 2018, Petitioners , Sterling Terrace, LTD ; and
479Sterling Terrace Developer, LLC (collectively, ÐSterling
485TerraceÑ), filed their Notice of Protest challenging the
493selection of the applications set forth in the CorporationÓs
502Notice. Sterling Terrace timely filed a Formal Written Protest
511of Award and Petition for Administrative Hearing, which was
520forwarded to the Division on June 8, 2018, for assignment of an
532ALJ to conduct a final hearing. The Petition was assigned DOAH

597The parties introduced Joint Exhibits J1 through J8, which
606were admitted in evidence. The parties jointly offered the
615testimony of Marisa Button, Florida HousingÓs Director of

805FINDING S OF FACT
8091. Petitioner Madison Oaks is the Applicant entity for a
819proposed affordable housing development to be located in Osceola
828County, Florida.
8302. Petitioner Sterling Terrace is the Applicant entity
838for a proposed affordable housing development to be located in
848Hernando County, Florida.
8513. American Residential and Sterling Terrace are Developer
859entities as defined by Florida Housing in Florida Administrative
868Code Rule 67 - 48.002(28).
8734. Sunset Lake, Oaks at Creekside, and HarperÓs Pointe
882are all properly registered business entities in Florida in the
892business of providing affordable housing.
8975. Florida Housing is a public corporation or ganized
906pursuant to c hapter 420, Part V, Florida Statutes, and, for the
918purposes of these proceedings, an agency of the State of Florida.
9296. Through the RFA, Florida Housing proposes to award an
939estimated $10,978,942 in Housing Credit Financing for Afford able
950Housing Developments located in medium and small counties
958(Ðaffordable housing tax creditsÑ).
9627. The RFA outlines a process for selecting developments
971for funding. Section Five B. outlines the Selection Process, and
981subsection 2. is the Application Sorting Order.
9888. On November 5, 201 7, Florida Housing received
997167 applications in response to the RFA. Madison Oaks, Sterling
1007Terrace, Sunset Lake, Oaks at Creekside, and HarperÓs Pointe
1016timely submitted applications seeking funding to assist in the
1025de velopment of multi - family housing in medium counties.
10359. Florida Housing selected a review committee to score
1044all submitted applications. The review committee issued a
1052recommendation of preliminary rankings and allocations, and the
1060Board of Directors of Florida Housing approved these
1068recommendations on May 4, 2018. The Board found that the
1078parties to this proceeding all satisfied the mandatory and
1087eligibility requirements for funding, but awarded funding to
1095Intervenors based upon the ranking criteria in the RFA.
110410. If Sterling Terrace can demonstrate that any two of
1114the three Intervenors should not have been recommended for
1123funding, it and Blue Sunbelt, LLC, will displace them as
1133applications selected for funding. If Madison Oaks can
1141demonstrate that a ll three Intervenors should not have been
1151recommended for funding, Sterling Terrace and Blue Sunbelt, LLC,
1160will displace them as applications selected for funding.
1168Sunset Lake
117011. Section Four A.5.e.(3) of the RFA allows applicants
1179to receive up to four p oints for proximity to certain community
1191services. The RFA provides that applicants in medium counties
1200must receive at least seven points to be eligible for funding,
1211and at least nine points to be eligible for a Proximity Funding
1223Preference.
122412. One of those community services is public schools,
1233which are defined as follows:
1238A public elementary, middle, junior and/or
1244high school, where the principal admission
1250criterion is the geographic proximity to the
1257school. This may include a charter school,
1264if the charter school is open to
1271appropriately aged children in the radius
1277area who apply, without additional
1282requirements for admissions such as passing
1288an entrance exam or audition, payment of
1295fees or tuition, or demographic diversity
1301considerations.
1302Addition ally, it must have been in existence
1310and available for use by the general public
1318as of the Application Deadline. (emphasis
1324added).
132513. Sunset Lake identified the Jewett School of the Arts
1335(ÐJewett SchoolÑ) as a public school, received four points for
1345pr oximity, and as a result , was eligible for the Proximity
1356Funding Preference.
135814. The Jewett School is a magnet school within the Polk
1369County Florida School District. The Jewett School was in
1378existence and available for use by the general public as of t he
1391a pplication d eadline.
139515. Petitioners maintain the Jewett School does not meet
1404the definition of Ðpublic school. Ñ 4/ If the Jewett School does
1416not meet the definition of a Ðpublic school,Ñ Sunset Lake would
1428not be entitled to four points for proximity to community
1438services. As a result, it would have a total of seven points
1450for proximity, and while it would remain eligible, it would lose
1461the Proximity Funding Preference. As a result, Sunset Lake
1470would not have been ranked as highly and would not have been
1482recommended for funding.
148516. The Jewett School does not meet the RFA definition of
1496Ðpublic schoolÑ because geographic proximity to the school is
1505not the principal admission criterion. Although a student must
1514live in Polk County SchoolsÓ Magnet Zone B to apply for
1525admission to the Jewett School, the principal admission criteria
1534is a random lottery process. Geographic location within the
1543Polk County magnet school zones is a threshold issue which
1553qualifies a student to apply for admission. However, th e magnet
1564school decision - making process entails a subsequent elaborate
1573demographic diversity analysis, sorting based on the outcome of
1582that analysis, and, ultimately, a random lottery drawing which
1591determines final admission.
159417. The Jewett School admissi on process is contrary to
1604Florida HousingÓs primary purpose of awarding proximity points
1612to proposed housing developments -- to ensure the intended
1621residents can, in fact, use the services in proximity to the
1632development.
163318. Sunset Lake is not entitled to four points for
1643proximity to community services and should not be awarded
1652Proximity Funding Preference. As a result, Sunset Lake should
1661not have been ranked as highly and should not have been
1672recommended for funding.
1675Oaks at Creekside
167819. Oaks at Creek side identified the Manatee Charter
1687School (ÐManatee SchoolÑ) as a public school, received
1695three points for proximity, and, as a result, was eligible for
1706funding but not for the Proximity Funding Preference. The
1715Manatee School is a charter school located in Bradenton,
1724Florida.
172520. The Manatee School was in existence and available for
1735use by the general public as of the a pplication deadline.
174621. Petitioners maintain the Manatee School does not meet
1755the definition of a Ðpublic school.Ñ 5/ If the Manatee Ch arter
1767School does not meet that definition, then Oaks at Creekside is
1778not entitled to three points for proximity. As a result, it
1789would have only six total proximity points, and would not be
1800eligible for funding.
180322. Florida Housing maintains that a char ter school must
1813meet both parts of the definition of a public school in order
1825for a proposed development to receive proximity points based on
1835proximity to that school. That means a charter school must
1845(1) use geographic proximity as the primary admission criteria,
1854and (2) be Ðopen to appropriately aged children in the radius
1865area who apply, without additional requirements for admissions
1873such as passing an entrance exam or audition, payment of fees or
1885tuition, or demographic diversity considerations.Ñ
189023. Geographic proximity is not the primary admission
1898criterion for the Manatee School. On the contrary, the Manatee
1908School is open for admission regardless of geographic proximity
1917thereto.
191824. The Manatee School operates pursuant to a contract
1927with the Man atee County School Board, and is Ðopen to any
1939student residing in the Manatee County School District, students
1948covered in an interdistrict agreement and students as provided
1957for in Section 1002.33(10), Florida Statutes (2010).Ñ 6/
196525. The Manatee School op erates a Ðcontrolled open
1974enrollmentÑ process. The application period opens in early
1982January and closes at the end of February, and the School
1993accepts students from any school district in the state whose
2003parent or guardian can provide transportation to th e school, if
2014the school has not reached capacity. This process is sometimes
2024referred to as Ðschool choiceÑ and is mandatory pursuant to
2034section 1002.31, Fl orida Stat utes. 7/
204126. The Manatee School has enrolled students throughout
2049Manatee County, as well a s from adjoining Sarasota County.
205927. Historically, the Manatee School has not reached
2067capacity. Once the School reaches capacity in any one grade
2077level or class, students will be selected by a system - generated,
2089random lottery process.
209228. The term Ðrad ius areaÑ is not defined in the RFA or
2105in Florida HousingÓs rules. Florida Housing introduced no
2113evidence regarding the meaning of the term Ðradius areaÑ within
2123the definition of Ðp ublic s chool. Ñ When questioned about the
2135meaning, Marisa Button, Florida HousingÓs Director of
2142Multifamily Allocations, stated she did not know, but Ð[I]
2151assume it means if the charter school has a radius area. I
2163donÓt know.Ñ 8/
216629. The term ÐradiusÑ is defined as Ða bounded or
2176circumscribed area.Ñ Merriam - Webster Online , www.merriam -
2184webster.com (2018).
218630. The bounded or circumscribed area for admission to
2195the Manatee School is the Manatee County School District,
2204pursuant to its contract. The Manatee School is open to
2214appropria tely - aged children in the radius area who apply.
222531. The Manatee School does not apply additional
2233requirements for admission, such as passing an entrance exam or
2243audition, payment of fees or tuition, or demographic diversity
2252considerations. 9/
225432. The Man atee School does provide admissions
2262preferences to students of active duty military personnel,
2270siblings of a student already enrolled, siblings of an accepted
2280applicant, children of an employee of the School, and children
2290of a charter board member. Each o f these preferences is
2301authorized pursuant to section 1002.33(10)(d).
230633. The preferences are not additional requirements for
2314admission to the Manatee School.
231934. The Manatee School meets the second part of the
2329definition of Ðpublic schoolÑ for purpose o f qualifying Oaks at
2340Creekside to receive proximity points pursuant to the RFA.
2349HarperÓs Pointe
235135. Madison Oaks argues HarperÓs Pointe is ineligible for
2360funding pursuant to the RFA because the HarperÓs Pointe
2369development site is a Ðscattered site,Ñ and H arperÓs Pointe did
2381not identify the site as such and comply with the RFA requirement
2393to designate latitude and longitude coordinates for both sites. 10/
240336. Rule 67 - 48.002(105) defines Ð s cattered s itesÑ as
2415follows:
2416(105) ÐScattered sites,Ñ as applied to a
2424single Development, means a Development site
2430that, when taken as a whole, is comprised of
2439real property that is not contiguous (each
2446such non - contiguous site within a Scattered
2454Site Development, is considered to be a
2461ÐScattered SiteÑ). For purposes of th is
2468definition ÐcontiguousÑ means touching at a
2474point or along a boundary. Real property is
2482contiguous if the only intervening real
2488property interest is an easement, provided
2494the easement is not a roadway or street.
2502All of the Scattered Sites must be loca ted
2511in the same county.
251537. Section Four A.5.c. of the RFA states: ÐThe Applicant
2525must state whether the Development consists of Scattered Sites.Ñ
253438. Section Four A.5.d. of the RFA requires that
2543applicants provide latitude and longitude coordinates fo r the
2552Development Location Point and any scattered sites.
255939. Section Five A.1. provides that Ðonly items that meet
2569all of the following Eligibility Items will be eligible for
2579funding and consideration for funding selection.Ñ Among the
2587items listed are Ð Question whether a Scattered Sites Development
2597answeredÑ and ÐLatitude and Longitude Coordinates for any
2605Scattered Site provided, if applicable.Ñ
261040. HarperÓs Pointe did not state in its application that
2620the development consists of s cattered s ites, and di d not provide
2633separate latitude and longitude coordinates for s cattered s ites.
264341. HarperÓs PointeÓs proposed development site, as
2650identified in its Site Control Documents, consists of land
2659located within a platted tract of property. The plat recorded
2669in Alachua County indicates that the site is bisected by a
2680platted 50 - foot street easement running east/west through the
2690property.
269142. The parties stipulated the street has never been
2700constructed.
270143. Although portions of the east/west easement area show
2710signs of having been improved at some time in the past, the
2722easement area has never been paved, and is currently impassible
2732by car or truck due to vegetation in the easement area.
274344. Even if the easement area were improved, there is no
2754roadway to the west of the property to which it would connect. A
2767fence runs along the property line and the property beyond the
2778fence is platted residential lots accessed by Northeast
278622nd Street.
278845. An existing roadway, Northeast 23rd Avenue, terminates
2796at the east ern property line just south of the east/west
2807easement. The City has placed barriers at that property line
2817prohibiting access to the property from Northeast 23rd Avenue.
282646. If the platted street is a Ðroadway or streetÑ as
2837those terms are used in rule 6 7 - 48.002(105), the site would meet
2851the definition of a Ðscattered site.Ñ
285747. Ms. Button testified on behalf of Florida Housing that
2867the property meets the definition of a scattered site because
2877Ðthere is an easement that is a road or a streetÑ that bisect s
2891the property. Ms. Button first testified that Florida HousingÓs
2900determination did not depend on whether a roadway or street is
2911actually constructed within the easement, but rather, Ðit goes
2920back to the easement, whether there is an easement that is a
2932ro adway or street.Ñ
293648. Ms. ButtonÓs testimony seemed logical enough. If the
2945easement were a street easement, access between the northern and
2955southern portions of the development site would be constrained.
2964By contrast, if the easement were a conservation or utility
2974easement, there would be no impairment of access between portions
2984of the development site.
298849. However, on cross examination, Ms. Button testified
2996that, in making the determination whether an easement for a road
3007or street existed, Florida Housi ng would consider a number of
3018other factors, including whether a roadway was actually
3026constructed within the easement, whether there were physical
3034obstructions preventing access to the ÐprospectiveÑ roadway or
3042street, and whether the public had a right to use the
3053ÐprospectiveÑ roadway or street.
305750. Ms. Button did not testify with specificity what
3066factors she considered in making the determination that the
3075easement, in this case, was Ða roadway or street.Ñ Ms. ButtonÓs
3086direct - examination testimony was con clusory: ÐBased on the
3096documentation we received, there is an easement that is a road or
3108street.Ñ On direct examination, her determination appeared to be
3117based solely on the plat designation of a street easement. On
3128cross - examination, however, Ms. Butto n testified that Ða street
3139designated . . . on a plat could be evidence of the existence of
3153a scattered site.Ñ (emphasis added). Moreover, Ms. Button
3161testified that Florida Housing could consider whether a roadway
3170or street was actually constructed, whet her there were
3179obstructions to its use, and whether the public had a right to
3191use the purported roadway.
319551. Ms. ButtonÓs testimony that the HarperÓs Point
3203development site was a scattered site was equivocal, and the
3213undersigned does not accept it as eith er reliable or
3223persuasive. 11/
322552. There is no physical roadway or street constructed
3234within the easement. While there is some evidence that some
3244portions of the easement area were improved in the past, said
3255improvement was at least 25 years old. The cur rent condition of
3267the property is fairly heavily wooded. To the extent a ÐpathÑ
3278exists on the property, it is not passable by a standard four -
3291wheeled vehicle. Moreover, there are physical barriers
3298preventing vehicular access to the property from the adjo ining
3308street to the east. There is no access to the property from the
3321residential development to the west of the property.
332953. The re is not an improved area preventing access from
3340the northern to the southern portion of the development site.
3350There is no structure built within the easement which would have
3361to be demolished in order to build the project on the
3372development site as a single parcel.
337854. Based on the entirety of the reliable evidence, the
3388HarperÓs Pointe development site is not a Ðscattered s iteÑ as
3399defined in the RFA.
340355. Madison Oaks failed to prove that Florida HousingÓs
3412initial determination to award tax credits to HarperÓs Pointe,
3421pursuant to the RFA, was incorrect.
3427CONCLUSIONS OF LAW
343056. The Division has jurisdiction over the subject m atter
3440and the parties to this action. §§ 120.569 and 120.57(3), Fla.
3451Stat.
345257. Petitioners have the burden to prove, by a
3461preponderance of the evidence, that Florida HousingÓs intended
3469award of housing tax credits to HTG Sunset, HTG Creekside, and
3480Harp erÓs Pointe is contrary to Florida HousingÓs governing
3489statutes, rules or policies , or the RFA specifications.
3497§ 120.57(3)(f), Fla. Stat.
350158. Although section 120.57(3) provides that this is a de
3511novo proceeding, it is not a Ðde novoÑ proceeding in the
3522t raditional sense. See State Contracting & EngÓg Corp. v. DepÓt
3533of Transp. , 709 So. 2d 607, 609 (Fla. 1st DCA 1998). That is,
3546this is not a forward - looking proceeding to formulate agency
3557action, and the Division may not substitute its judgment for
3567that of Florida Housing. See Intercont inenta l Props., Inc. v.
3578State DepÓt of HRS , 606 So. 2d 380, 386 (Fla. 3d DCA 1992); R.N.
3592Expertise, Inc. v. Miami Î Dade Cnty. Sch. Bd. , Case No. 01 -
36052663BID (Fla. DOAH Feb. 4, 2002; MDCSB Mar. 13, 2002)
3615(explaining the Divisio nÓs role in procurement - protest
3624proceedings). Instead, the Division engages in a form of
3633Ðinter - agency reviewÑ in which the ALJ makes findings of fact
3645about the action already taken by the Department. See State
3655Contracting , 709 So. 2d at 609. The Divisi on does not evaluate
3667the DepartmentÓs decision anew; instead the Division looks to
3676see if the Department followed its governing statutes, its
3685rules, and the RFA specifications during the procurement
3693process. See R.N. Expertise , Case No. 01 - 2663BID , RO at 71 .
370659. Agencies enjoy wide discretion when it comes to
3715soliciting and accepting proposals, and an agency's decision,
3723when based upon an honest exercise of such discretion, will not
3734be set aside even where it may appear erroneous or if reasonable
3746persons may disagree. BaxterÓs Asphalt & Concrete, Inc. v.
3755DepÓt of Transp. , 475 So. 2d 1284, 1287 (Fla. 1st DCA 1985);
3767Capeletti Bros., Inc. v. State DepÓt of Gen. Servs. , 432 So. 2d
37791359, 1363 (Fla. 1st DCA 1983). Section 120.57(3)(f)
3787establishes the standard of proof: whether the proposed action
3796is clearly erroneous, contrary to competition, arbitrary , or
3804capricious.
380560. A decision is considered to be clearly erroneous when,
3815although there is evidence to support it, after review of the
3826entire record, the tri bunal is left with the definite and firm
3838conviction that a mistake has been committed. U.S. v. U.S.
3848Gypsum Co. , 333 U.S. 354, 395 (1948). An agency action is
3859capricious if the agency takes the action without thought or
3869reason, or irrationally. Agency ac tion is arbitrary if it is
3880not supported by facts or logic. See Agrico Chem. Co. v. State
3892DepÓt of Envtl. Reg. , 365 So. 2d 759, 763 (Fla. 1st DCA 1978).
3905An agency decision is contrary to competition if it unreasonably
3915interferes with the objectives of co mpetitive bidding. See

4068competition, arbitrary, nor capricious. The Manatee School is a
4077public school as defined in the RFA.
408464. As noted in Florida HousingÓs Notice of Change of
4094Position, filed July 6, 2018, Florida Housing determined after
4103discovery depositions that the Manatee School was not a public
4113school for purposes of awarding proximity points to Oaks at
4123Creekside. However, it is Flori da HousingÓs initial decision to
4133award funding to Oaks at Creekside, not its subsequent litigation
4143position, that is at issue in this proceeding. 13/ See Blue

4906counsel for Florida Housing stated its position as Ð[I] guess
4916our position at the moment is it looks like a street, it must
4929be a street. . . . I am sure we are going to hear argument on
4945all sides . . . and when we do , weÓll just have to come up with
4961our ultimate position on that[.]Ñ
496612/ Florida Housing conceded this point when it filed a Notice
4977of Change of Position on July 6, 2018.
498513/ However, the undersigned is compelled to comment on Florida
4995HousingÓs position , taken at final hearing, that the Manatee
5004School does not meet the RFA definition of Ðpublic schoolÑ
5014because geographic proximity is not the primary admission
5022criteria. That position is untenable. Florida Housing is
5030required to interpret the RFA consist ent with its plain and
5041unambiguous language. See Brownville Manor, LP v. Redding Dev.
5050Partners, LLC , 224 So. 3d 891 (Fla. 1st DCA 2017)(citing
5060Creative Choice XXV, Ltd. v . Fla. Hous. Fin. Corp. , 991 So. 2d
5073899, 901 (Fla. 1st DCA 2008). Florida HousingÓs interpretation
5082of the definition to require compliance with both the first and
5093second sentences of the definition is contrary to the plain
5103language of the RFA.
5107The first sentence clearly and unequivocally refers to the
5116admission criteria of traditional public schools, where
5123admission is mandatory for all children within a defined
5132geographic proximity to the school, i.e., the school attendance
5141zone. The second sentence applies specifically to charter
5149schools, which are non - traditional public schools in F lorida.
5160§ 1002.33(1), Fla. Stat. As it pertains to charter schools, the
5171definition requires only that the school be Ðopen to
5180appropriately aged children in the radius area who applyÑ and
5190not impose additional admission criteria. Requiring a charter
5198scho ol to meet both parts of the definition of public school is
5211contrary to the plain language of the RFA. While the
5221undersigned is cognizant of the principle of deference to agency
5231interpretations, Ðjudicial adherence to the agencyÓs view is not
5240demanded whe n it is contrary to the [RFAÓs] plain meaning.Ñ
5251Werner v. DepÓt of Ins. & Treasurer , 689 So. 2d 1211 (Fla. 1st
5264DCA 1997). Within the RFA definition of public school, the
5274second sentence is specific to charter schools and should be
5284applied to Oaks at Cree ksideÓs application.
5291Further, Florida HousingÓs interpretation would effectively
5297prohibit any charter school from qualifying as a public school
5307under the RFA. Through 2016, charter schools were required to
5317be open to any student residing in the school di strict in which
5330the charter school is located. § 1002.33(10), Fla. Stat.
5339(2016). Under current law, a charter school Ðmay be exempt from
5350[Public School Parental Choice] as long as it is open to any
5362student residing in the school district in which the cha rter
5373school is located.Ñ £ 1002.33(10)(2018). A charter school
5381cannot be both open to any student within the school district
5392and use geographic proximity as the primary admission criteria.
