15On September 18, 2020, the Division filed an Amended Motion for
26Summary Proceedings requesting that this proceeding be co nducted
35pursuant to section 120.574. Because Ms. Bolt had no objection, the undersigned issued an Order on September 21, 2020, granting the
56aforementioned Motion.
58Prior to the commencement of the final hearing , scheduled for October 23,
702020, the parties notified the undersigned that a settlement had been
81reached and filed a Joint Proposed Recommended Final Order on October 8,
932020. The instant Summary Final Order incorporates the parties stipulated
103facts and their proposed disposition.
108F INDINGS O F F ACT
1141. The Division is the state agency charged with regulating the practice of
127real estate in Florida pursuant to section 20.165, Florida Statutes, and
138chapters 120, 455, and 475, Florida Statutes.
1452. At all relevant times, Ms. Bolt was a Florida - licen sed real estate broker
161holding license number BK 3104456.
1663. Since February 2, 2007, Ms. Bolt has been the qualifying broker for
179MWB Real Estate Venture, Inc. (MWB), a licensed real estate corporation
190holding license number CQ 1028208. MWB does business as Tropic Coast
201Realty.
2024. On approximately February 1, 2017, Ms. Bolt hired Laura Mayer to
214work as an inside sales associate soliciting sales leads for MWB. Ms. Mayer did not hold a real estate license at that time.
2375. On approximately August 9, 2017, Ms. Bolt and Ms. Mayer entered into
250an Inside Sales Agent Offer and Agreement of Employment outlining
260Ms. Mayers employment duties and compensation structure. Ms. Bolt agreed
270to pay Ms. Mayer a base salary and bonuses based on active listings taken
284and so ld. Ms. Mayer was to receive $100.00 per lead that resulted in a sales
300listing and a structured bonus 2 for leads resulting in commissions for Ms.
313Bolt.
3146. Ms. Mayers duties included, but were not limited to, the following
326tasks: (a) calling owners of Flo rida real estate who were potential sellers;
339(b) following approved scripts and dialogues provided to her; (c) working to
351compel each prospect to agree to a face - to - face agent presentation; (d) making
367follow - up calls as assigned; (e) achieving a minimum g oal of five listing
382presentations per week; and (f) continuously contacting potential sellers until making contact.
3947. Ms. Bolt paid Ms. Mayer for performing work associated with the
406following real estate transactions:
410a. $750.00 on May 11, 2017, for th e sale of Wading
422Bird;
423b. $400.00 on September 26, 2017, for the sale of
433Fernandina;
434c. $650.00 on September 28, 2017, for the sale of
444Woodfield;
445d. $1,750.00 on October 19, 2017, for the sale of
456Willoughby;
457e. $475.00 on October 27, 201 7 , for the sale of
468Darrow;
469f. $500.00 on October 27, 201 7 , for the sale of
480Rayfield;
481g. $375.00 on December 21, 2017, for the sale of
491Sugar Creek;
4932 The structured bonus was a graduated amount based on the sales price.
506h. $450 .00 on April 18, 201 8 for the sale of Achilles;
519i. $250.00 on April 18, 2018, for the sale of
529Hyacinth;
530j. $100. 00 on September 14, 201 8 for the listing of
542Birdland , Brown;
544k. $100.00 on September 14, 2018, for the listing of
554Goldenrod, Kennedy;
556l. $300.00 on September 25, 2018, for the sale of
566Creel;
567m. $100.00 on September 26, 2018, for the listing of
577Venetian, Na ll;
580n. $100.00 on October 2, 2018, for the listing of Colorado, Luidmela;
592o. $100.00 on October 15, 2018, for the listing of
602Kerry Downs, DeGraaf;
605p. $100.00 on October 15, 2018, for the listing of Emerson, Board; and
618q. $250.00 on October 19, 2018, for the sale of
628Amaryllis.
6298. Ms. Mayer did not hold a real estate license when any of the
643aforementioned payments and/or sales were completed.
6499. The D ivision and Ms. Bolt submitted a proposed disposition that is
662adopted by the undersigned and set f orth below.
671C ONCLUSIONS O F L AW
67710 . Pursuant to section 120.57 4 , DOAH has jurisdiction over the parties
690and subject matter of this proceeding.
6961 1 . Chapter 475 governs real estate licensees, and section 475.01(1)(a)
708defines a broker, in pertinent part , as:
716a person who, for another, and for a compensation
725or valuable consideration directly or indirectly paid
732or promised, expressly or impliedly, or with an
740intent to collect or receive a compensation or
748valuable consideration therefor, appraises,
752auctio ns, sells, exchanges, buys, rents, or offers,
760attempts or agrees to appraise, auction, or
767negotiate the sale, exchange, purchase, or rental of
775business enterprises or business opportunities or
781any real property or any interest in or concerning
790the same, in cluding mineral rights or leases, or who
800advertises or holds out to the public by any oral or
811printed solicitation or representation that she or he
819is engaged in the business of appraising,
826auctioning, buying, selling, exchanging, leasing, or
832renting busin ess enterprises or business
838opportunities or real property of others or interests
846therein, including mineral rights, or who takes any
854part in the procuring of sellers, purchasers, lessors,
862or lessees of business enterprises or business
869opportunities or the real property of another, or
877leases, or interest therein, including mineral rights,
884or who directs or assists in the procuring of
893prospects or in the negotiation or closing of any
902transaction which does, or is calculated to, result in
911a sale, exchange, or leasing thereof, and who
919receives, expects, or is promised any compensation
926or valuable consideration, directly or indirectly
932therefor; and all persons who advertise rental
939property information or lists.
9431 2 . The Second District Court of Appeal held in Al ligood v. Florida Real
959Estate Commission , 156 So. 2d 705 (Fla. 2d DCA 1963) , that a telephone
972solicitor paid for contacting people by telephone and inviting them to visit a
985real estate development project at the developers expense was subject to
996regulatio n under chapter 475.
10011 3 . Section 455.227(1)(j) subjects a real estate licensee to discipline for:
1014[a]iding, assisting, procuring, employing, or
1019advising any unlicensed person or entity to practice
1027a profession contrary to this chapter, the chapter
1035regula ting the profession, or the rules of the
1044[Department of Business and Professional
1049Regulation] or [the Florida Board of Real Estate].
10571 4 . A real estate licensee violate s section 475.25(1)(h), if the licensee:
1071[h] as shared a commission with, or paid a fe e or
1083other compensation to, a person not properly
1090licensed as a broker, broker associate, or sales
1098associate under the laws of this state, for the
1107referral of real estate business, clients, prospects,
1114or customers, or for any one or more of the services
1125se t forth in s. 475.01 (1)(a). For the purposes of this
1137section, it is immaterial that the person to whom
1146such payment or compensation is given made the
1154referral or performed the service from within this
1162state or elsewhere; however, a licensed broker of
1170this state may pay a referral fee or share a real
1181estate brokerage commission with a broker licensed
1188or registered under the laws of a foreign state so
1198long as the foreign broker does not violate any law
1208of this state.
12111 5 . Section 475.42(1)(c), mandates that [a] broker may not employ, or
1225continue in employment, any person as a sales associate who is not the holder of a valid and curre nt license as a sales associate ...
1251O RDER
1253Based on the foregoing Findings of Fact , Conclusions of Law , and
1264proposed dispositio n submitted by the parties , it is O RDERED that :
12771. Ms. Bolt shall pay a fine of $1 ,000.00 for violating section 45 5.227(1)(j);
1292a fine of $1,000.00 for violating section 475.25(1)(h); and investigative costs of
1305$435.00. Ms. Bolt shall pay the fines and inve stigative costs by separate
1318checks made payable to the Department of Business and Professional
1328Regulation, Division of Real Estate, within six months from the rendition of
1340the instant Summary Final Order. Payment shall be mailed to 400 West
1352Robinson Street ; Suite N801 , Orlando, Florida 32801.
13592. Ms. Bolt shall complete a 14 - hour continuing education course within
1372six months of the rendition of the instant Summary Final Order. That
1384education is in addition to any requirement for Ms. Bolt to maintain a real
1398e state license. The course may be attended live or online. However, the course
1412must be authorized and/or approved by the Florida Real Estate Commission.
1423Unapproved or out - of - state courses will not satisfy this requirement.
14363 . Count Three of the Divisions Administrative Complaint is dismissed.
14474. This Summary Final Order shall be construed as disciplinary action
1458against Ms. Bolts license pursuant to section 455.227(1)(f). The Division and
1469the Florida Real Estate Commission may consider this Summary Final Order
1480in connection with any future disciplinary proceeding s .
14895. This Summary Final Order shall not preclude or deter the Division or
1502the Florida Real Estate Commission from other disciplinary proceedings
1511against Ms. Bolt for acts or omissions unrelated to those set forth in the
1525Administrative Complaint.
15276. Each party shall bear any and all attorneys fees and costs incurred in
1541connection with this cause, except for the costs set forth above which shall be
1555paid by Ms. Bolt.
