141Whether the bid received from DBE Management, Inc. , after the
151corporation converted to DBE Management , LLC , was non - responsive to the
163requirements set forth in the I nvitation to Bid (ITB) , and , thus , properly
176rejected by the City of Cape Coral (City).
184P RELIMINARY S TATEMENT
188This action derives from a formal written protest by DBE Management,
199LLC d/b/a DBE Utility Services (DBE) , to the City in protest of the City's
213Notice of Intent (NOI) to Award Bid N o. BUT2175KR , Reclaimed Water
225Transmission Main Caloosahatchee River Crossing (Bid BUT2175KR), to the
234second lowest bidder, The HDD Company, Inc. ( HDDCO ) , on August 3, 2021.
248T he parties agreed that the protest was timely.
257On October 13 , 2021, the City referred the p rotest to DOAH , which was
271assigned to the undersigned to conduct a n administrative hearing. T he
283hearing is to determine whether the City's NOI is contrary to Chapter 2,
296Article VII, Division 1, Purchasing of Goods and Service s of the Code of
310Ordinances of the City of Cape Coral, Florida , or the solicitation
321specifications pursuant to s ection 120.57 (3)(f), Florida Statutes.
330At the final hearing, Exhibits 1 through 20 and 22 through 32 , were
343admitted as joint exhibits by stipulation of the parties. DBE presented the
355testimony of Dustin Ertle, p resident and chief executive officer of DBE. The
368City and DBE presented the testimony of Wanda Roop, the City's d irector of
382p rocurement .
385The one volu me T ranscript of the final hearing was filed with DOAH on
400December 3, 2021. The parties timely filed p roposed recommended o rders
412that were duly considered in preparing this Recommended Order.
421F INDINGS OF F ACT
426The following Findings of Fact are based on the stipulations of the parties,
439the joint exhibits, and the facts adduced at the hearing.
449Background
4501. In 2018, the instant Cit y and the City of Fort Myers entered into an
466interlocal agreement to construct a pipeline across the Caloosahatchee River
476to transmit reclaimed water from Fort Myers to Cape Coral. The recla imed
489water transmission main would reduce discharges to the r iver while
500providing more reclaimed water to the City, which would help to maintain
512freshwater canal levels during the dry season. This water would be used for
525irrigation purposes and for fire protection purposes. The pipeline would be
536installed with no disturbance to the river bottom, avoiding harm to the
548environment.
5492. On November 4, 2020, the City issued a Request for Pre - Quali fication
564for specialty contractors to perform the work ( RFQ RUT2113KR) . Responses
576were due on December 8, 2020. Five contractors responded. Four were pre -
589qualified in a notice issued on March 9, 2021 , one of which was DBE
603Management , Inc.
605Bid Specifications
6073. The ITB , Bid BUT2175KR , was sent to the four pre - qualified
620contractors on May 26, 2021 , with a response due date of July 13, 2021 , for
635sealed bid packages .
6394. Article 3.02 of Specification Section 00100 , Instructions to Bidders,
649s etting forth the Qualification of Bidders states:
657The Bidder must provide evidence that he/she is
665licensed to provide general construction services in
672the State of Florida as described per the construction
681plans and/or Work description. This evidence should
688include verifiable proof as a State of Florida
696Licensed Contractor under the same name as listed
704in Specification Section 00300, Bid Form and as
712li sted in Section 4 of the Bidder' s Information
722Statement and Questionnaire f orm (Specification
728Section 00301). A Bidder officially changing their
735name any time during the five (5) year period prior
745to the Bid submittal date should provide verifiable
753documentation of the name change and verifiable
760evidence as State of Florida Licen sed Contractor.
768Bidders not meeting this requirement may be deemed
776as being non - responsive and their bid rejected . The
787Bidder will be required to identify the Contractor ' s
797license number, expiration date and name of the
805primary qualifying agent of the Bidd er. If the
814primary qualifying agent is not the owner, an officer,
823partner, a member, a joint venture managing
830partner, etc., the Bidder will be required to describe
839the relationship to the company and provide
846verifiable evidence of such relationship and/or
852license use agreement. A Bidder responding to this
860Invitation to Bid (ITB) as a joint venture is required
870to obtain bid authority under Rule 61G4 - 15.0022,
879Florida Administrative Code and include evidence of
886such bid authority in its response to this ITB. This
896information and the required submittal
901requirements are to be included as a part of
910Spec ification Section 00301, Bidder' s Information
917Statement and Questionnaire and submitted as a
924part of the Bid package. EACH member of a
933partnership or qualifying joint venture must
939complete and submit, as a part of the Bid package, a
950completed Bidder' s Information Statement and
956Questionnaire (Specification Section 00301).
960( e mphasis added).
9645. Article 19.04 of Specification Section 00100 , Instructions to Bidders,
974st ates:
976In evaluating whether a Bidder is responsible,
983Owner will consider the qualifications of the Bidder
991and may consider the qualifications and experience
998of Subcontractors and Suppliers proposed for those
1005portions of the Work for which the identity of
1014S ubcontractors and Suppliers must be submitted as
1022provided in the Bidding Documents. In addition, to
1030price the following may be considered in
1037determining a responsible bidder: A. The Horizontal
1044Directional Drilling (HDD) Specialty Contractors for
1050the Cape C oral Reclaimed Water Transmission
1057Main, Caloosahatchee River Crossing will have been
1064pre - qualified by the City of Cape Coral for this
1075project. B. The ability, capacity, skill and sufficiency
1083of resources of the bidder to perform the contract.
1092C. Whether bidder can perform the contract by
1100providing the service promptly, or within time
1107specified, without delay or interference. D. The
1114character, integrity, reputation, judgement,
1118experience and efficiency of the bidder. E. The
1126quality of performance of the bi dder in previous city
1136contracts. F. The previous and existing compliance
1143by the bidder with laws and ordinance relating to the
1153contract. G. The quality, availability and
1159adaptability of the supplies or professional or
1166contractual services to the particular use required;
1173and, H. The ability of the bidder to provide future
1183maintenance, service or warranty work, if
1189applicable. ( e mphasis added).
11946. Article 16 of Specification Section 0 0100, Instructions to Bidders
1205specifies, "[a]fter bids are opened, correction s or modifications to bids are not
1218permitted."
12197 . DBE M anagement, Inc., timely submitted a sealed bid package on
1232July 13, 2021 . The City did not have any knowledge , however, that 14 days
1247prior , on June 29, 2021, DBE Management , Inc., converted to DBE
1258Management LLC. DBE's bid package did not " provide verifiable
1267documentation of the name change " as required by Specification Section
12770 0100. The requirement to inform the City of any name change is
1290accomplished by providing a "com ple ted Bidder ' s Information Statement and
1303Questionnaire (Specification Section 00301). "
13078 . In the completed Bid Form, Specification Section 0 0300, DBE
1319represented that it meets "the minimum qualifications as set forth in
1330Specification Section 0 0100" and that "all required verifiable documentation
1340is contained in Specification Section 00301, Bidder's Information Statement
1349and Questionnaire." However, DBE completed and submitted the Bid Form,
1359Bidder's Information Statement and Questionnaire, and all other requir ed
1369certifications in the name of DBE Management, Inc.
13779. Article 8 of Specification Section 0 0300, Bid Form, requests the "correct
1390legal entity name of bidding entity." Specification Section 00301, Bidder's
1400Information Statement and Questionnaire, requires , on page 00301 - 6,
1410evidence that the bidding legal entity "currently has an active registration
1421filed with Division of Corporation in the State of Florida (Sunbiz
1432registration)." DBE submitted the 2020 corporate annual report for DBE
1442Management, Inc., showing a filing date of March 24, 2020, with the Division
1455of Corporations. No other evidence of currently active registration was
1465submitted with DBE's bid package.
147010 . Article 8 of the Bid Form, S pecification Section 0 0300 , requests the
"1485correct legal entity name of the bidding entity . " In accordance with Article 5
1499of Specification Section 0 0100, Instructions to Bidders, a ny errors are the
1512responsibility of the Bidder . DBE comple ted and submitted the Bid Form and
1526Bidder's Information Statement and Questionnaire in the name of DBE
1536Management, Inc.
1538Opening and Evaluation of Bids
154311 . The sealed bid packages received on July 13, 2021, were opened
1556publicly. DBE's Bid Form reflected that DBE listed the total construction cost
1568as $6,739,928.00, and was the lowest bidder. HDDCO's total bid was
1581$9,173,179.00. HDDCO did not intervene in this bid protest to attempt to
1595maintain its position as the intended awardee. As far as price, DBE was the
1609lowest bidder by nearly $2.5 million.
16151 2 . The City's evaluation began with verifying the minimum qualifications
1627of the Bidders. Article 19.05 of the ITB provides that the City "m ay conduct
1642such investigations as [it] deems necessary to establish the responsibility,
1652qualifications, and financial ability of Bidders and any proposed
1661Subcontractors or Suppliers. " The Article further provides that the City " may
1672waive any irregularities or requirements requested and may request any
1682additional information deemed necessary t o satisfy its evaluation of bidders."
1693Thus, the City may go outside the contents of a bid package and check the
1708current Sunbiz registration of the Bidders.
171413. DBE Management, Inc.'s current registration status on the Florida
1724Division of Corporation ' s is " INACTIVE. " Thus, DBE Management, Inc.'s bid
1736was non - responsive. Pursuant to the bid specifications and s ection 2 -
1750144(12)a. 1. of the City Code of Ordinances , no further action was taken on
1764DBE Management Inc.'s bid because the corporation's inactive status affected
1774the corporation's legal ability and capacity to enter into and perform the
1786contract.
178714. The City continued evaluating the bid packages of the responsive
1798Bidders and on August 3, 2021, issued notice of its intention to award the
1812contract to HDDCO . Although the City has discretion to waive requirements
1824and request additional information, it cannot do so in a manner that is unfair
1838and gives any Bidder a competitive advantage. At this stage of the City's
1851evaluation , the contents of DBE's bid package, and the check of its Sunbiz
1864status, showed that DBE Management, Inc., was an inactive B idder .
1876DBE's Protest
18781 5 . The City first learned of DBE Management , Inc. 's conversion to DBE
1893Management , LLC , after the City issued an NOI to award the contract to
1906HDD CO on August 3, 2021. Dustin White, as a representative of DBE
1919Management , LLC , telephoned Ms. Roop, the p rocurement m anager for the
1931City , to informally object to the NOI to award the contract to HDDCO and
1945advise the City for the first time of the corporate conversion .
195716. DBE submitted its formal written protest on August 11, 2021 , in which
1970it alleges that DBE Management , Inc. , converted to DBE Management , LLC ,
1981under Florida law and therefore maintained an a ctive status in accordance
1993with relevan t provisions of Florida corporate law and was the qualified low
2006bidder. Throughout this bid protest proceeding, DBE did not deny that it
2018never informed the City of the corporate conversion and name change prior to
2031or within the sealed bid package it submit ted on July 13, 2021.
204417. Instead, DBE argues that the City could hav e contacted DBE to
2057investigate the " INACTIVE " status it discovered on Sunbiz since the next line
2069also contained the word "CONVERTED." DBE further argues that since it
2080was the lowest bidder, it was in the City's best interests to both investigate
2094and waive the requirement in order to save approximately $2.5 million.
210518. Ms. Roop expressed surprise and quickly negated the idea that she or
2118her staff would make a telephone call or reach out to a bidder once the sealed
2134bids are publicly opened. In her opinion, such action would show favoritism.
2146She further testified that in her 14 years of experience in handling or
2159supervising over 300 compet itive bid processes, she could not remember an
2171instance of reaching out to any bidder during the bidding process.
2182Conclusion s
218419. DBE's bid package did not comply with the above - described bid
2197specifications. Thus, DBE's bid was non - responsive , and it did not meet the
2211minimum qualifications of a responsible bidder.
221720. The City's investigation of DBE's minimum qualifications regarding
2226its current Sunbiz registration was reasonable under the circumstances.
2235Those circumstances, as described above, included a lack of notice and
2246verifiable documentation of DBE 's corporate and name change before and
2257during the bidding process. Any further action in DBE's favor during the
2269bidding process would have resulted in a competitive disadvantage to the
2280other Bidders, and t hus be contrary to competition.
228921. Therefore, the City's August 3, 2021, NOI is not contrary to the City's
2303Code of Ordinances , or the solicitation specifications .
2311C ONCLUSIONS OF L AW
231622 . DOAH has jurisdiction over the parties and the subject matter of th is
2331proceeding. See § 2 - 150(a ) (3) , Cape Coral Code of Ord .
234523. DBE has standing to bring this bid protest. See § 2 - 150(a) (3) , Cape
2361Coral Code of Ord .
236624. DBE has the burden of proving that the City's NOI is contrary to the
2381City's Code of Ordinances or the solicitation specifications . See § 120.57(3)(f),
2393Fla. Stat. (2021).
239625 . DBE's bid package did not comply with the bid specifications outlined
2409in the Findings of Fact . Thus, DBE's bid was non - responsive and it did not
2426meet the minimum qualifications of a responsible bidder.
243426 . The City's investigation of DBE's minimum qualifications regarding
2444its current Sunbiz registration was reasonable under the circumstances.
2453Those circumstances, outlined in the Findings of Fact, included a lack of
2465notice and verifiab le documentation of DBE's corporate and name change
2476before and during the bidding process. Any action by the City in DBE's favor
2490during the bidding process would have resulted in a competitive
2500disadvantage to the other Bidders, and thus be contrary to comp etition.
251227 . Therefore, the City's August 3, 2021, NOI is not contrary to the City's
2527Code of Ordinances, or the solicitation specifications. Id.
2535R ECOMMENDATION
2537Based on the foregoing Findings of Fact and Conclusions of Law, it is
2550R ECOMMENDED that the City Council reject DBE's bid and approve the
2562August 3, 2021, NOI.
