54This cause came before the undersigned on Petitioner's,
62Mazda Motor of America, Inc., d/b/a Mazda North American
71Operations, Motion for Entry of Recommended Order which was filed
81on June 4, 2001. Respondents requested an extension of time in
92which to file a response. The request was granted over objection
103of Petitioner. Respondent CSA Imports, L.L.C. d/b/a Buddy
111Hutchinson Mazda (CSA ), filed a response objecting to the motion.
122Respondents Legacy Cadillac Oldsmobile Nissan, Inc. (Legacy) and
130Elton S. Wetteland (Wetteland) filed a Notification of Adoption
139of Co-Respondent's Response to Motion for Entry of Recommended
148Order on June 29, 2001. On July 25, 2001, an evidentiary hearing
160was heard on the motion.
165This case commenced when Mazda filed a Verified Complaint on
175May 29, 2001, pursuant to Sections 320.643 and 320.644, Florida
185Statutes (2000). The Verified Complaint contests the proposed
193transfer of ownership of CSA to Legacy and asserts that Sections
204320.643 and 320.644, Florida Statutes, are not applicable to the
214proposal, insofar as those statutes purport to require Mazda to
224consider and approve the proposed transfer of ownership and
233management of the dealership, as part of a proposed relocation of
244the dealership.
246The pending Motion for Entry of Recommended Order is in the
257nature of Mazda's filing a motion to dismiss its own complaint.
268Mazda seeks to obtain a ruling that the proposed transfer is not
280within the scope of Section 230.643, Florida Statutes, because it
290also proposed a simultaneous relocation of the dealership.
298Further, Mazda asserts that the proposal to transfer executive
307management control of the dealership to Wetteland is part of a
318proposal for relocation of the dealership and therefore does not
328invoke Section 320.644, Florida Statutes.
333Section 230.643, Florida Statutes, states in pertinent part
341that, "[n ]o such transfer, assignment, or sale will be valid
352unless the transferee agrees in writing to comply with all
362requirements of the franchise agreement." Mazda asserts that
370Legacy did not comply with this statutory requirement.
378Specifically, the franchise agreement in effect between Mazda and
387CSA provides that the only authorized location for all operations
397of the dealership is 2898 U.S. 1 South, St. Augustine, Florida.
408The evidence shows that the proposed transfer of ownership is
418contingent on Mazda's approval of the relocation of the
427dealership to another location. The proposed asset purchase
435agreement references this proposed relocation as does
442correspondence from Legacy to Mazda which states, "[I ]t is my
453intent, pending Mazda approval, to relocate the aforementioned
461Mazda franchise." Moreover, the proposal for change of
469ownership, management, and relocation must be viewed in its
478totality. Hawkins v. Ford Motor Co. , 748 So. 2d 993 (Fla. 1999).
490The issue raised in the instant case was addressed and
500resolved in the case of Gus Machado Buick-GMC Truck, Inc. v.
511General Motors Corp ., 623 So. 2d 810, 813 (Fla. 1st DCA 1993):
524. . . we agree with the Department's implicit
533construction of section 320.643(1),
537recognizing that a 'transfer' of a motor
544vehicle dealership does not include a
550relocation. 'Transfer' is defined as
555'chang[ing] over the possession or control of
562(as, to transfer a title to land).' Black's
570Law Dictionary 1497 (6th ed. 1990). Location
577is certainly an important consideration in
583any type of franchise agreement, and it is
591undisputed that the franchise agreement at
597bar contemplates a specific address. Thus,
603it was reasonable for the Department to
610interpret the transfer of a franchise under
617section 320.643(1) as encompassing only use
623of the same location and not a relocation.

634To conclude, as it is undisputed that the
642proposed transfer contemplated a relocation
647of a dealership, the Department could
653reasonably interpret the intended transfer as
659failing to comply with the 'franchise then in
667effect,' as required by section 320.643(1),
674which thus rendered the proposed transfer
680invalid. It therefore follows that the
686provisions of section 320.643(1) are
691inapplicable to the proposed transfer, and
697the dismissal of GM's complaint, or its
704failure to protest Potmakin's qualifications
709in accordance with the statute, does not
716result in the transfer of the franchise by
724operation of law. We therefore affirm the
731order of dismissal in Case No. 92-2644.
738Respondents invite reconsideration of Machado . Respondents'
745invitation to reconsider case precedent is declined.
752Accordingly, it is recommended that Department of Highway
760Safety and Motor Vehicles enter a final order dismissing the
770Verified Complaint.
