128STATEMENT OF THE ISSUE
132The issue is whether Respondent, Akers Holdings, LLC, and
141its surety, Fidelity and Deposit Company of Maryland, are liable
151for funds due to Petitioner from the sale of agricultural
161products.
162PRELIMINARY STATEMENT
164On or about March 23, 2005, Petitioner filed an Agent
174Complaint with the Florida Department of Agriculture and
182Consumer Services (the "Department"). The Complaint all eged
191that Respondent or its surety owed funds to Petitioner for
201nursery products in the amount of $ 136,942.49 purchased by
212Respondent under the provisions of the Agricultural Bond and
221License Law, Sections 604.15 through 604.34, Florida Statutes.
229Thereaft er, on or about May 18, 2005, Respondent, Akers
239Holdings, LLC, filed a response to the Complaint in which it
250alleged that all accounts with Petitioner are paid as agreed and
261that none of the alleged open accounts were, in fact, open .
273Respondent, therefore , claimed that it owed Petitioner nothing.
281The matter was referred to the Division of Administrative
290Hearings on October 18 , 2005. A Notice of Hearing issued
300scheduling the matter for November 14 , 2005. The hearing
309commenced and was completed that morni ng in Jacksonville,
318Florida, with the testimony of Petitioner's witnesses only since
327neither Respondent, Akers Holdings, LLC, or Respondent, Fidelity
335and Deposit Company of Maryland, appeared by counsel or pro se .
347At the hearing, Petitioner presented the t estimony of
356Chris Diaz, Petitioner's Controller, and Alice Hunt,
363Petitioner's Credit Manager, and offered Exhibit Nos. 1 through
3723 , all of which were admitted, into evidence. Respondent s
382presented no evidence or witnesses and did not contact the
392division to attempt to excuse their appearance at the hearing.
402No transcript was filed. Neither Petitioner nor Respondent s
411submitted proposed findings of fact and conclusions of law.

431FINDINGS OF FACT
4341. Petitioner is a producer of agricultural products as
443defined by Section 604.15(5), Florida Statutes. Petitioner
450operates a nursery supply company that produces trees, plants,
459and other landscaping supplies at a location in Bunnell,
468Florida.
4692. Respondent is a dealer in agricultural products as
478defined by Section 604.15(1), Florida Statutes. At the time of
488the transactions in question, Respondent was a landscape
496distribution company and a licensed dealer in agricultural
504products supported by a surety bond provided by Fidelity and
514Deposit Company of Maryland .
5193. This matter arose over an Agent Complaint filed by
529Petitioner on March 23 , 2005, in which it alleged that
539Respondent owed $ 136,942.49 , based upon numerous invoices for
549nursery goods delivered to various job sites where Respondent
558was providing landscaping services.
5624. Respondent Akers Holdings, LLC, by its agent or
571employee, R. Dean Akers, signed a Promissory Note on March 23,
5822005, in the amount of $137,445.47 plu s ten percent simple
594interest per annum . Under the note, Respondent agreed to repay
605its outstanding debt to Petitioner at the rate of $12,083.64 per
617month, commencing March 15, 2005, until paid in full.
6265. Respondent made payments under the note as fo llows:

6646. The payment dated 7/29/2005 was received by Petiti oner
674on August 8, 2005. No subsequent payments were made by
684Respondent, Akers Holdings, LLC, after that date.
6917. At the time of hearing, based upon the evidence
701presented by Petitioner, the amount due to Petitioner under the
711Promissory Note was $81,655. 81, and the amount due to Petitioner
723on open account was $30,734.58.
7298. Respondent, Akers Holdings, LLC, offered no excuse for
738its nonpayment of either the Promissory Note or the open account
749with Petitioner.
7519. Accordingly, Respondent Akers Holdings, LLC, or its
759surety, Fidelity and Deposit Company of Maryland, owe Petitioner
768$81,655.81 on the Promissory Note and $30,734.58 on open
779account, for a total amount owed of $112,390.39.
788CONCLUSIONS OF LAW
79110 . The Division of Administrative Hearings has
799juri sdiction over the subject matter of and the parties to this
811proceedin g. §§ 120.569, 120.57(1), and 604.21(6), Fla. Stat.
82011 . Section 604.15, Florida Statutes, contains the
828following definitions , in pertinent part:
833(1) 'Agricultural products' means th e
839natural products of the farm, nursery,
845grove, orchard, vineyard, garden, and apiary
851(raw or manufactured); . . . .
858(2) 'Dealer in agricultural products' means
864any person, partnership, corporation, or
869other business entity, whether itinerant or
875domicile d within this state, engaged within
882this state in the business of purchasing,
889receiving, or soliciting agricultural
893products from the producer or the producer's
900agent or representative for resale or
906processing for sale; acting as an agent for
914such producer in the sale of agricultural
921products for the account of the producer on
929a net return basis; or acting as a
937negotiating broker between the producer or
943the producer's agent or representative and
949the buyer.

954(5) 'Producer' means any producer of
960agric ultural products produced in the state.
9671 2 . Section 604.17, Florida Statutes, requires dealers in
977agricultural products to have a license to engage in such
987business.
9881 3 . Before dealers receive their licenses, they must
998deliver to the Department a su rety bond or a certificate of
1010deposit. The surety bond or certificate of deposit secures
1019payment to producers for agricultural products sold to dealers.
1028§ 604.20(1), Fla . Stat.
10331 4 . Petitioner has met its burden of proving, by a
1045preponderance of the e vidence, that Respondents are indebted to
1055Petitioner for unpaid invoices in the amount of $ 112,390.39, as
1067evidenced by the amount outstanding on the Promissory Note
1076executed by Respondent, Akers Holdings, LLC, and the open
1085account with Petitioner.
1088RECOMMEN DATION
1090Based upon the Findings of Fact and Conclusions of Law, it
1101is
1102RECOMMENDED that the Florida Department of Agriculture and
1110Consumer Services enter a Final Order requiring Respondent, or
1119its surety, to pay Petitioner $ 112,390.39 for unpaid invoices.
