129STATEMENT OF THE ISSUE
133Whether Respondent, FYV, Inc., d/b/a Miami Tropical
140Nursery, Inc. (Respondent or Buyer), owes Petitioner, Bud Sod,
149LLC (Petitioner or Seller), the sum of $7,168.09 for pallets of
161sod sold to the Buyer by the Seller.
169PRELIMINARY STATEMENT
171Petitioner filed a complaint with the Florida Department of
180Agriculture and Consumer Services (Department) that alleged
187Respondent had failed to comply with an agreement regarding the
197purchase of sod. Petitioner alleged that the Buyer owed the
207Seller in excess of $15,000 for bahia sod sold in pallets to
220Respondent. Petitioner seeks compensation for the sod against
228the Buyer and its surety. Fidelity and Deposit Company of
238Maryland was identified as the surety for Respondent. The case
248was forwarded to the Division of Administrative Hearings for
257formal proceedings on March 13, 2009.
263Thereafter, the case was continued on numerous occasions
271primarily because the parties continued to negotiate the amount
280claimed to be owed. At one point, a civil mediator was to work
293with the parties to establish the amount owed. The case
303involved many tickets and invoices along with copies of drafts
313showing payment for the type and volume of product delivered.
323Finally, the principals for the two companies involved, Yolanda
332More (for Respondent) and Tanya Carter (for Petitioner), met to
342sort through the invoices and payments to reach an amount
352claimed to be due and owing. As a result of that meeting, the
365parties agreed that Respondent would remit a specified sum. In
375accordance with the agreement, Respondent transferred $10,000 to
384Petitioner. The remainder of the amount claimed was not paid.
394Prior to hearing, Respondent's counsel was permitted to
402withdraw. At the final hearing, Petitioner presented the
410testimony of Tanya Carter. No one appeared for Respondent, and
420no evidence was presented on Respondent's behalf on July 7,
4302010.
431A transcript of the proceeding has not been filed and one
442is not expected. The parties were granted ten days from the
453conclusion of the hearing within which to file a proposed
463recommended order. Neither party has filed a proposed order.
472Notice of the hearing was provided to all parties of record,
483including the surety.
486FINDINGS OF FACT
4891. At all times material to the instant case, Petitioner
499and Respondent were involved in the purchase and sale of an
510agricultural product grown and delivered in Florida.
5172. Under the terms of their on-going business
525relationship, Petitioner supplied Respondent with sod. There is
533no disagreement that Petitioner produced and sold the sod to
543Respondent. In fact, the parties had numerous dealings that
552covered many tickets noting deliveries and invoices noting the
561monies owed.
5633. Prior to July 7, 2010, the parties met without their
574attorneys to try and agree upon an amount owed by Respondent.
585At that time, they went through the volumes of paperwork related
596to the claim and reached a mutually-acceptable decision.
6044. Petitioner maintains that Respondent owes $17,168.09 as
613a compromised sum for the sod sold by Petitioner to Respondent.
624Of that amount, Petitioner acknowledges that Respondent remitted
632$10,000 to the Seller.
6375. Accordingly, Petitioner asserts that the sum of
645$7,168.09 is owed and unpaid for the sod purchased by
656Respondent. Respondent presented no evidence to refute this
664amount.
665CONCLUSIONS OF LAW
6686. The Division of Administrative Hearings has
675jurisdiction over the parties to and the subject matter of this
686proceeding. §§ 120.57 and 120.60, Fla. Stat. (2009).
6947. Agriculture is an important industry in the State of
704Florida. Accordingly, the Legislature has recognized:
710. . . that the recovery of agricultural
718products is impractical because of the speed
725with which such products move through
731commerce and because of the difficulty of
738identification and that, because recovery is
744impractical, producers are subject to the
750possibility of serious economic harm in the
757event an agricultural products dealer
762defaults. Therefore, it is necessary in the
769interest of the public welfare to regulate
776agricultural products dealers in this state.
782See § 604.151, Fla. Stat. (2009).
7888. Section 604.15, Florida Statutes (2009), provides, in
796part:
797For the purpose of ss. 604.15 -604.34, the
805following words and terms, when used, shall
812be construed to mean:
816(1) "Agricultural products" means the
821natural products of the farm, nursery,
827grove, orchard, vineyard, garden, and apiary
833(raw or manufactured); sod; tropical
838foliage; horticulture; hay; livestock; milk
843and milk products; poultry and poultry
849products; the fruit of the saw palmetto
856(meaning the fruit of the Serenoa repens );
864limes (meaning the fruit Citrus
869aurantifolia , variety Persian, Tahiti,
873Bearss, or Florida Key limes); and any other
881nonexempt agricultural products produced in
886the state, except tobacco, sugarcane, timber
892and timber byproducts, forest products as
898defined in s. 591.17 , and citrus other than
906limes.
907(2) "Dealer in agricultural products" means
913any person, partnership, corporation, or
918other business entity, whether itinerant or
924domiciled within this state, engaged within
930this state in the business of purchasing,
937receiving, or soliciting agricultural
941products from the producer or the producer's
948agent or representative for resale or
954processing for sale; acting as an agent for
962such producer in the sale of agricultural
969products for the account of the producer on
977a net return basis; or acting as a
985negotiating broker between the producer or
991the producer's agent or representative and
997the buyer.
9999. Section 604.21, Florida Statutes (2009), provides a
1007mechanism for anyone damaged by a breach of the terms of an
1019agreement given by a dealer in agricultural products to file a
1030complaint against the dealer (herein Respondent) and its surety
1039to seek compensation for the alleged breach. The complaint is
1049processed by the Department.
105310. In this case, Petitioner made just such a complaint,
1063and the matter was duly-forwarded to the Division of
1072Administrative Hearings for an evidentiary proceeding to resolve
1080the disputed issues of fact.
108511. A hearing held in accordance with Subsection
1093120.57(1), Florida Statutes (2009), on the complaint must be
1102conducted if there are disputed issues of material fact.
1111Petitioner has the burden of proving the allegations of the
1121complaint by a preponderance of the evidence. See Department of
1131Banking and Finance, Division of Securities and Investor
1139Protection v. Osborne Stern and Company , 670 So. 2d 932, 934
1150(Fla. 1996)("The general rule is that a party asserting the
1161affirmative of an issue has the burden of presenting evidence as
1172to that issue"); Florida Department of Transportation v. J.W.C.
1182Company, Inc. , 396 So. 2d 778, 788 (Fla. 1st DCA 1981).
119312. In this case, Petitioner has met that burden.
1202Petitioner has established by a preponderance of the evidence
1211that Respondent owes the sum of $7,168.09 for agricultural
1221product sold to the Buyer by Petitioner. It is incumbent on
1232Respondent to remit that amount to Petitioner to satisfy the
1242indebtedness for the product purchased.
124713. Further, in accordance with Subsection 604.21(1)(g),
1254Florida Statutes (2009):
1257(g) The surety company or financial
1263institution shall be responsible for payment
1269of properly established complaints filed
1274against a dealer, notwithstanding the
1279dealer's filing of a bankruptcy proceeding.
128514. Thus, should Respondent fail to remit the appropriate
1294amount as directed by the Department, the surety should be held
1305responsible for the amount owed.
1310RECOMMENDATION
1311Based upon the foregoing Findings of Fact and Conclusions
1320of Law, it is hereby
1325RECOMMENDED that the Department of Agriculture and Consumer
1333Services enter a final order approving Petitioner's complaint
1341against Respondent in the amount of $7,168.09.
