145The issues in this case are whether Petitioner has standing

155to protest the establishment of an additional autocycle

190PRELIMINARY STATEMENT

192On April 30, 2019, the Department of Highway S afety and

203Motor Vehicles (the Department) published notice in the Florida

212Administrative Register (Volume 45, Number 84, p. 1867) of its

222intent to allow Respondent West Coast Outdoor Sports, LLC d/b/a

232Gables Motorsports Wesley Chapel (Gables Motorsports) t o serve as

242a dealership for the sale of motor vehicles manufactured by

252Respondent Vanderhall Motor Works, Inc. (Vanderhall). 2/ On

260May 15, 2019, Petitioner iMotorsports SBP, LLC d/b/a St. Pete

270Powersports (iMotorsports) filed a c omplaint protesting

277Respond ents ' application and the Department' s intention to grant

288the application.

290The Department referred the matter to DOAH on May 21, 2019,

301and requested a formal hearing. The undersigned issued an

310Initial Order requesting the parties provide, among other

318inf ormation, dates and venue prefe rences for the hearing. None

329of the parties submitted a response to the Initial Order, and the

341matter was set for hearing.

346A pre - hearing telephone conference was noticed and set for

357October 1, 2019. None of the parties cal led in for that pre -

371hearing conference.

373At the hearing, Petitioner appeared and offered the

381testimony of its owner, Haider Saba, but it did not offer any

393exhibits. Respondent Gables Motorsports offered the testimony of

401its owner, Nigel Bailey, but did not offer any exhibits.

411Respondent Vanderhall offered the testimony of Jeffrey Whaley ,

419the V ice President of Sales and Operations. Vanderhall offered

429witho ut objection Exhibits 1, 2, 3A , and 3B, all of which were

442admitted into evidence.

445At the conclusion of the final hearing, Vanderhall indicated

454it intended to order the transcript of the hearing. The

464Tran script was filed on November 18 , 2019. Respondent Vanderhall

474filed an untimely P roposed R ecommended O rder (PRO) on December 4,

4872019, which has been revie wed , but not considered . Neither

498Petitioner nor Respondent Gables Motorsports file d a PRO .

508FINDING S OF FACT

5121. iMotorsports is located in Pinellas County. No evidence

521was provided regarding its address or location. The parties

530stipulated, however, that iMotorsports is located 45.9 miles from

539Gables Motorsports, and is outside of a 12.5 mile radius of the

551proposed dealership, Gables Motorsports.

5552. Gables Motorsports is located in Pasco County, Florida

564at 28009 Wesley Chapel Boulevard, Wesley Chapel, F lorida 33543.

5743 . According to the U.S. Census Bureau and University of

585Florida, Bureau of Economic Research, the population of Pasco

594County, Florida, was 464,697 as of April 1, 2010. The estimated

606population as of April 1, 2018, for this same area was 5 15,077.

6204 . Vanderhall manufactures " autocycles " or two - passenger,

629three - wheeled motor vehicles and sells them nationally. At the

640time of the hearing there were eight to ten dealerships

650distributing the Vanderhall autocycles in Florida, and there were

65955 Vanderhall dealerships or distributors nationwide. In these

667proceedings , Vanderhall seeks to allow Gables Motorsports to

675serve as a dealership to sell and service the Vanderhall

685auto cycles .

6885 . Although no franchise agreement was offered i nto

698evidence, based on Mr. Saba' s testimony, the undersigned finds in

709June or July 2018 , iMotorsports entered into an agreement w ith

720Vanderhall to sell its auto cycles.

7266 . According to the documentation offered by Vanderhall,

735iMotorsports has sold 15 Vanderhall autoc ycles since it became a

746Vanderhall dealership, approximately 14 months ago. None of

754those sales were to households within a 12.5 mile radius of the

766proposed dealership at Gables Motorsports.

7717 . Mr. Saba agreed iMotorsports had not had any sales to

783house holds in the 12.5 mile radius around Gable s Motorsports, but

795argued at the hearing that verbal promises were made by

805Vanderhall that it would not establish any other Vanderhall

814dealerships in Florida.

817Ultimate Findings Regarding Standing

8218 . iMotorsports is an existing dealership that sells

830Vanderhall autocycles.

8329 . iMotorsports is not within a 12.5 mile radius of the

844proposed dealership at Gables Motorsports.

84910 . iMotorsports has failed to establish that during the

85912 - month period preceding the filing of the application for the

871proposed dealership by Gables Motors ports and Vand erhall,

880iMotorsp orts or its predecessor made 25 percent of its retail

891sales of the Vanderhall autocycles to registered household

899addresses within a 12.5 mile radius of Gables Moto rsports.

90911 . Therefore, iMotorsports does not have standing to bring

919this challenge pursuant to section 320.642(3) .

926CONCLUSIONS OF LAW

92912 . The Division of Administrative Hearings has

937jurisdiction over this proceeding pursuant to sections 120.569,

945120.5 7(1), 320.642 , and 320.699 , Florida Statutes .

95313 . The Department is the agency responsible for regulating

963the licensing and franchising of motor vehicle dealers.

971§§ 320.60 - 320.70, Fla. Stat.

97714 . The purpose of these regulations is " to prevent

987powerful m anufacturers from taking unfair advantage of their

996dealers by overloading a market area with more dealers than can be

1008justified by the legitimate interests of the manufacturer and its

1018dealers, existing and prospective. " Bill Kelley Chevrolet, Inc.

1026v. Calv in , 322 So. 2d 50, 52 (Fla. 1st DCA 1975). As such,

1040section 320.642 requires a determination as to " whether an additional (either new or relocated) dealership is justified,

1057economically and otherwise, from the viewpoints of the existing

1066dealers and the pu blic, respectively. " Gen. Motors Corp. v. Fla.

1077Dep' t of High. Saf. & Motor Veh . , 625 So. 2d 76, 78 (Fla. 1st DCA

10941993).

109515 . As explained in section 320.642(2)(a), a challenge to a

1106motor vehicle dealership application involves a two - par t analysis:

1117(1) th e challenger' s standing; and (2) the adequacy of existing

1129representation of the same vehicle line.

113516 . Standing is further addressed in section 320.642(3),

1144which provides in relevant part :

1150(3) An existing franchised motor vehicle

1156dealer or dealers shal l have standing to

1164protest a proposed additional or relocated

1170motor vehicle dealer when the existing motor

1177vehicle dealer or dealers have a franchise

1184agreement for the same line - make vehicle to

1193be sold or serviced by the proposed

1200additional or relocated mo tor vehicle dealer

1207and are physically located so as to meet or

1216satisfy any of the following requirements or

1223conditions:

1224* * *

1227(b) If the proposed additional or relocated

1234motor vehicle dealer is to be located in a

1243county with a population of more than 300,000

1252according to the most recent data of the

1260United States Census Bureau or the data of

1268the Bureau of Economic and Business Research

1275of the University of Florida:

12801. Any existing motor vehicle dealer or

1287dealers of the same line - make have a lic ensed

1298franchise location within a radius of

130412.5 miles of the location of the proposed

1312additional or relocated motor vehicle dealer;

1318or

13192. Any existing motor vehicle dealer or dealers of the same line - make can establish that during any 12 - month period of the 36 -

1346m onth period prece ding the filing of the

1355licensee' s application for the proposed

1361dealership, such dealer or its predecessor

1367made 25 percent of its retail sales of new

1376motor vehicles to persons whose registered

1382household addresses were located withi n a

1389radius of 12.5 miles of the location of the

1398proposed additional or relocated motor

1403vehicle dealer ; provided such existing dealer

1409is located in the same county or any county contiguous to the county where the additional

1425or relocated dealer is proposed t o be

1433located. (emphasis added)

143617 . iMotorsports (as the " existing franchised motor vehicle

1445dealer " ) has the initial burden of establishing standing by a

1456preponderance of the evidence. See Recovery Racing, LLC v. State

1466Dep ' t of High. Saf. & Motor Veh. , 1 92 So. 3d 665, 669 n.1 (Fla.

14834th DCA 2016)(noting plain language of statute places the burden

" 1493squarely on the existing dealer " to show its standing).

150218 . If standing is established, the burde n shifts to

1513Respondents Gables Motorsports and Vanderhall (as t he applicants

1522for the new dealer license) to establish by a preponderance of

1533the evidence that iMotorsports (as the existing Vanderhall

1541dealer) is not providing adequate representation of the

1549Vanderhall autocycles . See § 320.642(2) , Fla. Stat . ( explaining

" 1560[t] he burden of proof in establishing inadequate represen tation shall be on the licensee" and requir ing a determination regarding

1581the adequacy of existing representation to be based on evidence

1591directed to 11 enumerated issues).

159619 . Here, regarding the first part of the analysis,

1606iMotorsports has failed to me e t its burden of establishing

1617standing . Therefore, the burden to show a new dealership was

"1628justified" never shifted to Respondents .

1634RECOMMENDATION

1635Based on the foregoing Findings of Fact and Conclu sions of

1646Law, it is RECOMMENDED that a final order be e ntered by the

1659Department of Highway Safety and Motor Vehicles finding

1667iMotorsports lacks standing, and dismissing iMotorsports '

1674challenge of the Respondents ' new dealership application for the

1684sale of Vanderhall vehicles at Gables Motorsports .
